S_MN PASS-10 — Collection-agency, debt-buyer, and individual-collector credentials
Research/access date: October 27, 2026, America/Los_Angeles.
Baseline: October 22, 2026; not represented as the date of current verification.
Component: Collection-specific actor classification, licensing and individual registration, exclusions, qualifications, locations, security, and public procedures.
Disposition: The principal credential and security requirements are established within the version limits below. Material holds remain concerning certain exclusion applications, criminal-history rehabilitation, reciprocal-waiver orders, fractional bond calculations, multi-location bond coverage, late/reinstatement procedures, and actual instruments or entity status.
Earlier answers and their provenance remain unchanged. P09 is unreviewed and is not a premise. No DMP, settlement, or credit-services bond formula is used here.
Throughout, S001 means S_MN-P10-S001. Each source identifier resolves to a complete HTTPS URL and read-scope record in section H. Claims C001–C064 belong exclusively to this pass.
A. Findings that control this gateway
1. Minnesota’s collection definition is not the FDCPA definition
Minnesota separately reaches a business collecting indebtedness for others and a business purchasing charged-off debt for collection purposes. The debt-buyer definition expressly includes outsourcing collection or hiring an attorney. The state collection definition is not limited by the federal consumer-purpose or nondefault-at-acquisition exclusions. [C008–C010; S001.] MN Revisor
Accordingly, neither of these shortcuts is reliable:
“We own the debt, so we cannot need a collection license.”
“We are not a federal debt collector, so Minnesota credentials do not apply.”
The actual state definition, exclusion, nexus, and activity must be tested separately.
2. Entity approval and individual registration have different starting rules
A covered agency or debt buyer must first apply for and obtain the collection-agency license. A licensee’s individual collector may begin upon submission of the prescribed registration application, with the required verification, unless Commerce advises that the individual is ineligible. This individual provision does not authorize an unapproved company to begin operating. [C013, C022; S003, subdivisions 1 and 5a.] MN Revisor
3. A new 2026 exclusion must be applied to the displayed 2025 text
Laws 2026, chapter 124, article 1, §57 adds scope-limited exclusions for a licensed residential mortgage servicer under Chapter 58 and a licensed student-loan servicer under Chapter 58B. It does not rewrite the existing loan-or-finance-company exception. The added exclusion applies only to activities subject to licensure under the applicable chapter. [C002, C019.] revisor.mn.gov
The effective date is August 1, 2026, at 12:01 a.m., using the enacted section, the official House chapter chronology and §645.02. The previously reviewed act-level classification is retained as dated context; this pass does not claim a fresh sequential read of the entire act. Minnesota House+1
4. The current collection rules do not supply old fees or automatic reciprocity
The Revisor’s Chapter 2870 contains repeal notices, including repeal of the remaining provisions by Laws 2014, chapter 222, article 1, §58. Old rule text is not used to supply present late fees, temporary licenses, or application deadlines.
Likewise, former §332.3351 is repealed. Current §332.3352 requires a commissioner’s order, an effective written reciprocal agreement, and home-state good standing. No qualifying current agreement or order was verified for a particular jurisdiction or actor. [C005–C006, C021.] MN Revisor+2
5. The collection bond is based on net Minnesota collections—not collector count
Section 332.34 sets a $50,000 base, an additional $5,000 for each $100,000 of the specified previous-calendar-year receipts less qualifying commissions, and a $100,000 maximum. The public worksheet adds a nearest-$5,000 rounding instruction that the statute does not expressly state. Midpoint treatment and other unresolved measurement questions remain held. B. Actor, activity, nexus, and exclusion matrices
B1. Actor and activity classification
| Actor/activity |
State credential analysis |
Required fact or unresolved boundary |
| Third-party collection agency |
A person in the business of collecting an account, bill, or other indebtedness for others falls within §332.31(3), subject to exclusions. |
Identify the actual collection business and beneficiary—not merely the contract title. |
| Charged-off debt buyer |
Included in “collection agency or licensee”; purchasing charged-off debt for collection is sufficient even if collection is outsourced. |
Actual purchase, charged-off status, collection purpose, and any genuine exclusion. |
| Passive purchaser using another agency or lawyers |
Outsourcing does not remove the debt-buyer definition. |
A qualifying non-active affiliated company may use the distinct single-license provision; that is not universal exemption. |
| Purchaser of performing/noncharged-off debt |
Does not satisfy the charged-off-debt limb merely because it purchased a receivable. |
Test “for others,” actual servicing, exclusions, and anti-evasion provisions. |
| Original creditor collecting its genuine own debt in its own name |
Ordinarily outside the “for others” limb and not a charged-off-debt purchaser on those facts. |
An assignment, third-party beneficiary, fictitious name, or separate affiliate can change the analysis. |
| Assignee remitting collections to the original holder |
Assignment ownership does not necessarily defeat “for others.” |
Actual economic and contractual arrangement; PurCo is directly relevant. |
| Individual collector |
A person collecting under an agency’s or debt buyer’s authority is separately addressed by the registration provisions. |
Employer/licensee relationship, actual duties, and prescribed submission. |
| Independent contractor |
Calling a collector a contractor does not establish exclusion from §332.33(1). |
The employee submission and remote-work provisions do not automatically establish a contractor’s filing route or branch exception. |
| Collection-system or form supplier |
The definition expressly includes the specified systems/forms simulating agency collection, even when payment goes directly to the creditor. |
Actual names, representations and services supplied. |
| General advertiser or preparatory solicitation |
Chapter 332’s collection gateway is not written identically to the debt-relief chapters’ broad offer/advertising clauses. |
No blanket permission for pre-license solicitation is established; actual conduct of collection business or simulated collection must be tested. |
| Affiliate |
A single-license route exists only for companies meeting all four statutory affiliate conditions. |
Common control alone is insufficient. |
| Property recovery/repossessor |
Pure property recovery and monetary collection must be distinguished. |
No universal secured-activity exclusion is announced; Nichols is historical and limited. |
Authorities: §§332.31, .33, .38; S001, S003, S007; C008–C014. MN Revisor+2
No general consumer-only or acquisition-default shortcut
The state agency definition uses “any account, bill, or other indebtedness.” Commercial collection therefore cannot be excluded solely because the FDCPA’s definition of debt is consumer-oriented. “Charged-off” matters to the state debt-buyer limb; acquisition before default is not a universal state collection-agency exclusion. [C009–C010.]
Anti-evasion and names
Section 332.38 reaches pretended purchases or assignments designed to evade the chapter. It also reaches use of another or fictitious name suggesting that a third party is collecting.
For a licensed business, §332.37(a)(16) requires use of the licensed full business name or a DBA registered with Commerce. A registered individual may use one additional assumed name only after registration and approval. The company’s DBA and the individual’s approved assumed name are different requirements. [C011, C031.] MN Revisor+2
B2. Minnesota nexus
| Nexus fact |
Result established |
| Agency physically operates in Minnesota |
Ordinary §332.33 business-location inquiry applies. |
| Remote agency collects for a Minnesota business |
The published PurCo holding addresses this nexus. |
| Debt originates in a Minnesota transaction |
PurCo also addresses this basis. |
| Debtor is currently located in Minnesota |
Material to several provisions, especially the bond’s receipt base; it is not the exclusive possible licensing nexus. |
| Debtor, creditor and transaction all outside Minnesota |
No conclusion is made merely because a company has unrelated Minnesota business. |
| Nonresident agency has another state’s license |
That license alone is not Minnesota authority. |
| Reciprocity is claimed |
Current §332.3352 requires the stated agreement, good standing and commissioner order. |
| Tribal, sovereign, federal or local special status is claimed |
No blanket resolution; actual status, territory and governing authority remain separate. |

Exclusion does not apply to the specified enforcement of purchased unsecured claims with recourse to the seller for all or part if uncollected |
Universal exclusion for every debt purchaser calling itself a finance company |
| Qualifying trade association |
Services authorized by §604.15(4a): the specified IRS-recognized §501(c)(6) association acting for member retailers in the motor-fuel context |
Generic nonprofit collection activity; §332.37 remains expressly applicable |
| Licensed residential mortgage servicer |
New §332.32(c): Chapter 58 license and activities subject to that licensure |
Merely being exempt from Chapter 58 licensing, or conducting unrelated collection |
| Licensed student-loan servicer |
New §332.32(c): Chapter 58B license and activities subject to that licensure |
Merely being a loan owner, federal contractor, or license-exempt institution |
The 2021 enactment deleted the former introductory language concerning collection incidental to another business. It is therefore improper to resurrect a general “collection is incidental to our main business” exception from an older version. [C015–C020.] MN Revisor+2
Incorporated service provisions actually checked
For mortgage servicing, §§58.02 and 58.04 were read to identify servicing activities and distinguish licensure from licensing exemptions. For student loans, §§58B.02 and 58B.03 were read for the corresponding service, borrower and licensing predicates.
The new collection exclusion says licensed. A person merely exempt from mortgage or student-loan licensing cannot assume that this new paragraph applies, although another collection exclusion might. Neither servicing chapter’s complete current sector regime is certified here. [C019–C020.] MN Revisor+2
Entity exclusion versus individual registration
Section 332.32 excludes specified actors from the collection-agency definition. It is not a free-standing exemption for every person connected to them.
A lawyer’s independent collection company, a bank’s unrelated vendor, or a contractor operating under a licensed agency must be classified on its own facts. Conversely, no separate individual registration is presumed simply because an employee collects an original creditor’s genuine own accounts in the creditor’s name.
No collection-specific statutory burden-of-proof sentence equivalent to the CSO statute was located in the relied-on collection provisions. This report requires supporting facts without importing the CSO burden provision. [C013, C020.]
C. Approval, registration, qualification, location and supervision
C1. Credential and event sequence
| Actor/event |
Required step, trigger or clock |
Consequence/limit |
| New agency/debt buyer |
Apply for and obtain agency license before conducting covered Minnesota business |
Filing or paying alone is insufficient |
| Historical debt-buyer transition |
Statute required application no later than January 1, 2022; the separate continuation sentence applies to applications filed before that date and still pending |
Not a current general pending-application privilege |
| Individual collector |
Licensed employer submits prescribed application and verification |
Individual may begin on submission unless Commerce advises ineligibility |
| First company license, then collector submission |
Current Commerce procedure requires agency approval first |
Individual submission cannot bootstrap an unlicensed company |
| Additional office |
Separate license for each place of business, except the statutory employee-location rule |
One company identity does not automatically cover every office |
| Employee working elsewhere/home |
§332.33(5b) requires compliance with requirements that would apply at the licensed location |
No additional branch license for a qualifying location |
| Contractor working from home |
Employee exception is not automatically applicable |
Actual status and licensing/location treatment remain held |
| Qualified affiliates |
Single license and examination if all statutory conditions are met and names are listed |
Active collectors do not satisfy the affiliate definition merely through common ownership |
| Company name/address/ownership change |
Written notice no later than ten days after change |
Not the same as initial approval or a universal permission to transfer the license |
| Individual name/address/assumed-name change |
Written notice within ten days |
Additional assumed name still requires registration and approval |
| Violation-based employee termination |
Notify Commerce within ten days if termination is based wholly or partly on a chapter violation |
Not an invented statutory ten-day rule for every departure |
| Death of licensee |
Statutory executor/administrator route for unexpired term under probate-court direction |
Not ordinary unrestricted transferability |
| June 30 expiration |
Agency licenses and individual registrations expire annually |
No verified grace period or payment-only reinstatement permission |
[S003, S010, S029; C022–C023, C026, C031–C033.] MN Revisor+2
C2. Affiliate conditions
All four §332.31(9) elements must be present:
- Common control, or the specified direct/indirect control relationship.
- The same executive management team or controlling owner.
- A uniform network of corporate and compliance policies and procedures.
- No active collection of debts by the affiliate.
The Commerce form, dated August 2021, says affiliate names are entered in the electronic licensing record rather than printed on the license. That is an operational explanation of the statutory listing requirement, not a new exemption for branches or DBAs. The form expressly distinguishes those categories. [C014, C047.] MN Revisor+1
C3. Qualifications and disqualifiers
Agency and management review
Section 332.33(4) authorizes financial statements, references and investigation of reputation, integrity, competence and net worth, including managerial personnel. The initial investigation is at applicant expense, capped at $500, and Commerce may require an appropriate deposit. The public financial statement requests assets, liabilities and financial information; it does not itself establish a fixed minimum capital threshold. [C025, C034, C036.] MN Revisor+1
No current collection-specific fixed years-of-manager-experience requirement, examination pass mark, mandatory course, or universal continuing-education number was established in the bodies read. That is a bounded finding, not a declaration that no general or transaction-specific requirement can apply.
Individual screening
| Stage |
Required screening |
| Initial |
At hiring, before submission: national criminal search, attorney-licensing search, and county criminal searches for all counties of residence during the preceding five years |
| Renewal |
National criminal search and counties of residence during the immediately preceding year |
| Timing |
Renewal screening no more than 60 days before expiration or renewal |
| First-renewal exception |
No renewal screening required if initial screening occurred within 12 months of the first renewal |
| Later renewals |
Annual renewal screening required |
| Vendor and procedures |
Statute uses National Association of Professional Background Screeners or equivalent; Commerce currently refers to Professional Background Screening Association or equivalent. Licensee procedures remain reviewable. |
The difference in association names is preserved as statutory-versus-operational wording; no individual vendor’s qualification was verified. [C027–C028.] MN Revisor+1
Section 332.35—and the necessary Chapter 364 qualification
Section 332.35 identifies five-year disqualifying matters involving applicants/entities or their officers: fraud or felony convictions; identity-theft or financial-crime misdemeanors/gross misdemeanors; the specified failure-to-account judgments; and revoked or involuntarily suspended law licenses.
It also limits the civil-judgment ground: an ordinary civil judgment is not the specified disqualification merely because it exists. [C029.] MN Revisor
That is not the end of the conviction analysis. Section 364.03 contains a notwithstanding-other-law provision concerning directly related convictions and rehabilitation. Section 364.09’s exceptions were read; no collection-specific exception was identified, and background-check requirements remain preserved.
Laws 2026, chapter 97, article 9, §2 changes the rehabilitation subsection, requiring both rehabilitation and present fitness and changing the listed evidentiary treatment. It took effect May 19, 2026, the day after the May 18 enactment. The displayed 2025 rehabilitation text therefore cannot be used without that overlay. [C030.] MN Revisor+3
No responsive controlling decision was opened resolving every interaction between §§332.35 and 364.03 for these credentials. Neither automatic denial for every conviction nor guaranteed approval after rehabilitation is established.
C4. Supervision and credential consequences
Section 332.355 assigns responsibility to the agency/debt buyer and the individual collector for required or prohibited acts. Sections 332.40, 332.42 and 45.027 provide examination, financial-information, investigation and sanction powers, subject to the applicable procedures.
Section 332.42’s five-year record triggers differ for agency accounts and purchased accounts. Those provisions were read only to establish supervisory access and retention context—not to complete collection documentation, trust accounting or debt-proof requirements. [C034–C035.] MN Revisor+2
Operating without the required credential, or after revocation, suspension or expiration, is addressed by §332.33(2). A bond lapse can also create a failure of the continuing security obligation and expose the licensee to regulatory action. The report does not invent automatic suspension at the instant of every defect; statutory duties and actual enforcement steps must be distinguished. [C026, C043.]

D2. Public application materials actually available
The current Commerce page uses Sircon, not the NMLS process used in other Minnesota debt-service categories. It describes company identity/control disclosures, background questions, an executed bond or accepted cash-deposit proof, a financial statement, organizational documents and assumed-name evidence. The live transactional application requires an account; it was not entered. [C046–C047.] mn.gov // Minnesota's State Portal

The public page’s abbreviated debt-buyer trust-account statement must be read with the FAQ and statutory distinction: a buyer’s collection of its own purchased debt is not the same as collecting third-party money for others. This is only a boundary note; no trust-control analysis is supplied. [C047, C058.] mn.gov // Minnesota's State Portal+2
Name and address changes: notice versus approval
Commerce instructs business name/address notices after the change, within ten days, with the specified signed request and bond/rider documentation; a name change also requires amended organizational evidence. That does not authorize a new company to operate before its initial license, and it does not eliminate the individual assumed-name approval requirement. [C031–C032.] mn.gov // Minnesota's State Portal
D3. Renewal, lapse and status verification
Commerce states that agency renewal becomes available during the first week of April, individual renewal on April 1, and the deadline is June 30. The statutory expiration is June 30.
No current public late-renewal/reinstatement schedule or automatic continuation rule was verified. The historical debt-buyer transition and repealed temporary-license language are not substitutes. [C026, C046.]
The public lookup directory links agencies and collectors to Sircon. The public landing page and consumer inquiry route were opened, but the tool returned a limited state-selection interface—not a named result. No name, license number, identifier or private information was submitted. Thus the route is established, but current result-field definitions, completeness and any named credential are not. [C048.] mn.gov // Minnesota's State Portal+1
Commerce’s complaint page has a Collections & Debt route and describes its complaint process. It was read without opening or submitting a complaint. A complaint route is not a finding of misconduct, and licensure is not proof of debt validity or claimant standing. [C049.] mn.gov // Minnesota's State Portal
E. Collection-specific bond and security
E1. Statutory measure
Let:
- RRR = money received from debtors located in Minnesota during the previous calendar year;
- CCC = commissions earned during that year on those collections;
- N=R−CN = R-CN=R−C.
Section 332.34 provides the $50,000 base, the additional $5,000-per-$100,000 measure, and the $100,000 maximum. It requires each licensee to file and maintain the acceptable corporate surety bond. An approved cash deposit may substitute, but only in the amount, manner and depository accepted by the commissioner. [C037–C039.] MN Revisor
The formula was enacted in Laws 2010, chapter 384, §94, expressly applicable to bonds obtained or renewed after January 1, 2011. That phrase is preserved; it is not rewritten as “on or after.” [C007.] MN Revisor
What is not the base
Collector headcount, number of employees, purchased-debt face value, provider revenue from all states, trust-account peak and bond premium are not substituted for the statutory receipt-minus-commission measure.
For a debt buyer, a purchase price, accounting discount or entire collection receipt is not automatically an “earned commission.” The current public financial-statement form’s treatment of purchased accounts does not resolve that separate bond deduction. [C037, C044.]
E2. Statute versus public worksheet
The official blank bond’s second page instructs:
Plain text
A. Previous-calendar-year Minnesota debtor receipts.
B. Commissions earned in that year on those receipts.
C. A − B.
D. C ÷ $100,000.
E. D × $5,000.
F. E + $50,000.
G. Round F to the nearest multiple of $5,000.
Apply the $100,000 maximum.
The statute does not expressly state this rounding method. The public worksheet does; no binding interpretation reconciling every fractional increment or midpoint was located. Therefore:
- exact-increment examples are straightforward;
- a nonmidpoint worksheet result can be reported as the worksheet result;
- a midpoint is not silently rounded up, down or to even; and
- neither algebraic prorating nor a different whole-block convention is asserted as controlling law without further authority.
[C038; S032–S034.] mn.gov // Minnesota's State Portal
Other unresolved measurement issues include consolidated versus per-location receipts, multiple licensed offices, predecessor transactions, reversals crossing year-end and the time for a midyear adjustment. No automatic collector-count bond increase was found.
E3. Public instrument terms

| Aggregate limit |

The forms cite §§332.31–332.45, although the current chapter’s relevant endpoint is .44 and .45 is repealed. That stale citation must be preserved as a form defect/ambiguity—not used to revive repealed law. The exact accepted instrument and any rider remain necessary. [C040–C044, C058.] mn.gov // Minnesota's State Portal
E4. Security lapse and distinct money categories
Failure to maintain security is not cured by paying a renewal fee. Replacement security must actually cover the relevant period. Whether Commerce issues a suspension, cease-and-desist order or another sanction involves the applicable authority and process; no automatic enforcement outcome is invented. [C043.]

The 2024 date is deliberately not guessed
The enacted repeal of former §332.3351 has no date in paragraph (a); the adjacent January 1, 2025 clause expressly governs paragraph (b), a different repeal. New §332.3352 likewise has no local effective-date clause. The official House chapter summary broadly says January 1, 2025 unless otherwise noted.
That summary is not sufficient to assign the date to these particular unmarked provisions without completing the act-level reconciliation. Their current repealed/replacement status is established; their exact original transition date remains held. [C005, C058.] MN Revisor+2

| Bond endpoint citation |
Public forms still cite .45; current law cannot be replaced by that stale reference |
| Branch language in public FAQ |
Must be read with the later statutory employee home-location exception |
| Background-screening association name |
Statute and current page use different names; both allow an equivalent vendor |
| Affiliate names |
Statute says listed on license; current form describes electronic record listing |
| Initial main-office fee |
Statute authorizes $500 license plus investigation up to $500; agency page currently instructs a full $1,000 |
| Civil-judgment background questions |
A broad disclosure question is not itself proof that every judgment disqualifies under §332.35 |
| Ownership form’s 10% field |
Does not replace the statute’s general ownership-change notice requirement |

F2. Published decisions actually read
In the Matter of the Unlicensed Debt Collection Activity of PurCo Fleet Services, Inc., A25-0375 (Minn. App. Nov. 24, 2025), precedential, slip pp. 8–22. The court affirmed Commerce’s final cease-and-desist order. Its holdings address unliquidated rental-damage obligations, collection for others despite assignment where proceeds are remitted, and Minnesota-business/transaction nexus. It rejected the as-applied vagueness challenge. It did not adjudicate every buyer or unrelated out-of-state activity. Official opinion read; no complete subsequent-history certification. [C012.] mn.gov // Minnesota's State Portal
Nichols v. Metropolitan Bank, 468 N.W.2d 84, 85–87 (Minn. App. 1991). The published opinion affirmed dismissal of the surety claim arising from personal injury during automobile repossession under the then-applicable bond and law. It is not a current blanket repossession exemption or general immunity. The majority body was read through a public republication; an official image was not obtained. [C051.] Justia Law
No unpublished opinion or nonfinal administrative recommendation is used as controlling authority. Search-only materials concerning attorney collection and later administrative disputes were not adopted. No complete citator or all-final-order search is claimed.
F3. Necessary federal distinction
The FDCPA and Regulation F use their own consumer-debt, principal-purpose, regular-collection and exclusion tests. Their own-creditor employee, affiliate, public-duty, process-serving and nondefault-servicing provisions are not substitutes for §332.32. Conversely, a Minnesota lawyer or financial-institution exclusion does not automatically remove federal obligations. Federal security-interest treatment is also separate.
The CFPB’s official commentary expressly distinguishes a purchaser that neither collects for others nor has collection as its principal purpose. That is not Minnesota’s charged-off-debt-buyer definition. Section 332.37(a)(12)’s incorporation of federal prohibitions also requires a separate substantive analysis; it is not a reason to collapse the two credential tests. [C050.] U.S. Code+2

Facts |
Result or exact hold |
| P01 |
Retailer collects its original invoice in its own name |
No “for others” predicate on those stipulated facts; false-name or other facts can change the result |
| P02 |
Same retailer invents a name implying an outside collection firm |
§332.38 must be applied; original-creditor status is not sufficient |
| P03 |
Agency collects business invoices for clients |
Commercial purpose alone does not remove state collection coverage |
| P04 |
Purchaser buys charged-off consumer accounts and outsources every contact |
Debt-buyer definition expressly addresses outsourcing |
| P05 |
Purchaser buys performing loans for investment |
Charged-off-buyer limb not established; other activity/exclusion tests remain |
| P06 |
Assignee collects and remits most proceeds to seller |
Assignment alone does not defeat “for others”; PurCo facts are relevant |
| P07 |
Remote agency contracts with a Minnesota business |
Physical absence is not dispositive under PurCo |
| P08 |
Nonresident agency relies solely on its home-state license |
Current waiver predicates and actual order remain necessary |
| P09 |
Bank collects its own account and bears loss |
Express bank conditions are stipulated; unrelated vendor not included automatically |
| P10 |
Finance company enforces purchased unsecured claims with seller recourse |
Express exception to its listed exclusion must be tested |
| P11 |
Lawyer collects in legal practice; separate nonlawyer company also collects |
Lawyer category does not automatically cover the separate company |
| P12 |
Licensed mortgage servicer performs only licensed servicing |
New scope-limited exclusion may apply; unrelated collection remains separate |
| P13 |
Student-loan actor is exempt from servicer licensing but not licensed |
Cannot assume the new “licensed” exclusion; another route may matter |
| P14 |
Qualifying §501(c)(6) association collects member motor-fuel charges |
Narrow §604.15(4a) route; §332.37 still applies |
| P15 |
Registered employee works at home |
No extra branch if §332.33(5b) conditions hold |
| P16 |
Contractor works from the same home arrangement |
Employee exception not established; classification held |

Commonly controlled affiliate actively collects |
Does not meet the statutory non-active affiliate condition |
| P18 |
Applicant has a conviction; licensee’s bond also lapses |
Criminal eligibility requires separate §332.35/Chapter 364 analysis; security lapse is an independent issue |
These are applications of C008–C030, not actual permission decisions.
G2. Model 1 — Initial and renewal government charges; offices versus home employees
Assumptions
Fictional application on March 10, 2026:
- one main office;
- two separately licensable branches;
- six individual collectors;
- two of the six work from home as qualifying employees;
- no additional location, surcharge or approved waiver;
- agency’s published full $500 investigation charge applies.
Initial charges
Plain text
Main license: $500.00
Initial investigation: $500.00
Two branches: 2 × $500 $1,000.00
Six collectors: 6 × $10 $60.00
Additional home branches: $0.00
--------
Identified government charges: $2,060.00
The $0 home-branch line follows the stipulated employee exception—not a contractor rule.
Renewal charges
Plain text
Three agency/location licenses:
3 × $400 $1,200.00
Six collector renewals:
6 × $10 $60.00
--------
Identified renewal charges: $1,260.00
Premium, collateral, background-vendor charges, portal charges and organizational filing costs are not included because their amounts were not established.
The bond is not multiplied by six collectors. Whether separate office instruments or a commissioner-accepted multi-office arrangement are required remains an actual-instrument question; this model does not silently assume one $50,000 bond covers everything.
Paying $2,060 does not authorize the agency before approval. [C053.]
G3. Model 2 — Previous-calendar-year measure and the rounding boundary
Inputs
For a fictional 2026 bond calculation:
- 2025 Minnesota debtor receipts: $840,000.
- Commissions earned in 2025 on those receipts: $200,000.
- All other amounts excluded from this stated base.
- No purchase-price deduction is assumed.
Public worksheet calculation
Plain text
A = $840,000
B = $200,000
C = A − B = $640,000
D = $640,000 ÷ $100,000 = 6.4
E = 6.4 × $5,000 = $32,000
F = $32,000 + $50,000 = $82,000
Worksheet nearest-$5,000 result = $80,000.
Maximum does not change that result.
$80,000 is the published worksheet result, not a claim that this pass has independently adjudicated every statutory fractional-increment construction.
Boundary alternatives
| Net base |
Worksheet intermediate F |
Nearest-multiple issue |
| $640,000 |
$82,000 |
Nearest $5,000 is $80,000 |
| $650,000 |
$82,500 |
Exactly halfway between $80,000 and $85,000; no tie rule verified |
| $660,000 |
$83,000 |
Nearest $5,000 is $85,000 |
| $700,000 |
$85,000 |
Exact increment; no rounding issue |
The arithmetic threshold does not authorize choosing the lower midpoint, treating ordinary purchase cost as commission, or using current-year receipts instead of the previous calendar year.
The calculation produces a penal sum, not the premium or a consumer’s reimbursement. [C054.]
G4. Model 3 — Timely renewal, collector addition, and interrupted security
Assumptions
One agency license and two collectors are current through June 30, 2026.
- Renewal screening occurs May 15.
- Renewal is submitted May 20.
- Approval for the next term occurs June 10.
- These are deliberately nonboundary dates; no weekend/holiday filing deadline is calculated.
- The May 15 screening is 46 elapsed days before June 30 and within the statutory 60-day window.
- Bond requirement is stipulated at $90,000, supported by an exact net base of $800,000:
50,000 + (800,000 ÷ 100,000 × 5,000) = 90,000.
Plain text
Agency renewal: $400.00
Two collector renewals: 2 × $10 $20.00
-------
Renewal government charges: $420.00
A third collector is properly screened and submitted October 15:
Plain text
Additional registration: $10.00
Total identified year’s charges: $430.00
The headcount change does not itself change the receipt-based bond measure.
Security branches
Continuous branch: An actual instrument’s valid cancellation is stipulated to become effective October 1. Replacement security is accepted and effective September 20. No gap is assumed.
Adverse branch: Replacement instead begins October 5. October 1–4 is an uncovered interval under the stipulated instruments. The ten-day change-notice provision is not a security grace period. Paying the $420 renewal charge does not cure it.
License-lapse alternative: If the renewal were not effective and the license expired June 30, July operation would not be authorized merely because an application or fee was pending. No late/reinstatement amount is invented. [C055.]
G5. Model 4 — Maximum bond, operating money, provider outlay and aggregate losses
Bond inputs
Plain text
Previous-calendar-year Minnesota receipts: $1,400,000
Qualifying commissions: $200,000
Net base: $1,200,000
$1,200,000 ÷ $100,000 = 12
12 × $5,000 = $60,000
$60,000 + $50,000 = $110,000
Apply maximum: $100,000
Provider outlay—not the penal sum
Assume one agency renewal and four collector renewals:
Plain text
Government charges = $400 + (4 × $10) = $440.
Let PPP be the actual surety premium and KKK any actual collateral requirement, both unknown.
Plain text
Identified surety-route cash components = $440 + P + K.
The expression is not $100,440 unless a particular accepted cash-security arrangement creates that cash requirement. Even then, restricted security and an expensed government charge remain different categories.
Separate collection transaction
Assume a hypothetical transaction receives $12,000, with a separately stipulated lawful $2,000 agency commission and $10,000 remittance:
Plain text
Customer receipts: $12,000
Commission: $2,000
Creditor remittance: $10,000
Unremitted balance: $0
$12,000 − $2,000 − $10,000 = $0.
This is not consumer-fee authority or a completed trust-control analysis. It only prevents confusing remitted client money with premium, collateral or bond capacity. No creditor principal balance is inferred beyond the stipulated remittance.
Aggregate hypothetical losses
Suppose the actual issued instrument contains the public form’s continuing aggregate limit and two separately proven covered losses are assumed solely for illustration:
Plain text
Loss A: $60,000
Loss B: $55,000
Total: $115,000
Bond penal sum: $100,000
Arithmetic excess: $15,000
No claimant allocation, priority, defense or automatic payment is decided. The form does not provide $100,000 separately for each claimant or reset the same continuing obligation every year. [C056.]

PurCo was first located through public republications, then recovered from the official court archive. Those are one opinion, not independent authorities. Nichols remained a disclosed republication.
Bounded searches covered exact statute/rule numbers and terms including collection licensing, debt buyers, reciprocity, bond calculation, exclusions and published opinions, using official Revisor, Commerce and court sources. Nonfinal recommendations, unpublished opinions, complaints and proposed bills were not adopted as controlling law. No complete citator, all-order inventory or later-enactment certificate is claimed.

L. Researcher self-check and disposition
Actually read: The relevant current Chapter 332 bodies, necessary exclusion and qualification cross-references, selected enacted amendments, current repeal notices, public Commerce procedures and blank forms, the official PurCo opinion, the published Nichols body through a disclosed republication, and the narrow federal definitions comparison. Relevant PDF pages were visually inspected.
Not established: An actual actor’s exclusion or credential, current reciprocal-waiver order, accepted issued bond, complete public reinstatement procedure, a midpoint bond-rounding rule, multi-location bond allocation, every debt-buyer commission deduction, full criminal-history eligibility analysis, or complete later-law/citator coverage.
The four examples distinguish government charges, bond penal amounts, unknown private costs, collection receipts, creditor remittances and assumed losses. None treats payment of a charge, submission of an application, ownership of a debt or possession of a bond as permission to conduct every collection activity.
Bottom line: Minnesota’s collection credential gateway is broader than a simple “third-party consumer collector” label. Charged-off purchasers, remote activities, assigned claims, employees, affiliates and new servicer exclusions require their own predicates. The principal statutory and public-procedure framework is documented here; the stated interpretation and implementation gaps remain open.
No actual permission, state-parent completion, independent review, A066, A097 or A098 acceptance is claimed.
