S_MN — Minnesota PASS-02
2026 registration amendments, effective date, and incorporated exemptions
Research/access date: October 24, 2026 Pacific / October 25, 2026 UTC
Actual mode/model: Regular Chat, GPT-5.6 Sol Pro; no Deep Research
Relationship to PASS-01: Focused correction and completion only. PASS-01’s fee analysis, seven examples, source-access history, and unresolved nonregistration subjects are preserved.
Focused disposition
The previously unresolved effective-date issue is now resolved:
Minnesota Laws 2026, chapter 124, article 1, sections 59, 60, and 63 took effect August 1, 2026, at 12:01 a.m.
Accordingly, from that date:
- Section 332A.04, subdivision 1 no longer requires a debt-management registration applicant to submit proof of accreditation.
- Section 332B.04, subdivision 1 no longer requires a debt-settlement applicant to submit proof of accreditation or the alternative no-credit-counseling affidavit.
- The statutory definitions of “accreditation” in sections 332A.02, subdivision 2 and 332B.02, subdivision 2 are repealed.
- The registration obligations, sworn application, most application contents, fitness/history disclosures, standard-agreement submission, residual commissioner-information authority, and good-cause temporary-waiver language remain.
- None of these amendments changes Minnesota’s consumer-fee formulas or collection timing.
The official Revisor pages still display the 2025 compilation’s old language, accompanied by 2026 amendment/repeal warnings. Those pages therefore must be read together with the enacted session law; they are not a consolidated October 2026 statement of the amended text. Revisor's Office+3
No named provider’s registration or exemption has been established.
A. Focused substantive analysis
1. Replacement for PASS-01 section 4 currentness discussion
The following should replace PASS-01’s unresolved treatment of the four provisions:
Minnesota Laws 2026, chapter 124, article 1, section 59 deleted the accreditation-proof requirement from section 332A.04, subdivision 1 and renumbered the residual-information provision from clause (9) to clause (8). Section 60 deleted the accreditation-proof/no-credit-counseling-affidavit branch from section 332B.04, subdivision 1 and renumbered the residual-information provision from clause (8) to clause (7). Section 63 repealed the parallel “accreditation” definitions in sections 332A.02, subdivision 2 and 332B.02, subdivision 2. The act was signed May 27, 2026, at 12:30 p.m.; the four changes became effective August 1, 2026, at 12:01 a.m. They contain no special transition or retroactivity clause. Registration itself, the remaining application contents, and the commissioner’s temporary good-cause waiver authority were not repealed. The current online statute pages remain the 2025 compilation with explicit 2026 session-law warnings and therefore do not yet display a fully consolidated October 2026 text. Revisor's Office+5
2. Four-provision before/after/version/effectiveness matrix
| Affected provision |
Before the 2026 amendment |
Enacted wording/change |
What remains after the change |
Version, effective date, and application |
| Minn. Stat. §332A.04, subd. 1 — DMP application |
The displayed 2025 text required: “(8) proof of accreditation,” except for an applicant licensed in Minnesota as a debt prorater immediately before August 1, 2007; former clause (9) authorized other commissioner-required information. |
Chapter 124, article 1, §59 deletes former clause (8) in full and renumbers former clause (9) as clause (8). Revisor's Office+1 |
Written and sworn commissioner-form application; principals; physical address/contact information; trust-account identification; Minnesota-jurisdiction consent; registered agent or commissioner appointment; extensive background/fitness disclosures; standard DMP agreement; other commissioner-required information; and temporary waiver for good cause. Revisor's Office |
Enacted against Minnesota Statutes 2024; signed May 27, 2026; effective August 1, 2026, 12:01 a.m. No express transition clause. Current Revisor page still displays old clause (8) with a 2026 warning. |
| Minn. Stat. §332B.04, subd. 1 — settlement application |
The displayed 2025 text required accreditation unless the applicant submitted an affidavit that it did not provide credit counseling; former clause (8) authorized other information. |
Chapter 124, article 1, §60 deletes former clause (7), including both accreditation proof and the alternative affidavit, and renumbers former clause (8) as clause (7). Revisor's Office+1 |
Written and sworn commissioner-form application; principals; physical address/contact information; Minnesota-jurisdiction consent; registered agent or commissioner appointment; background/fitness disclosures; standard settlement agreement; other commissioner-required information; and temporary waiver for good cause. Revisor's Office+1 |
Enacted against Minnesota Statutes 2024; signed May 27, 2026; effective August 1, 2026, 12:01 a.m. No express transition clause. Current Revisor page still displays old clause (7) with a 2026 warning. |
| Minn. Stat. §332A.02, subd. 2 — DMP accreditation definition |
Defined “accreditation” by reference to certification from the Council on Accreditation, Bureau Veritas Certification North America, Inc., or BSI Management Systems America, Inc. |
Chapter 124, article 1, §63 repeals subdivision 2. Revisor's Office+1 |
The remaining Chapter 332A definitions and substantive registration provisions are untouched by this repealer. The repeal does not itself repeal registration, bond, fee, agreement, conduct, or fitness provisions. |
Effective August 1, 2026, 12:01 a.m. No separate grandfathering or pending-application language appears in §63. The 2025 page still prints the repealed definition but identifies the repeal in its warning/history. |
| Minn. Stat. §332B.02, subd. 2 — settlement accreditation definition |
Contained the parallel accreditation definition. |
Chapter 124, article 1, §63 repeals subdivision 2. Revisor's Office+1 |
The remaining Chapter 332B definitions—including settlement services, provider, exempt attorney, and lead generator—remain. Registration and substantive duties were not repealed by §63. |
Effective August 1, 2026, 12:01 a.m. No separate transition clause. The 2025 page still prints the repealed definition with an explicit 2026 warning. |
Narrow legal result
For a new application governed by law on or after August 1, 2026, the statute no longer identifies accreditation proof—or, for settlement providers, a no-credit-counseling affidavit—as a required application item.
That does not mean:
- registration became optional;
- an application can omit all background or fitness material;
- the commissioner’s general information authority disappeared;
- the good-cause waiver became an exemption from registration;
- a provider is automatically approved;
- a provider may avoid a current agency form or lawful supplemental request; or
- any fee, timing, bond, agreement, training, competence, or conduct rule outside these four provisions was repealed.
The retained residual clauses allow the commissioner to request “other information and material.” This pass did not locate a post-August 1 form, rule, order, or published interpretation establishing whether Commerce has revised its operational application package or what supplemental material it currently requests. It would be improper to infer either that accreditation can be routinely reimposed through that residual clause or that no related competence evidence may ever be requested.
3. Effective-date reconciliation
3.1 Signature is not the effective date
Chapter 124 was presented to the governor on May 20, 2026 and signed on May 27, 2026, at 12:30 p.m. The signature timestamp establishes final enactment chronology; it does not, by itself, make every section effective that day. Revisor's Office+1
3.2 Sections 59, 60, and 63 contain no special effective-date clause
The enacted text proceeds directly:
- from §59’s amended application language to §60;
- from §60’s amended language to §61; and
- from §63’s repealer to Article 2.
No special effective-date or application sentence follows §§59, 60, or 63. Revisor's Office+2
3.3 Section 62’s day-following clause does not migrate to section 63
Article 1, §62 modifies effective dates for specified provisions of Laws 2026, chapter 48 and then says, “This section is effective the day following final enactment.” Its grammatical and structural subject is §62 alone. Section 63 begins a new repealer immediately afterward and has no such clause. Revisor's Office+1
Thus:
- §62’s date is not §63’s date;
- proximity does not create a shared effective-date provision; and
- May 28, 2026 is not the effective date of the accreditation repeals.
3.4 Minnesota’s ordinary default and time-of-day rule
Minnesota Statutes §645.02 provides that an act other than one making appropriations takes effect on the next August 1 unless the act specifies another date. It separately provides a July 1 default for an appropriation act or an act having appropriation items. Every act takes effect at 12:01 a.m. on its effective date unless another time is specified. Revisor's Office
3.5 Appropriation classification was checked rather than assumed
Chapter 124’s official title describes a commerce policy act and does not include an “appropriating money” clause. A full-act text search for appropriation language identified:
- Article 1, §61’s deletion of an earlier annual appropriation provision; and
- an already-existing standing appropriation sentence reproduced in Article 4, §4, where the enacted change substitutes “taxpayer” for “insurance company.” That section has its own express applicability date for taxable years beginning after December 31, 2028. Revisor's Office+3
Neither passage supplies a July 1 effective date to the unmarked accreditation provisions. The conclusion does not rest solely on the act’s title or on a search for monetary wording.
Most importantly, Minnesota House Public Information’s official chapter record states that Chapter 124 takes effect August 1, 2026, unless otherwise noted, and its official “New Laws Effective Aug. 1, 2026” release identifies HF4188/SF4365/Chapter 124. Minnesota House+3

3.6 Application and transition
Minnesota presumes against retroactive operation unless the legislature clearly and manifestly intended retroactivity. Section 645.31 additionally provides that new amendatory provisions become effective when the amendment becomes effective, while unchanged portions retain their original effective history. Revisor's Office+1
Sections 59, 60, and 63 contain no statement that they:
- reopen or alter completed pre-August 1 application decisions;
- retroactively excuse a pre-August 1 omission;
- invalidate accreditation material previously submitted;
- dictate treatment of an application filed before but still pending on August 1; or
- create a special grandfathering period.
Therefore:
- Post-August 1 statutory content: accreditation proof and the settlement affidavit branch are no longer enumerated requirements.
- Completed pre-August 1 matters: no retroactive conclusion should be inferred.
- Applications pending across August 1: exact administrative treatment remains unresolved. A post-effective-date Commerce form, order, instruction, or controlling authority is needed before asserting how an already-pending file was handled.
4. Registration survived intact
The amendment did not touch the core registration statutes.
Section 332A.03 continues to make it unlawful for an in-state or remote person to operate or provide covered debt-management services—including offering, advertising, or executing agreements—without first becoming registered, except as otherwise authorized by law. Its historical debt-prorater provisions and §58A.04 cross-reference remain; §58A.04 was not read in full in this pass. Revisor's Office
Section 332B.03 similarly continues to cover remote providers and offering, advertising, operating, or executing covered debt-settlement agreements without prior registration, subject to its legal-authorization and 2009-transition language. Revisor's Office

The waiver language permits the commissioner, for good cause, to temporarily waive a requirement of the subdivision. It is not a categorical waiver of the registration requirement in §332A.03 or §332B.03. Revisor's Office+1
No fee provision was amended by §§59, 60, or 63. PASS-01’s fee claims remain subject to their existing qualifications, without recalculation or enhancement here.
B. Incorporated-exemption boundary
1. Exact cross-reference route
Section 332B.02, subdivision 13 defines a debt-settlement-services provider broadly, including remote providers and persons to whom services are delegated. It then excludes three categories:
- the separately defined exempt attorney at law;
- persons listed in §332A.02, subdivision 8, clauses (2) through (12); and
- a debt-management-services provider. Revisor's Office
The cross-reference is expressly to clauses (2)-(12). It does not import clause (1) as a unit.
Consequently:
- an attorney seeking the Chapter 332B exclusion must satisfy §332B.02, subdivision 13a rather than relying merely on the broader wording of §332A.02, subdivision 8, clause (1);
- escrow agents and broker-dealers listed in clause (1) are not imported into the settlement-provider exclusion through this particular cross-reference; and
- this does not determine whether another statute or fact-specific route could apply to such a person.
2. Minimal incorporated-exemption matrix
| Route |
Exact Minnesota conditions |
Boundary/result |
| §332B.02(13) → §332A.02(8), clauses (2)-(12) |
Only the persons in clauses (2)-(12) are cross-referenced. Section 332A.02(8)’s lead-in limits its exclusions to services performed while those persons are engaged in the regular course of their respective businesses or professions. Revisor's Office+1 |
A category label alone is insufficient. The actual person, service, and regular-course facts must match the incorporated clause. |
| Attorney under §332B.02(13a) |
Attorney must be licensed or otherwise authorized to practice in Minnesota; the attorney’s exclusive or principal practice must not involve debt-settlement services; and the attorney must not have a business relationship with a debt-settlement provider involving those services. Revisor's Office |
Merely employing, contracting with, or being connected to an attorney does not establish the exclusion. |
| Enrolled agent — incorporated clause (12) |
The person must fit Minnesota’s definition: a person defined under 26 C.F.R. §601.502 and authorized to practice before the IRS under 31 C.F.R. §10.3. The relevant services must also be performed in the regular course of that profession. Revisor's Office+1 |
“Tax professional,” “tax expert,” or “enrolled-agent services” marketing language is not enough. Actual qualifying status is required. |
| Enrolled-agent firm — incorporated clause (12) |
The entity must be an association, corporation, partnership, or sole proprietorship that is owned by or employs enrolled agents; its practice must in whole or part, for a fee, involve assisting debtors with delayed delinquent-tax payment, payment plans, or settlement for less; every debtor contract must be reviewed and signed by an employed enrolled agent; an enrolled agent must be responsible for all work and obtain a power of attorney or disclosure authorization; and an enrolled agent must file that authority according to applicable Internal Revenue Code procedures. The regular-course condition also applies. Revisor's Office |
Ownership or employment of one enrolled agent is only one element. Contract review/signature, responsibility, authorization, filing, service type, and regular-course requirements must all be addressed. |
| Debt-management-services provider exclusion |
Section 332B.02(13) separately excludes a debt-management-services provider. |
This does not establish that a mixed-service company is registered, that all of its activities are DMP activities, or that settlement conduct is insulated merely because the entity also provides DMP services. Mixed-function classification remains fact dependent. |
3. Tax-service significance
Section 332B.02, subdivision 10 ordinarily includes offering advice or acting as an intermediary to delay delinquent-tax payment, establish a delinquent-tax payment plan, or obtain a settlement for less than the full tax debt. The enrolled-agent/enrolled-agent-firm route can remove a qualifying person from the provider definition, but only through the exact incorporated conditions above. Revisor's Office+1
This is not:
- a registration issued by Minnesota;
- evidence of federal enrolled-agent status;
- proof that a particular firm’s contracts and operating procedures qualify;
- a general exemption for all tax-relief marketers;
- an exemption for work outside the regular course of the listed profession; or
- a conclusion about other federal, state, or professional-practice laws.
No actual provider has been tested against these elements.
