S_MN PASS-08 — Credit-repair representations, Minnesota CSOs, CROA, and the TSR
Research/access date: October 27, 2026, America/Los_Angeles.
Component: Minnesota credit-services-organization classification, payment restrictions, required agreements and cancellation rights, and the necessary federal credit-repair overlay.
Disposition: The principal statutory requirements are established within the version limits below. Minnesota registration or security does not authorize advance credit-repair fees. When the TSR’s credit-repair provision applies, completed work alone is insufficient: its separate represented-timeframe and documented-results requirements must also be met.
P01 and its source-access history remain unchanged. P02–P04 retain their separate scopes and holds. P05/P06 fee findings are not credit-repair permission. P07’s unreviewed answer is not a premise for this pass.
Throughout, S001 means S_MN-P08-S001. Claims C001–C058 are specific to this pass.
A. Principal conclusions
A1. Three regimes—not one interchangeable “debt relief” rule
| Regime |
Relevant coverage |
Principal payment restriction |
| Minnesota CSO law, §§332.52–332.60 |
Paid credit-improvement, credit-obtaining, or related advice/assistance involving credit extended by others, unless an actual exclusion applies |
No charge or receipt before full and complete performance of the agreed services |
| Federal CROA, 15 USC 1679a–1679j |
Use of interstate-commerce instrumentalities or the mails to sell paid services for the express or implied purpose of improving a consumer’s credit record/history/rating, including advice or assistance, subject to its own exclusions |
No charge or receipt for an agreed service before that service is fully performed; compliant contract and waiting-period requirements also apply |
| TSR credit repair, 16 CFR 310.4(a)(2) |
A covered seller/telemarketer and telephone campaign offering the specified credit-repair representations, subject to applicable jurisdictional and transaction exemptions |
No request or receipt until the represented timeframe has expired and the consumer has been provided the required report demonstrating promised results, issued more than six months after those results were achieved |
These are cumulative where their respective predicates are met. A debt-relief agreement or first creditor payment under §310.4(a)(5) does not replace §310.4(a)(2). [C010, C025, C037–C040.] MN Revisor+2
A2. A material Minnesota amendment must be applied
Laws 2026, chapter 124, article 1, §58 replaces the old prorating-agency exclusion in §332.52(3)(b)(5) with an exclusion for a person registered as a debt-management-services provider or debt-settlement-services provider, acting within the course and scope of the applicable registration.
The amendment became effective August 1, 2026, at 12:01 a.m. The selected enacted section has no separate effective-date clause; the official House chapter record identifies August 1 unless otherwise noted, and §645.02 supplies the time of day. The act-level classification previously reviewed in P02 is preserved as dated context, not represented as a fresh complete-act read. [C002.] MN Revisor+2
That state exclusion:
- is limited to the actual registration’s scope;
- does not establish that a separate credit-repair service falls within that scope;
- does not establish a CROA exclusion; and
- does not override other applicable prohibitions.
A narrow, freshly read boundary is especially important: §332B.10(7) prohibits a settlement provider from indicating that entering a settlement agreement or settling debts will have no effect on, or improve, the debtor’s credit, rating, or score. The amended CSO exclusion cannot be treated as permission to make that claim. [C007, C044.] MN Revisor
A3. No Minnesota advance-fee trust exception was established
Section 332.55 requires a $10,000 annual surety bond and permits the commissioner to accept qualifying cash or securities instead. Its reference to securities eligible for trust-fund investment describes eligible security—not permission to collect customer fees into a trust account before performance.
Section 332.56(2) addresses whether a salesperson, agent, or representative needs a separate bond when the organization complies with the performance-based payment rule. It does not reverse that rule or waive the organization’s security requirement. [C009–C012.] MN Revisor+1
A4. Cancellation and contract defects require different analyses
Minnesota’s contract provision uses five days; CROA’s operative cancellation provision uses three business days. Minnesota’s separate required rights statement also contains three-business-day wording. These texts cannot be collapsed into one invented deadline or silently rewritten.
A timely ordinary Minnesota cancellation carries the specified ten-day payment-return term. A materially noncompliant CROA contract raises voidness and unenforceability under §1679f(c), plus possible statutory liability—not a universally identical ten-day refund procedure. [C014–C020, C027–C032.] MN Revisor+3
B. Actor, representation, and coverage analysis
B1. What Minnesota calls a CSO
Section 332.52 focuses on the actual paid activity, not the business’s chosen label. The relevant services are improving credit, obtaining an extension of credit, or advice/assistance concerning either, with respect to credit extended by others. The buyer is an individual; the defined extension of credit is primarily for personal, family, or household purposes. [C004–C005.] MN Revisor

B2. Exclusions must be tested separately
Minnesota exclusions
The current §332.52(3)(b), read with the 2026 amendment, contains the following categories. The qualifications are part of the exclusion, not optional details.
| State category |
Necessary statutory qualification |
| Authorized lender |
Authorized under state or federal law and subject to the specified regulation/supervision, or the stated HUD-approved mortgage-lender category |
| Bank, savings bank, or savings and loan institution; specified subsidiary |
Deposits/accounts eligible for the stated FDIC insurance condition |
| Credit union |
The listed credit-union categories, including an out-of-state credit union doing business in Minnesota |
| Nonprofit |
Exempt under §501(c)(3), with the state statute’s express December 31, 1990 incorporation language preserved |
| DMP or settlement provider |
Actual registration and conduct within its course and scope, under the 2026 amendment |
| Real-estate broker |
Minnesota license and conduct within its course and scope |
| Collection agency |
Minnesota license and conduct within its course and scope |
| Attorney |
Minnesota practice license and services within the course and scope of attorney practice |
| Securities/commodities broker-dealer |
Specified registration and conduct within its scope |
| Consumer reporting agency |
The incorporated FCRA definition, with the statute’s stated historical incorporation date |
Section 332.53 assigns the burden of proving an exemption or definitional exception to the person claiming it. No actual actor’s qualification was established. [C006–C008.] MN Revisor+2
Federal CROA exclusions
| Federal category |
Exact boundary relevant here |
What does not establish it |
| Nonprofit exempt under §501(c)(3) |
Both actual nonprofit operation and the specified tax-exempt status matter under the published Zimmerman construction |
A generic nonprofit label, state nonprofit formation, or IRS recognition alone under that decision |
| Creditor |
A creditor as defined by §1602, to the extent it assists restructuring debt the consumer owes that creditor |
Negotiating unrelated creditors’ debts or merely calling a service firm a creditor |
| Depository institution |
Actual §1813 status; the definition distinguishes a depository institution from an insured depository institution |
Holding customer money at an insured bank |
| Federal or state credit union |
Actual §1752 status |
Using a credit union’s payment account |
| Affiliate or subsidiary of a qualifying depository institution or credit union |
The statutory relationship must actually exist |
A referral, vendor, sponsorship or bank-processing relationship |
| Attorney |
No general attorney exclusion appears in the operative CROA definition read |
Minnesota’s attorney exclusion does not supply a federal one |
| DMP, settlement, publisher or educational label |
No corresponding general exclusion appears in the operative definition |
Registration, a disclaimer or a business-category description |
The creditor cross-reference was checked: §1602(f) defines credit, while §1602(g) contains the creditor definition and qualifications. CROA’s older reference to §1602(e) is accompanied by an editorial redesignation note. The depository and credit-union definitions were also opened, rather than inferred from the CROA cross-reference alone. [C022–C024.] U.S. Code+4
TSR jurisdiction remains a third inquiry. A state exclusion does not establish a federal exemption, and a CROA exclusion does not establish that every seller or third-party telemarketer involved is outside the TSR.
C. Minnesota registration, security, payments, and contracts
C1. Registration is not fee authorization
Section 332.54 requires registration for the specified offering, advertising and contract activity in Minnesota. It requires registration information, a contract copy and security evidence; registrations expire June 30. The displayed government charge is $1,000 for issuance or renewal, per location. These are provider-government requirements, not authorized consumer-fee amounts. [C008.] MN Revisor
Section 332.55 separately specifies a $10,000 annual bond, also expiring June 30, or commissioner-accepted substitute security. The full operational treatment of §58A.04’s registration cross-reference, current forms, actual registration and full security controls remains deferred. [C009.] MN Revisor
C2. Consumer payment rules
| Event |
State rule or consequence |
Distinction |
| Provider or covered salesperson/agent/representative/independent seller demands or receives payment before agreed services are fully and completely performed |
Prohibited by §332.56(1)(1) |
A signed invoice, bank receipt or refundable label is not performance |
| Separate “analysis,” “setup,” or “subscription” charge |
Requires examination of the actual agreed service package and representations |
No general per-letter, per-month or setup-fee safe harbor was established |
| Consumer pays into an asserted trust account before performance |
No applicable advance-fee exception was found in these provisions |
The bond’s substitute-security mechanism is not such an exception |
| Organization maintains required bond/security |
Satisfies a different condition if all requirements are met |
Does not accelerate the fee date |
| Fee for merely referring a buyer to publicly available retail credit on substantially the same terms |
Separately prohibited by §332.56(1)(2) |
Not a general credit-broker fee approval |
| Fee amount after lawful performance |
No general numeric consumer-fee ceiling or inflation formula was found in §§332.52–.60 |
Absence of a numeric cap is not approval of any amount or practice |
The state also prohibits the specified false credit statements and deceptive representations or practices. [C010–C013.] MN Revisor+1
C3. Required disclosure, contract, cancellation and refund evidence

No matching field in the relied-on federal contract section |
Substantiated percentage and period |
| Waiting to begin work |
No separate universal service-start wait was established in §§332.52–.60 |
No services before the end of §1679d(a)(2)’s three-business-day period |
Start date, not merely billing date |
| Cancellation notice |
Duplicate, attached, easily detachable, bold, same language as contract |
Duplicate bold notice with specified content |
Completed notices and supplied copies |
| Copies |
At signing |
At signing, including other required signed documents |
Delivery record |
| Ordinary cancellation |
State contract text uses five days; notice promises all payments returned within ten days after seller receipt |
Operative cancellation provision uses three business days without penalty or obligation |
Actual notice, receipt, applicable computation and return record |
Authorities: §§332.57–.58; 15 USC 1679c–1679e. [C014–C018, C026–C029.] MN Revisor+4
The textual mismatch is preserved—not silently “fixed”
Three points require explicit qualification:
- Minnesota’s §332.57 prescribed rights statement now refers to three business days, while §332.58 retains five-day cancellation language.
- The federal operative cancellation provision and signature disclosure use three business days, but the prescribed §1679e(b) notice itself says “3rd day.”
- Minnesota’s older §332.58 signature statement refers to a 30-day adverse-action report period, while §332.57’s amended statement and the federal prescribed statement refer to 60 days.
The 2020 enacted amendment to §332.57 was read. It did not, in the selected amendment, rewrite §332.58. These discrepancies are not a basis to shorten the separate state cancellation right or to invent a compliant combined form. No responsive controlling interpretation resolving form harmonization was located. [C015, C029.] MN Revisor+2
The mandatory statutory credit-file narratives are reported as required text, not as a complete current FCRA explanation. FCRA reporting exceptions, investigation rights and permissible-purpose details remain separate.
C4. Cancellation is not the same as defective-contract relief
| Situation |
Supported result |
What remains separate |
| Timely ordinary Minnesota cancellation |
The prescribed notice provides return of payments within ten days after receipt of cancellation |
Exact deadline computation, disputed receipt and actual transactions |
| CROA timely cancellation |
No penalty or obligation within the operative cancellation period |
CROA §1679e does not itself supply Minnesota’s ten-day return wording |
| Waiver of statutory protection |
Minnesota waiver provisions and CROA nonwaiver provisions apply |
A signed waiver does not cure prohibited conduct |
| CROA contract fails applicable requirements |
§1679f(c) makes it void and unenforceable |
Precise defect, remedy and adjudicated recovery |
| Minnesota damages action |
§332.60 conditions the action on damages from a violation; recovery has the stated amount-paid floor, costs/fees and possible punitive component |
Not every asserted defect automatically establishes every remedy |
| CROA liability |
§1679g specifies the greater-of actual damage/amount-paid measure, possible punitive damages and successful-action fees/costs |
No automatic double recovery under overlapping statutes |
| Minnesota enforcement |
§332.59 provides misdemeanor and civil/enforcement cross-references |
Full §8.31, §45.027 and §325F.69 analysis was not undertaken |
[C019–C020, C030–C032.] MN Revisor+4
D. Federal payment sequencing and state interaction
D1. CROA performance is not the TSR’s six-month-results test
CROA prohibits charging or receiving payment for an agreed service before it is fully performed. Minnesota’s wording addresses full and complete performance of the services agreed for the buyer. Neither provision gives a general permission to split one unfinished promised program into separately invoiceable fragments.
A genuinely completed, separately defined advice engagement is different from an installment of an ongoing credit-improvement promise. This report does not establish a universal pay-per-deletion, monthly subscription or cancellation-earned-fee formula. [C010, C025, C047.] MN Revisor+1
For a covered TSR credit-repair transaction, there are two additional predicates:
Plain text
T1: The timeframe represented for all goods/services has expired.
T2: The seller has provided the consumer a qualifying CRA consumer report:
• demonstrating that the promised results were achieved; and
• issued more than six months after those results were achieved.
Both must be met before requesting or receiving payment. The time runs from the achieved results, not automatically from enrollment, signing, the first letter, completion of work, or a creditor payment. A report issued too early does not become qualifying merely because it is delivered later. [C037–C039.] eCFR
The Commission’s 2003 final-rule explanation retained the credit-repair restriction and discussed its two-part structure. Current FTC staff guidance also explains the rule; the operative current regulation remains the primary authority. The guide’s broader historical statements were not adopted wholesale. Federal Register+1
D2. Coverage, calls and exemptions
| Facts |
Necessary federal result |
| Paid improvement advice sold through an interstate website, no covered sales calls |
CROA can apply; TSR coverage is not established by the website alone |
| Outbound campaign involving more than one interstate call |
Test seller/telemarketer, service and jurisdictional predicates |
| Consumer calls in response to credit-repair advertising |
Credit-repair services are carved out of the ordinary advertising-response exemption |
| Consumer responds to targeted mail/email credit-repair solicitation |
The corresponding direct-mail exemption also contains a relevant carve-out |
| Truly unsolicited consumer call |
Separate exemption conditions apply; upselling must be considered |
| Qualifying face-to-face presentation before sale/payment authorization |
§310.6(b)(3)’s partial exemption may matter |
| Nonprofit or financial-institution claim |
Actual federal jurisdiction and actor status must be established; a third-party seller/telemarketer does not automatically inherit another entity’s status |
| Pure business-purpose transaction |
Minnesota’s consumer-purpose definition and federal provisions must be applied separately; no universal business exemption is supplied here |
A qualifying face-to-face TSR exemption does not itself remove CROA or Minnesota obligations. The actual sequencing, not a promised later meeting, matters. [C035–C036.] eCFR+2
Covered telemarketing also requires the relevant cost, restriction and refund disclosures and forbids material misrepresentations about performance, refund terms or affiliation. This pass does not review calling hours, DNC or a complete calling-compliance program. [C041.] eCFR
D3. No borrowing exceptions from neighboring provisions
The licensed-attorney exception printed in §310.4(a)(3) concerns the neighboring recovery-services provision. It is not an attorney exception to credit repair under (a)(2).
Likewise, §310.4(a)(5)(ii) describes a conditional debt-relief account arrangement in relation to (a)(5)(i). It does not say that a credit-repair seller may evade (a)(2), CROA, or Minnesota’s performance restriction by putting advance fees in an insured account. [C040.] eCFR
D4. State-law interaction
CROA’s §1679j preserves state law except to the extent of inconsistency. It does not say that a state license, exclusion or bond supplies a federal exemption.
The analysis here treats the state and federal performance requirements as independently applicable when their predicates fit. A longer state cancellation protection is not treated as automatically displaced by the federal three-business-day protection. Exact combined-form wording and deadline computation remain held, rather than being decided solely from that general preemption provision. [C033.] U.S. Code
E. Published decisions actually read
| Decision and posture |
Holding used |
Citation and limits |
| Zimmerman v. Cambridge Credit Counseling Corp., 409 F.3d 473 (1st Cir. 2005); appeal from dismissal; judgment vacated and remanded |
CROA’s nonprofit exclusion requires actual nonprofit operation and §501(c)(3) status. The complaint’s allegations were sufficient to proceed; the opinion did not establish those allegations as final facts. |
Merits opinion May 31, 2005; rehearing notation July 20. Published opinion body read through a republication after the attempted official route failed. Persuasive, not controlling First Circuit authority in Minnesota. |
| Zimmerman v. Puccio, 613 F.3d 60 (1st Cir. 2010); appeal from summary judgment |
Credit-improvement advice is not limited to backward-looking deletion. The actual representations supported CROA coverage despite contrary contractual language. The court affirmed the misleading-representation liability addressed in its opinion. |
July 27, 2010; official 36-page opinion read, particularly slip pp. 23–28 and disposition. It did not decide all alternative theories. No underlying district-court opinion quoted there is represented as freshly opened. |
| CompuCredit Corp. v. Greenwood, 565 U.S. 95 (2012); Supreme Court reversal |
CROA does not categorically preclude enforcement of an arbitration agreement under the FAA. Statutory substantive protections and a chosen arbitral forum are not the same question. |
January 10, 2012; majority body at pp. 97–104 read in official U.S. Reports. The Court did not decide that the defendants were CROs; it assumed that predicate for the question presented. No conclusion that every arbitration clause is enforceable. |
Sources S026–S028. Relevant PDF pages were visually inspected. No dissent, syllabus, party argument or unpublished opinion is substituted for the majority holdings. No complete subsequent-history or citator certification was performed. [C023, C034, C043.] Justia Law+2
No responsive published Minnesota majority decision or binding administrative interpretation was located and read resolving the state disclosure-form inconsistency, a CSO advance-fee security exception, or a universal partial-service billing rule. That is a bounded search result—not proof that no such authority exists. [C046.]

G. Sixteen new fictional postures
| Posture |
Fictional facts |
Decision or unresolved condition |
| P01 — Unpaid reporting |
A free article describes consumer rights and offers no paid improvement service |
Paid-service coverage is not established by that fact alone; no publisher safe harbor declared |
| P02 — Paid general education |
A $25 budgeting course makes no credit-improvement or credit-obtaining claim |
Actual purpose and sales impression matter; education label alone is not dispositive |
| P03 — Individualized score advice |
A $240 service reviews a consumer’s circumstances and supplies a plan intended to improve credit |
Relevant CSO/CROA advice predicates are present, subject to exclusions and nexus |
| P04 — Cash-flow-only work |
A service promises only expense organization |
Incidental possible credit benefits do not automatically establish a repair representation |
| P05 — Dispute help plus settlement |
One package promises debt negotiation and removal of adverse report entries |
Test both actual services; ordinary debt-relief payment predicates do not replace credit-repair requirements |
| P06 — Contradictory disclaimer |
Contract says “not credit repair”; website promises a higher score |
Actual representations remain material; disclaimer is not conclusive |
| P07 — Minnesota attorney |
Licensed attorney supplies genuine legal services within practice scope |
State exclusion may apply; no blanket CROA attorney exclusion is established |
| P08 — Generic nonprofit |
State nonprofit corporation has no established §501(c)(3) status |
Neither the state nor CROA exclusion is established merely by that label |
| P09 — Real §501(c)(3) organization |
Qualifying status and actual nonprofit operation are stipulated |
CROA exclusion may apply; actual TSR and state predicates still require their own analysis |
| P10 — Own creditor restructuring |
A qualifying creditor restructures debt owed to itself |
CROA creditor exclusion is limited to that activity; unrelated-debt advice is not automatically excluded |
| P11 — Bank-account vendor |
A repair company holds funds at an insured bank |
That does not make the company a depository institution or create advance-fee permission |
| P12 — Bonded CSO |
Registered organization posts required security and bills before doing the work |
Security does not satisfy the performance restriction |
| P13 — Inbound ad/upsell |
Consumer calls a credit-repair advertisement, or is upsold repair during another call |
Test the current credit-repair carve-outs and upsell provisions; inbound is not automatically exempt |
| P14 — Face-to-face |
No sale or payment authorization occurs until after a genuine qualifying presentation |
TSR partial exemption may apply; CROA/state duties do not disappear |
| P15 — Incomplete promise or early report |
Letters are sent, promised correction is unfinished, or report predates the required interval |
Work, results, represented timeframe and report date are different facts |
| P16 — Cancellation, waiver and arbitration |
Buyer cancels promptly; alternatively contract omits required terms or demands a statutory waiver |
Apply ordinary cancellation or defect/nonwaiver rules as appropriate; arbitration alone is not categorically a forbidden waiver |
Authorities and qualifications: C004–C044. These are hypothetical applications of the cited bodies, not actual consumer or provider determinations.
H. Four conditional fee, cash, refund, and timeline models
Common conventions
All amounts are fictional USD. They are contract prices, not statutory caps. No model assumes a guaranteed score increase, a right to delete accurate information, or invalidity of a creditor debt.
The required reconciliation is an allocation of customer receipts:
Plain text
Opening unapplied customer cash
+ receipts
− amounts lawfully transferred/applied as provider fees
− refunds
− actual creditor transfers
= closing unapplied customer cash.
A fee application does not mean money physically disappears from the provider’s bank account. It moves from unapplied customer receipts into the modeled provider-fee category. This notation does not assert a statutory CSO trust-account requirement.
All selected amounts calculate exactly to cents. No statutory rounding rule or real consumer deadline is inferred.
M01 — Completed individualized advice without a covered telephone-sales campaign
Facts
- Consumer debts: A $3,500; B $4,500.
- October 1, 2026: separate required disclosures delivered before a compliant contract is executed; completed contract and notices delivered that day.
- Price: $240 for a report review, written individualized credit-improvement advice plan and final written follow-up.
- No promised score result, deletion guarantee, future monitoring, or remaining service.
- Sales occur through a website and email; no covered telephone-sales campaign is stipulated.
- Work begins October 12, deliberately after both cancellation/waiting intervals without calculating their boundary.
- All promised services are completed October 20.
- Consumer pays $100 on October 21 and $140 on October 23.
- No cancellation notice is received.
This is a single completed engagement—not a monthly segment of an unfinished program.

Conditional result: The full-performance payment condition can be met on the stipulated facts. No TSR credit-repair permission is claimed; its telephone predicate is not established in this model.
Adverse branch: If the actual offer also promised a specified score improvement, continuing monitoring, or a later report correction, October 20 completion of the listed documents would not necessarily complete the actual promise.
Creditor balances remain $8,000 total, assuming no separately modeled interest, payments or charges. The $240 service payment does not reduce either debt. [C048.]
M02 — State security does not validate an advance receipt; timely cancellation
Facts
- The organization’s own $10,000 security is assumed accepted under §332.55. It is not customer money and is outside this ledger.
- Consumer debts: A $6,000; B $10,000.
- October 5: required disclosure and contract copies are supplied; the contract promises a $600 service package.
- The organization nevertheless receives $600 that day before performance.
- October 6: seller receives the consumer’s signed written cancellation.
- October 8: seller returns the entire $600.
- No services or creditor transfers occurred.
The next-day cancellation avoids a boundary-day counting dispute.

$0 + $600 − $0 − $600 − $0 = $0.
Result: The receipt was not made lawful by the security. The assumed timely cancellation requires return of the payment under the Minnesota notice terms; the October 8 refund is within that period. Returning the money does not erase the earlier prohibited receipt or decide additional remedies.
No $1,000 registration charge or security expense is deducted from the consumer’s refund. Creditor debt remains $16,000, under the no-accrual assumption. [C049.]
M03 — Telemarketing credit repair: work completion and the report clock are separate
Facts
Assume a nonexempt for-profit seller, a covered interstate telephone campaign, Minnesota CSO coverage, CROA coverage, valid disclosures/contract, and no applicable transaction exemption.
- January 5, 2026: contract signed and all required copies delivered.
- January 20: services begin, well after the relevant waiting period.
- Price: $600.
- Promise: lawfully obtain correction of a specifically identified duplicate reporting error and complete the specified follow-up work by March 31.
- Promised reporting result achieved: February 15.
- All provider work completed: March 20.
- The represented service timeframe expires: March 31.
- An early report issued March 31 does not meet the later-report condition.
- A report merely on the six-month anniversary is not treated as satisfying “more than six months.”
- Qualifying CRA report issued August 20, demonstrating the promised result.
- Seller provides it to the consumer August 21.
- Fee request: August 22; payment: August 24.
- Permissible purpose and authentic evidence are stipulated, not obtained from a real consumer.
Premature-receipt branch included in the ledger
The seller improperly received $150 on February 16 and returned it February 18. It was never treated as a previously earned installment.

Gross receipts: $150 + $600 = $750.
Refunds: $150.
Conditionally lawful fee: $600.
$0 + $750 − $600 − $150 − $0 = $0.
The August fee is not “$600 less an earned $150.” The earlier $150 was returned and never earned under the model.
Adverse alternatives: No payment request is supported if the August report fails to demonstrate the promised result, the result was not actually achieved, another promised service remains unfinished, or a longer represented timeframe has not expired. The model does not convert six months into a universal 180-day rule.
The actual creditor obligation is stipulated at $6,000, unchanged. Correcting a duplicate report entry does not itself pay or extinguish that obligation. [C050.]
M04 — A separate earlier completed engagement and a defective later contract
Contract A
- July 1: compliant documents signed and delivered.
- July 15: work begins.
- July 20: all genuinely separate promised advice services complete.
- July 21: consumer pays $180.
- No covered telephone-sales campaign is stipulated.
Contract B
- October 1: a new $420 engagement is signed, but the contract omits mandatory cancellation documents and the required completion estimate.
- October 12–20: work is performed.
- October 21: provider receives $420.
- October 22: consumer raises the defects.
- October 23: provider returns $420 under the stipulated resolution.
This is not presented as ordinary cancellation within the initial window, nor as a universal ten-day statutory refund deadline for every contract defect.

$0 + $600 − $180 − $420 − $0 = $0.
Completion of B’s work does not make its noncompliant contract enforceable under §1679f(c).
The earlier $180 is identified separately because A is stipulated to be a genuinely independent, completed, compliant engagement—not an artificially separated installment. This ledger is not a final damages adjudication. Whether a particular remedy could reach additional amounts, whether the engagements were actually integrated, and whether other violations affect A remain open.
The consumer’s stipulated $8,000 creditor balance remains unchanged. No provider receipt or refund is counted as a creditor payment. [C051.]

Read operative federal provisions and applicable exceptions |
PASS-08 effect: Fresh operative CROA and TSR credit-repair bodies, Minnesota CSO provisions, the 2026 state exclusion amendment, and selected published decisions now support this separate component. Actual actor coverage, compliant contract wording, performance evidence, report sequencing, territorial application and the specifically identified currentness gaps remain conditional or held.
This does not retroactively certify P01’s federal reading or convert prior ordinary debt-relief fee calculations into credit-repair authorization.
M. Researcher self-check and final disposition
Actually read: The responsive Minnesota CSO statutory bodies; the enacted 2026 exclusion change; selected original and 2020 amendments; current official CROA sections recovered through October 7, 2026; necessary creditor and financial-institution definitions; current TSR provisions through the displayed October 23 date; relevant final-rule explanation; and the three published appellate/Supreme Court bodies identified above. Relevant PDF pages were visually inspected.
Not established: A universal publisher, attorney, nonprofit, state-registration or trust-account exemption; a universal installment-fee rule; a conforming combined Minnesota/federal cancellation form; a final refund or damages amount for a real contract; or complete later-law and citator coverage.
The models distinguish contract price, physical receipt, supported fee application, refund and creditor payment. None treats a bond, bank account, invoice, completed letter or scalar calculation as proof of all legal predicates.
Bottom line: Credit-improvement representations can create a separate CSO/CROA analysis even when the broader business is described as counseling or debt relief. Minnesota’s state exclusion and security rules do not establish federal fee permission. Where the TSR credit-repair rule applies, both its timeframe and later-report conditions remain independently necessary.
No actual permission, eligibility, provider approval, component acceptance, state-parent completion, A066, A097 or A098 acceptance is implied.
