Three bounded qualification and traceability repairs to reviewed P08

Scope: This is a narrow patch to identified P08 cells. It does not rerun P08, reconsider the eight workflows generally, or adopt P10’s unreviewed complaint/enforcement conclusions.

Fresh P11 access: 26 October 2026 PDT / 27 October 2026 UTC. Exact source-specific clock times were not logged and are unknown.

Model/provenance: Regular Chat with primary-source browsing. No Pro, quota, reset, measured-ranking or independent-review claim is made. P08 retains its saved provenance and review limits.

Focused disposition

  1. CPA §14(1) excludes only transactions between juristic persons. A juristic customer alone does not establish the exclusion unless the supplier is also a juristic person. If either party is a natural person, §14(1) does not itself exclude the fixed-term agreement, although every other CPA-coverage and §14 predicate still must be satisfied. South African Government
  2. CPA §14(3)(b)(ii) requires a supplier to credit any amount that remains the consumer’s property at cancellation. That obligation sits alongside the consumer’s liability for amounts owed through cancellation and the supplier’s right to impose a reasonable cancellation penalty. It is not a universal full cash refund or a statutory formula for deciding what portion of every advance remains consumer property. South African Government+1
  3. Four traceability repairs are required: remove P08 C048 from the §54 service-refund discussion; remove P08 C047 from fee-form and contingent-fee support; correct CPA §2(6) to zero-based PDF P15/printed page 30; and state ECTA §46(1)’s 30-day default period as running after the day the supplier received the order, unless otherwise agreed. South African Government+2

No fee, refund, award, actual cancellation date, provider permission or consumer entitlement is newly determined.

Exact old-to-new affected-cell crosswalk

R1 — CPA §14(1): both parties must be juristic persons

No. P08 location Prior problem P11 replacement/disposition
1 C_ZA-P08-C011 “CPA §14 excludes juristic-person transactions” could be read as exclusion whenever the customer alone is juristic. Replace with the full claim cell below: §14(1) excludes a transaction between juristic persons, meaning both contracting parties must be juristic for that exclusion. South African Government
2 C_ZA-P08-C054 Said a below-threshold juristic person receives general CPA protection “but not §14,” without preserving the supplier-status predicate. Replace with the full claim cell below: a below-threshold juristic consumer is excluded from §14 only when the supplier is also juristic; ECTA Chapter VII remains separately unavailable because its consumer is a natural person.
3 Authority/route comparison — fixed term “Applicable natural-person fixed-term consumer agreement” was narrower than the text. Replace the trigger with: “A covered fixed-term consumer agreement not excluded by §14(1)’s both-party-juristic rule.”
4 Workflow 8 Treated the small-company customer as sufficient to exclude §14 even though supplier status was unspecified. Replace with the conditional supplier-status fork in the workflow table below.
5 Coverage G1-10 “Juristic person and CPA §14 — §14 excluded regardless threshold.” Replace with: “§14 excluded regardless threshold only where the transaction is between juristic persons.”
6 Coverage G3-01 “CPA §14 actor scope — excludes juristic-person transactions.” Replace with: “Excludes transactions where both supplier and consumer are juristic persons.”
7 Coverage G4-08 Mixed legal/funds workflow said §14 was unavailable because the customer was juristic. Replace with a two-branch classification dependent on supplier status.

The separate CPA §5(2)(b) threshold rule remains a test of the juristic consumer, and the ECTA Chapter VII definition remains limited to a natural-person end user. Neither rule is loosened or merged into §14(1).

R2 — CPA §14(3)(b)(ii): credit of consumer-owned remainder

No. P08 location Prior position P11 replacement/disposition
8 G3.1 fixed-term narrative Discussed amounts owed through cancellation and a reasonable cancellation penalty but omitted the supplier’s credit duty. Add the replacement paragraph below expressly covering §14(3)(b)(ii).
9 C_ZA-P08-C030 Covered only the reasonable cancellation charge and no-negation rule. Replace with the full claim cell below, including accrued liability, reasonable penalty and credit of consumer-owned remainder.
10 Coverage G3-04 “Accrued amounts through cancellation.” Retain and cross-reference the separate required credit of any amount remaining consumer property.
11 Coverage G3-05 “Reasonable cancellation penalty.” Retain and add that the penalty operates alongside—not instead of—the §14(3)(b)(ii) credit duty.
12 Workflow 5 Calculated the notice period and discussed the penalty, but not the credit. Add the bounded qualification in the workflow table below; no amount is calculated.
13 Authority/route comparison — fixed term effect Listed 20-business-day cancellation and reasonable charge only. Replace effect with: “20-business-day cancellation; liability through cancellation; reasonable cancellation penalty; and credit of any amount remaining the consumer’s property.”

The credit obligation is not synonymous with an immediate full cash refund. Whether money remains the consumer’s property can depend on §64, §65, the contract, work actually performed, valid charges and other applicable law. South African Government+1

R3 — source, pinpoint and ECTA-trigger repairs

No. P08 location Prior problem P11 replacement/disposition
14 G2.8 — service quality and partial refunds Cross-referenced P08 C048, which concerns the 2026 opt-out registry and missing amendment body. Remove C048. Retain C024 and C051, supported by CPA §§41 and 54, especially §54 at zero P53/printed page 106. South African Government
15 Workflow 6 — partial performance/misleading guarantee Included C048 as refund authority. Remove C048; retain C023–C024 and C051 as applicable.
16 G2.3 — fee forms Cross-referenced C047, which concerns ECTA ordinary-day computation. Remove C047. Retain C015 and C052, together with the disclosed assumed contract, CPA fairness and actual-performance predicates.
17 Workflow 7 — contingent fee/no acceptance Included C047 as support. Remove C047; retain C015 and C052.
18 P08 S001 source row Located §2 with P16–P19/printed 32–38. Correct only §2: §2, including §2(6), is at zero P15/printed page 30. Keep §§4–6 separately at their previously stated pages and existing read limits. South African Government
19 G3.8 — delayed/unavailable electronic performance Did not state §46(1)’s exact default-period trigger. Add: the default 30 days run after the day on which the supplier received the order, unless otherwise agreed. South African Government
20 C_ZA-P08-C043 Referred generally to the delayed/unavailable-performance routes. Replace with the full claim cell below, including §46(1), (2) and (3).
21 Coverage G3-19 Stated §46 routes but omitted the order-receipt trigger. Add the exact §46(1) trigger and preserve the agreed-period branch.
22 Authority/route comparison — ECTA delay Said failure within agreed/default period without defining the default start. Replace with the complete route row below.
23 C_ZA-P08-C047 Correct substantive claim, but cited in unrelated fee passages. Retain unchanged. Remove it only from G2.3 and Workflow 7.
24 C_ZA-P08-C048 Correct substantive opt-out/currentness claim, but cited in unrelated §54 passages. Retain unchanged. Remove it only from G2.8 and Workflow 6.

Replacement P08 passages

Replacement for P08 G3.1 — CPA §14 fixed-term agreements

CPA §14(1) excludes only a transaction between juristic persons, irrespective of their turnover or asset value. A juristic consumer alone does not establish the exclusion unless the supplier is also a juristic person. If either party is a natural person, §14(1) does not by itself exclude the agreement, although the transaction must still be a covered fixed-term consumer agreement and all other CPA predicates remain material. South African Government

Upon an applicable early cancellation, §14(3) provides three related consequences: the consumer remains liable for amounts owed through the cancellation date; the supplier may impose a reasonable cancellation penalty subject to §14 and regulation 5; and the supplier must credit the consumer with any amount that remains the consumer’s property as of cancellation. The statute does not make that credit a universal full cash refund or specify that every advance remains unearned. Whether a particular balance remains consumer property can require separate application of §§64–65, the agreement and evidence of services performed. South African Government+1

Replacement for P08 G2.3 — fee forms

The CPA and ECTA do not establish a universal private debt-negotiation fee percentage or cap. An agreement may propose an advance, staged, periodic or contingent fee, but the actual contract must disclose the service, objective earning trigger, payment timing, termination consequences and any third-party compensation, subject to CPA fairness, disclosure and performance rules. This proposition is supported by C015 and C052; C047 concerns ECTA day computation and is not fee-form authority.

Replacement for P08 G2.8 — service quality and partial refunds

CPA §54 gives a consumer rights to timely and competent service and, where the supplier fails the statutory standard, permits the consumer to require correction or a refund of a reasonable portion of the price having regard to the extent of the failure. This is not an automatic full-refund rule whenever the hoped-for creditor outcome does not occur. The correct supporting claims are C024 and C051; C048 concerns the 2026 opt-out-registry source gap and is not §54 refund authority. South African Government

Replacement for P08 G3.8 — ECTA delayed or unavailable performance

Unless the parties agree otherwise, ECTA §46(1) requires the supplier to execute the order within 30 days after the day on which the supplier received the order. If the supplier fails to execute the order within that default period or the different agreed period, §46(2) permits the consumer to cancel on seven days’ written notice. If the supplier cannot perform because the ordered goods or services are unavailable, §46(3) requires immediate notice and refund of payments within 30 days after that notification. No precise cutoff, receipt rule or live deadline is calculated here. South African Government

Full scoped replacement claim cells

P08 claim Replacement claim text Primary pinpoint Continuing qualification
C_ZA-P08-C011 — replace CPA §14(1) excludes a fixed-term transaction only where it is between juristic persons, meaning both the consumer and supplier are juristic. If either party is a natural person, §14(1) does not itself establish exclusion. ECTA Chapter VII separately defines its consumer as a natural person, and regulation 44 has its own narrower actor/purpose scope. CPA §14(1), zero P24/printed p48. South African Government General CPA application, fixed-term status, threshold and other exclusions remain material.
C_ZA-P08-C030 — replace Upon an applicable §14 cancellation, the consumer remains liable for amounts owed through cancellation; the supplier may impose a reasonable cancellation penalty under §14(3)(b)(i) and regulation 5; and under §14(3)(b)(ii) the supplier must credit any amount that remains the consumer’s property as of cancellation. CPA §14(3), zero P25/printed p50. South African Government No universal penalty percentage, full-refund rule or formula for deciding what remains consumer property. Sections 64–65 and actual performance may be relevant separately.
C_ZA-P08-C043 — replace Unless otherwise agreed, ECTA §46(1) requires execution within 30 days after the day the supplier received the order. Failure within that or the agreed period permits cancellation on seven days’ written notice under §46(2). Unavailability requires immediate notice and refund within 30 days after notification under §46(3). ECTA §46(1)–(3), zero P23/printed p46. South African Government Actual receipt, agreed performance period, notice and availability facts matter; no live deadline calculated.
C_ZA-P08-C054 — replace A juristic consumer below the applicable §5 threshold may receive general CPA protection. CPA §14 is excluded only if the supplier is also juristic, because §14(1) applies to transactions between juristic persons. ECTA Chapter VII’s cooling-off protections remain separately unavailable to a juristic consumer because that Chapter defines its consumer as a natural-person end user. CPA §§5,14; §14 at zero P24/printed p48; ECTA consumer definition retained from P08. South African Government Actual entity status, threshold, service purpose and CPA transaction predicates remain required.
C_ZA-P08-C024 — retain Consumer has rights to timely, competent service; remedy may be correction or reasonable partial refund based on failure. CPA §54, zero P53/printed p106. South African Government Remove C048 as a cross-reference; creditor rejection alone does not prove defective service.
C_ZA-P08-C051 — retain Partial performance plus misleading guarantee may engage §§41 and 54, but does not dictate automatic full refund. CPA §§41,54; §54 zero P53/printed p106. South African Government Actual promise and failure required.
C_ZA-P08-C015 / C052 — retain No universal private fee percentage exists; a contingent fee depends on the actual contract trigger, subject to fairness and performance rules. CPA §§48–54 as previously cited in P08. Remove C047 from the fee-form and Workflow 7 cross-references.
C_ZA-P08-C047 / C048 — retain substantively C047 remains the ECTA ordinary-days/cutoff hold. C048 remains the 2026 opt-out-registry/mislinked-amendment-body hold. Original P08 sources. Neither supports the unrelated fee or §54 refund passages.

Affected workflow replacements and qualifications

Workflow Narrow P11 replacement
Workflow 5 — fixed-term periodic fee Retain the hypothetical 20-business-day calculation and the reasonable-penalty discussion. Add: at cancellation the supplier must also credit any amount that remains the consumer’s property. The example supplies no balance allocation or performance facts, so it calculates neither the reasonable cancellation charge nor the consumer-property credit. If both parties are juristic persons, §14 is excluded; if either party is natural, that exclusion alone does not apply. South African Government+1
Workflow 6 — partially performed fixed fee/misleading guarantee Retain the classification under §§41 and 54 and the warning against automatic full refund. Remove C048. Correct support: C023, C024 and C051, with §54 at zero P53/printed p106. South African Government
Workflow 7 — contingent fee with no accepted settlement Retain the assumed contractual conclusion that the contingency has not occurred. Remove C047. Correct support: C015 and C052, subject to the actual contract, fairness and performance evidence. No general fee permission or prohibition is added.
Workflow 8 — mixed legal work/funds control/juristic customer Branch A — supplier also juristic: the transaction is between juristic persons, so §14(1) excludes the fixed-term section regardless of turnover or asset value. Branch B — supplier is a natural person: §14(1)’s exclusion is not established merely because the customer is juristic; the rest of CPA applicability and §14 must still be tested. In both branches, the juristic customer remains outside ECTA Chapter VII’s natural-person consumer definition, and regulation 44’s individual private-purpose presumption remains unavailable. The legal-work and funds-control permission questions remain separate. South African Government

Workflow 5’s original statement that the adverse §14 branch requires both parties to be juristic persons was correct and is retained.

C_ZA-P08-C011 — replaceCPA §14(1) excludes a fixed-term transaction only where it is between juristic persons, meaning both the consumer and supplier are juristic. If either party is a natural person, §14(1) does not itself establish exclusion. ECTA Chapter VII separately defines its consumer as a natural person, and regulation 44 has its own narrower actor/purpose scope.CPA §14(1), zero P24/printed p48. South African GovernmentGeneral CPA application, fixed-term status, threshold and other exclusions remain material.
C_ZA-P08-C030 — replaceUpon an applicable §14 cancellation, the consumer remains liable for amounts owed through cancellation; the supplier may impose a reasonable cancellation penalty under §14(3)(b)(i) and regulation 5; and under §14(3)(b)(ii) the supplier must credit any amount that remains the consumer’s property as of cancellation.CPA §14(3), zero P25/printed p50. South African GovernmentNo universal penalty percentage, full-refund rule or formula for deciding what remains consumer property. Sections 64–65 and actual performance may be relevant separately.
C_ZA-P08-C043 — replaceUnless otherwise agreed, ECTA §46(1) requires execution within 30 days after the day the supplier received the order. Failure within that or the agreed period permits cancellation on seven days’ written notice under §46(2). Unavailability requires immediate notice and refund within 30 days after notification under §46(3).ECTA §46(1)–(3), zero P23/printed p46. South African GovernmentActual receipt, agreed performance period, notice and availability facts matter; no live deadline calculated.
C_ZA-P08-C054 — replaceA juristic consumer below the applicable §5 threshold may receive general CPA protection. CPA §14 is excluded only if the supplier is also juristic, because §14(1) applies to transactions between juristic persons. ECTA Chapter VII’s cooling-off protections remain separately unavailable to a juristic consumer because that Chapter defines its consumer as a natural-person end user.CPA §§5,14; §14 at zero P24/printed p48; ECTA consumer definition retained from P08. South African GovernmentActual entity status, threshold, service purpose and CPA transaction predicates remain required.
C_ZA-P08-C024 — retainConsumer has rights to timely, competent service; remedy may be correction or reasonable partial refund based on failure.CPA §54, zero P53/printed p106. South African GovernmentRemove C048 as a cross-reference; creditor rejection alone does not prove defective service.
C_ZA-P08-C051 — retainPartial performance plus misleading guarantee may engage §§41 and 54, but does not dictate automatic full refund.CPA §§41,54; §54 zero P53/printed p106. South African GovernmentActual promise and failure required.
C_ZA-P08-C015 / C052 — retainNo universal private fee percentage exists; a contingent fee depends on the actual contract trigger, subject to fairness and performance rules.CPA §§48–54 as previously cited in P08.Remove C047 from the fee-form and Workflow 7 cross-references.
C_ZA-P08-C047 / C048 — retain substantivelyC047 remains the ECTA ordinary-days/cutoff hold. C048 remains the 2026 opt-out-registry/mislinked-amendment-body hold.Original P08 sources.Neither supports the unrelated fee or §54 refund passages.

Workflow 5 — fixed-term periodic feeRetain the hypothetical 20-business-day calculation and the reasonable-penalty discussion. South African Government +1
Workflow 6 — partially performed fixed fee/misleading guaranteeRetain the classification under §§41 and 54 and the warning against automatic full refund. Remove C048. Correct support: C023, C024 and C051, with §54 at zero P53/printed p106. South African Government
Workflow 7 — contingent fee with no accepted settlementRetain the assumed contractual conclusion that the contingency has not occurred. Remove C047. Correct support: C015 and C052, subject to the actual contract, fairness and performance evidence. No general fee permission or prohibition is added.
Workflow 8 — mixed legal work/funds control/juristic customerBranch A — supplier also juristic: the transaction is between juristic persons, so §14(1) excludes the fixed-term section regardless of turnover or asset value.
