C_NL PASS-01 — Netherlands
Independent provider-perimeter and authorisation gateway
Research component only — not country acceptanceResearch baseline: 22 October 2026, America/Los_Angeles.
Primary-source checks: 26 October 2026.
Territorial scope: European Netherlands. The Caribbean Netherlands and the autonomous Caribbean countries of the Kingdom remain separate, unresolved territorial branches.
Principal findings
Dutch law does not treat every kind of debt advice as the same regulated activity. Article 47 of the Wet op het consumentenkrediet (Wck) prohibits schuldbemiddeling and defines it by professional or business activity directed at arranging a solution for an existing debt burden of a natural person, where the burden arises at least partly from one or more credit transactions. Pure financial education or budgeting without arranging such a solution requires a separate factual analysis. C001. zoek.officielebekendmakingen.nl
The exceptions are specific, not a general commercial licence. Wck article 48 identifies mediation om niet (without charge), specified municipal actors, enumerated professionals or statutory officeholders, and persons or categories actually designated by secondary legislation. An ordinary paid commercial negotiator cannot establish an exception merely through KVK registration, industry membership, a professional-sounding title, or a free initial consultation. The statutory municipal-contractor wording expressly requires work in opdracht en voor rekening van gemeenten—on municipal instruction and for municipal account. C002–C003. zoek.officielebekendmakingen.nlOverheid.nl > Officiële bekendmakingen
Collecting debts for creditors is a distinct classification. The Wet kwaliteit incassodienstverlening (Wki) covers qualifying businesslike out-of-court collection for a third party or after assignment, where the person expected to pay is a natural person domiciled in the Netherlands. Registration is generally required, with particular practising lawyers and bailiffs excepted from that registration requirement. Collecting one's own, unassigned claim does not meet the Wki third-party/assignment limb. C004. Overheid.nl > Officiële bekendmakingenOverheid.nl > Officiële bekendmakingen
A separate AFM authorisation regime is already in force for certain non-performing bank-originated credit agreements. The 2025 legislation adds Wft article 2:64a for qualifying kredietservicers, with precise institutional exemptions and a conditional EU-member-state notification route. It does not create a universal authorisation for debtor-side settlement firms. C005. Overheid.nl > Officiële bekendmakingenOverheid.nl > Officiële bekendmakingenOverheid.nl > Officiële bekendmakingen
The timing of legislative changes matters. Wki article 18, concerning specified consequences of unregistered or suspended collection activity, took effect on 1 October 2026. The separate bill implementing the revised EU Consumer Credit Directive was still proceeding through the Dutch legislature at the research date; a pending bill must not be applied as enacted Dutch law. These are gateway findings, not a determination that any particular business, settlement agreement, payment flow, or professional appointment is lawful. The detailed actor matrix, exceptions, worked scenarios, authority register, atomic claims, coverage and territorial holds follow.
A. The operative debtor-side test
The important distinction is between helping someone understand their finances and professionally working toward an agreement about their existing debts. The current Wck article 47 test is activity-based: professional or business services directed toward arranging the existing debt burden of a natural person, where that burden derives at least partly from a qualifying credit transaction. A proposed 2026 law would change that framework, but its consultation text is not current law. C001, C008, C010. zoek.officielebekendmakingen.nlConcept Regeling
A provider therefore cannot establish legality merely by describing its work as “consulting,” “budget coaching,” “software,” or “creditor liaison.” Conversely, ordinary budgeting information is not automatically prohibited schuldbemiddeling if the arrangement-oriented elements of article 47 are absent. The purpose of the work, scripts, actual communications and underlying debts determine which branch needs analysis. C001, C030, C035.
A particularly consequential version trap: the Wck’s original chapters I, IV and X were repealed with effect from 1 January 2017, except for specified retained definitions in article 1. The former scope exclusions in original articles 2–4 cannot simply be imported into a 2026 article 47 analysis. This matters when evaluating sole traders, business-purpose borrowing, guarantees and secured lending. C008. Overheid.nl > Officiële bekendmakingenOverheid.nl > Officiële bekendmakingen
The municipal exception also has a verified commencement date. The 2018 amendment expanded article 48(1)(b) to institutions performing debt mediation on municipal instruction and for municipal account; that amendment took effect 1 January 2019, under Staatsblad 2018, 425, article II(1). A contractor’s marketing claim or an ordinary referral from a municipality is not proof of those predicates. C003, C014. Overheid.nl > Officiële bekendmakingenOverheid.nl > Officiële bekendmakingen
An important consequence boundary
Current Wck article 48(3) concerns invalidity to the extent an agreement deviates from rules enacted under article 48(2). The consulted Wet schuldregelen draft proposes broader invalidity for contracts made in breach of its proposed prohibition. It would be a serious error to present that proposed rule as an existing universal refund, debt-erasure or contract-cancellation right. C002, C010. zoek.officielebekendmakingen.nlConcept Regeling
B. Actor, exemption and capacity matrix
For this matrix, “Wck-covered” means the elements of article 47(2) are established. The status of a person or organisation does not substitute for proving what it actually does. C001–C003, C012, C030.
| Actor and proposed activity |
Possible legal basis and necessary predicates |
Adverse branch / evidence still needed |
| Commercial debtor-side negotiator, paid directly |
Wck arts 47–48: a covered professional attempt to arrange existing natural-person credit-derived debt is prohibited unless an enumerated exception applies. |
A company registration, client consent, creditor introduction or successful deal is not an exception. Obtain actual mandate, debt schedule, scripts and remuneration terms. C001–C002, C035. |
| Fee-free adviser or negotiator |
Wck 48(1)(a), om niet. Genuine absence of compensation for the covered mediation activity is central. |
“First consultation free” does not establish that subsequent negotiations are free. Employer, charity, creditor or affiliate funding requires scrutiny of who pays for what; indirect-benefit limits are not conclusively resolved by the materials read. C002, C011. |
| Nonprofit, charity or consumer association |
May perform genuinely gratuitous covered mediation under 48(1)(a), or demonstrate another specific statutory capacity. |
Nonprofit status, donations, annual membership fees or an affiliation logo are not themselves separate exceptions. Trace member fees, earmarked contributions, commissions and remuneration. C002, C011, C035. |
| Municipality or municipal credit bank |
Wck 48(1)(b); Wgs arts 2–3 place municipal debt assistance under the municipal executive, college van burgemeester en wethouders. |
A privately marketed product does not become municipal assistance because the provider also refers people to a town hall. C003, C014, C046. |
| Private municipal contractor |
Wck 48(1)(b), as amended from 2019: institution conducting mediation in opdracht en voor rekening van gemeenten. Wgs 3a separately permits specified third-party execution and limited mandate. |
Require the actual municipal contract, tasks, period, payment responsibility, and any separate decision-making mandate. A municipal logo, subsidy or ordinary referral is insufficient. C003, C014. Overheid.nl > Officiële bekendmakingenOverheid.nl > Officiële bekendmakingen |
| Advocaat |
Wck 48(1)(c), subject to genuine professional status and the work falling within that capacity. |
A law-firm advertisement does not establish that an unadmitted employee or affiliated call centre independently holds the exception. Verify admission and responsible professional; delegation boundary remains a hold. C002, C012, C042. |
| Notaris or gerechtsdeurwaarder |
Named in Wck 48(1)(c), subject to the genuine regulated office and function. Bailiffs/lawyers have distinct Wki registration treatment and professional supervision. |
A collection office owned by a professional, a contractor or an affiliate is not necessarily the professional acting in statutory capacity. C012, C032–C033. |
| Registeraccountant / accountant-administratieconsulent |
Named professions under Wck 48(1)(c); actual admission/capacity must be documented. |
“Accountant,” bookkeeper or accounting-software provider is not equivalent to verified professional membership and a relevant professional engagement. C012, C042. |
| Court-appointed bankruptcy curator, Wsnp bewindvoerder, or qualifying protective curator/bewindvoerder |
Wck 48(1)(c), the Faillissementswet and the amended BW1:383(7)/435(7) references. A real qualifying appointment matters. |
Merely calling oneself bewindvoerder or having a quality assessment does not prove an appointment for the affected person or the statutory scope of work. C012–C013, C042. Overheid.nl > Officiële bekendmakingenRechtspraak |
| Original creditor collecting its own claim |
Wki art 2(b) ordinarily excludes unassigned own-claim collection from its specific third-party-or-assigned-claim limb. |
Other financial, creditor and conduct rules may remain; this is not permission to run a debtor-side settlement business. C004, C030, C033. |
| Third-party collection agency / debt purchaser |
Wki arts 1–4 if businesslike extrajudicial money collection is for another or follows assignment, from a natural person resident in the Netherlands. Justis registration is the relevant evidence, subject to statutory professional exceptions. |
A purchaser may meet Wki despite owning the assigned claim. Bank-originated non-performing credit can additionally invoke the separate Wft purchaser/servicer regime. C004, C018, C022–C024. |
| Credit servicer / servicing subcontractor |
Wft arts 1:1, 1:14a, 2:64a–e, 4:81a–m for the particular non-performing bank-credit purchaser relationship. |
An outsourced individual servicing activity, the entity managing/enforcing the purchased loan, and the purchaser itself are not necessarily the same licensing actor. Check contracts and exceptions separately. C005, C022–C024. |
| Referrer, publisher, lead generator or software platform |
No Wck article 47 prohibition can be concluded merely from generic educational publication or software functionality. |
Custom scripts, discretionary recommendations, proposing settlement terms, contacting creditors, steering a specific new loan, or handling money can change classification. A commission alone does not resolve which statutory definition is met. C025, C030, C035, C043. |
| Payment distributor / budget administrator |
Examine actual initiation, transmission, possession, control, beneficiary, account ownership and the Wft payment-service definitions/exclusions; DNB is relevant where payment services are provided. |
“We only pass the money through” is not an exclusion. Wft article 3:5 may present an additional repayable-funds issue; professional-account and credit-servicer requirements can coexist. C024, C026–C027, C039. |
The 2014 professional-quality decree requires a covered professional protective curator or administrator to be sufficiently able to compensate damage, giving adequate professional indemnity insurance as an example. The provision does not supply a universal euro-denominated insurance minimum for every debt adviser. Professional competence, annual oversight, conflicts safeguards and a court appointment are separate checks. C013. Overheid.nl > Officiële bekendmakingenOverheid.nl > Officiële bekendmakingen
The Belastingdienst’s published 2023 interpretation of the protective-administrator exception is relevant evidence of one official interpretation, not a binding judgment establishing that every budget administrator has—or lacks—the exception. A reported 2026 case could not be confirmed from accessible official judgment text in this pass. That interpretive branch remains open. C038. Kennisgroepen Belastingdienst
C. Authorities, evidence and cross-border nexus
| Body |
Function actually evidenced |
What its record cannot prove |
| Municipal executive, college van B&W |
Local Wgs assistance; its policy, contractor instructions and permissible administrative mandates. |
It is not an identified general national licensing authority for private debt negotiators. C014, C046. |
| Ministerial inspectors designated through DFEI |
National supervision of Wck arts 47–48 under Staatscourant 2025, 40669, effective 1 January 2026. Wck 47 and certain article 48 rules also appear in the economic-offences framework. |
Inspector designation does not by itself establish an open, general paid-debt-settlement licensing category. C017, C044–C045. Overheid.nl > Officiële bekendmakingen |
| Justis; Inspectie Justitie en Veiligheid |
Justis manages Wki collection-service registration; Inspectie JenV is primary collection-market supervisor, with specific professional supervisory allocations to BFT and the deken. |
A Justis registration is not approval of debtor-side Wck mediation, a payment service, or every collection contract. C018, C028, C032. justis.nlInspectie Justitie en Veiligheid |
| AFM |
Wft credit advice/intermediation and credit-servicer authorisation, together with specified supervisory functions. Its servicer register distinguishes Dutch-authorised operators and properly notified EU passport users. |
A lending or servicing permission does not create a Wck 48 exemption. C023, C025, C028, C037. afm.nl |
| DNB |
Payment-institution authorisation, identified exemptions, agents, relevant prudential/repayable-funds questions and a public payment-institution register. |
A payment permission does not prove that debt negotiation is lawful; conversely not every direct creditor payment needs a new intermediary licence. C026–C028, C039. |
| NOvA/professional bodies; courts |
Professional admission and disciplinary/quality status as applicable; courts make the individual statutory appointment and Wsnp admission decisions. |
Professional status, approval of a business process and appointment in a particular proceeding are different facts. C012–C013, C028, C042. |
Cross-border caution: Wki art 2 expressly uses the fact that the debtor is a natural person resident in the Netherlands, alongside its other elements. Wft article 2:64d has a particular EU-member-state credit-servicer notification route. The Wki’s limited recognition of equivalent foreign collection registration does not amount to a blanket foreign exemption from Dutch registration. Wft payment services likewise have their own activity-specific EU/third-country branches. No generic EU loan, debt-advice or incorporation “passport” follows from these provisions. C018, C023, C026, C040. Overheid.nl > Officiële bekendmakingenOverheid.nl > Officiële bekendmakingenOverheid.nl > Officiële bekendmakingen
For a foreign debtor-side negotiator, the extent to which Wck article 47 applies to particular remote/telephone conduct requires further territorial/conflict-law work. A Dutch-resident debtor, Dutch-facing advertising, Dutch-language calls and Dutch creditors are pertinent facts, but this pass does not establish a complete extraterritorial test for every configuration. C040.
D. Read-only hypothetical verification sequence
- Classify the service before consulting a register. Preserve a sample website claim, sales script, engagement agreement, creditor-facing email, settlement proposal, refund/fee arrangement, financing referral and payment diagram. Determine who owes whom and who instructs the provider. C001, C004, C022, C025–C027, C035.
- Identify legal entities and roles. Match the company identity, contracting entity, trade name, representative, professional and actual payer. KVK entry is evidence of commercial identity, not statutory approval of each service. C035.
- Test each asserted exception independently. For om niet, inspect the complete economic bargain; for municipal work, the signed instruction and “for municipal account” terms; for professionals, admission and actual capacity; for a statutory administrator, the court appointment and relevant debtor/proceeding. C002–C003, C012, C014, C028.
- Use the matching public verification route only. Justis for Wki collection registration/status; AFM for relevant Wft credit/servicing permissions and notified EU operators; DNB for payments/agents; the professional directory for admission; municipal and court documentation for authority and appointment. Check the date, category, activities, restrictions, suspension and entity identity—not simply whether a name appears. C018, C023, C026, C028.
- Keep creditor outcome separate. Registration, permission, an authentic engagement agreement or a municipal contract proves neither that any creditor must accept a settlement nor that an existing principal, security right or judgment has disappeared. C020, C031, C035, C045.
This is a verification design only. No named provider, individual, debtor, case, licence or property was queried; no register search was executed against an identifiable party.
E. Four worked classification problems and an additional funds-flow problem
Scenario 1 — Paid settlement firm versus claimed free exception. A Dutch company offers a free consultation but later charges to approach multiple creditors and propose reductions of a natural person’s existing consumer-loan and card debt.
- Test: Wck 47 business/professional services, existing natural-person debts, qualifying credit-transaction component, and activity directed to arranging a debt settlement. Then examine each Wck 48 exception. C001–C002.
- Documents: actual remuneration and affiliate commissions, scripts, credit agreements and debt schedule, proposed creditor communications, municipal instruction or qualifying professional engagement if asserted.
- Decision-making authority: the statutory prohibition and designated national supervisory/enforcement bodies; any particular civil question belongs to its competent adjudicator.
- Adverse branch: a genuinely free intake cannot justify paid covered negotiation. Nor does a statutory breach automatically extinguish the customer’s underlying creditor debts. If the activity stops at generic budgeting, the article 47 arrangement element is not assumed. C017, C035, C043, C045.
Scenario 2 — Claimed municipal outsourcing or professional exception. A charity says it works “with municipalities” and uses an accountant and a budget administrator to negotiate settlements.
- Test: Identify whether the specific institution negotiates on instruction and for account of the particular municipality under Wck 48(1)(b), and distinguish that from Wgs 3a’s separate delegated performance/decision-making framework. Separately establish whether an actual Wck 48(1)(c) professional is carrying out work in the qualifying role. C003, C012–C014.
- Documents: current municipal contract, procurement/scope schedule, client-assignment proof, municipality funding obligations, decision mandate, professional registration, court appointment if alleged, and who personally conducts the negotiations.
- Decision-maker: municipality for its contract and lawful mandate; competent professional regulator/court for professional/appointment status; national Wck enforcement for the prohibition.
- Adverse branch: a charity badge, mere referral, contractor relationship with an unrelated municipality or generic use of the title bewindvoerder proves too little. C035, C042, C046.
Scenario 3 — Foreign remote firm; debtor-facing versus collector-facing work. An operator based in another EU state or a third country calls Dutch residents. In one product it negotiates for debtors; in another it collects overdue accounts for creditors.
- Test: For the debtor product, analyse Wck 47–48 and flag Wck territorial reach unresolved. For the collector product, Wki articles 1–4 expressly require the professional, third-party/assignment and Dutch-natural-person-resident elements. An EU collection authorisation may affect particular Wki evidence requirements but is not itself blanket registration. C001, C004, C018, C040.
- Additional trigger: If servicing a post-2023 transferred bank-originated non-performing loan for a credit purchaser, apply the Wft servicer and specific EU notification pathway, rather than assuming an unrelated foreign credit licence suffices. C022–C023.
- Documents: place of establishment, remote-service evidence, debtor residence and legal nature, account assignment chain, bank origination/default classification, contractual capacity, home-country licence, exact notification confirmation and funds flow.
- Adverse branch: a corporate Dutch debtor may fail Wki’s natural-person element; a Dutch-resident sole trader does not fail it merely because the underlying debt is business-related. Whether another local rule applies remains separate. C030, C040–C041.
Scenario 4 — Company debt, proprietor, guarantor and formal insolvency role. One firm markets “debt settlements” to a Dutch B.V., a sole proprietor and an individual who guaranteed company debt, and claims it can “put clients into Wsnp.”
- Test: A B.V.’s solely corporate debts do not satisfy Wck 47’s natural person element. For the proprietor, inspect whether the relevant natural person’s existing burden derives at least partly from a retained-definition krediettransactie. For the guarantor, test the actual nature, timing and creditor enforcement of the personal obligation; do not classify every guarantee as credit-derived debt automatically. C001, C008, C030, C041.
- Formal process: Private creditor negotiations or municipal Msnp arrangements are different from court-admitted Wsnp. The Faillissementswet article 285(1)(f) declaration must come from an authorised issuer; the court determines admission and qualifying court appointments. C014–C016, C031.
- Documents: incorporation and contracting capacity, underlying credit and guarantees, creditor demand, municipality/professional’s authority to issue the declaration, actual court order and appointment record.
- Adverse branch: an adviser cannot confer Wsnp status or acquire curator/bewindvoerder powers by contract or marketing. A corporate-debt exception under one definition does not immunise unrelated regulated conduct. C015, C042.
Additional workflow — Software or payment administrator. A subscription application only displays budgets in version A; version B transmits tailored settlement offers; version C receives debtor funds into an account it controls and forwards them to creditors.
- A is not automatically Wck article 47 mediation; B raises its arrangement-oriented elements; C independently requires a DNB payment-services/agent/exclusion and potentially repayable-funds analysis. Record the actual account beneficiary, timing, control, instruction rights and creditor settlement consent. An outsourcing agreement cannot by itself confer a missing statutory permission. C025–C027, C035, C039, C043.
Two reproducible statutory agency-cost examples — not borrower fees
These concern Wki collection-provider registration, not permission to charge for debtor-side mediation. The amounts come from Besluit kwaliteit incassodienstverlening articles 7.1, 8.1 and 8.2; the “bestuurder” count includes qualifying policy-determining persons under Wki article 1. All inputs are hypothetical and assume registration is granted. C021. Overheid.nl > Officiële bekendmakingenOverheid.nl > Officiële bekendmakingen
Example 1 · Sole proprietorship
€4,600
Application plus first registration-period supervision chargeExample 2 · B.V., two bestuurders
€10,800
Application plus first registration-period supervision charge| Statutory step | Sole trader, 1 bestuurder | B.V., 2 bestuurders |
| --- | --- | --- |
| Application base | €2,200 | €2,200 |
| Person screening | 1 × €600 = €600 | 2 × €600 = €1,200 |
| Application subtotal | €2,800 | €3,400 |
| On-registration supervision | €1,800 | €7,400 |
| Combined initial amount | €4,600 | €10,800 |
| Later annual supervision amount, if applicable | €1,800 | €7,400 |
Arithmetic: €2,200 + (1 × €600) + €1,800 = €4,600; €2,200 + (2 × €600) + €7,400 = €10,800. Whole-euro statutory rates require no rounding here. A later new bestuurder or interrupted registration can change the amounts. Article 7.3 and 8.2 also exclude repayment of received statutory charges. These calculations prove neither that registration will be approved nor that a consumer can be charged these amounts, that collections will succeed, or that a debtor’s balance will fall by any percentage. Source-status limitations: These are official enacted text bodies, enactment/commencement instruments and regulator/court explanations actually reached. Some underlying acts are reconstructed from original publications plus identified amendments because a complete current consolidated text at wetten.overheid.nl was not retrievable through the available web interface. This does not certify that every intervening amendment, statutory instrument, sunset, future commencement or local policy has been found. The consulted drafts S010–S011 and pending bill S012 never substitute for enacted provisions. Their presence in the register is deliberately segregated from operative authority.

| C001 |
European Netherlands; professional debtor-side actor; natural-person existing credit-derived debt; current gateway. Wck 47(1) prohibits schuldbemiddeling. Article 47(2) defines it by professional/business provision of services aimed at arranging the existing burden of a natural person, derived wholly or partly from one or more qualifying credit transactions, other than entering a new credit transaction. Prove each element from actual conduct/debt documents; otherwise classification remains open. |
S001, Wck 47(1)–(2) and retained 1(a), PDF indices 16 and 0–1; S002–S003 for retained definition. |
| C002 |
Covered debtor-side mediation. Wck 48(1)(a) excludes om niet services; (b) covers specified municipal actors; (c) specified regulated professionals/appointed roles; (d) any categories actually designated by operative AMvB. Article 48(2) authorises specified fee conditions for designated (d) classes; 48(3) invalidates contractual deviations insofar as they conflict with such rules. It does not itself cancel a creditor debt or prove a universal refund. Exact applicable designation remains to be checked. |
S001, Wck 48(1)(a)–(d), (2)–(3), PDF index 16; S004–S007 for changes/history. |
| C003 |
Municipal contractor exception; since 1 Jan 2019. Wck 48(1)(b) includes institutions conducting mediation in opdracht en voor rekening van gemeenten. Both actual instruction and municipal-account performance require proof. Generic outsourcing, marketing cooperation and a referral alone do not demonstrate both. |
S005 art XXVIA; S006 art II(1); S001 48(1)(b) original, superseded wording. |
| C004 |
Collection actor; natural person resident in Netherlands. Wki arts 1–2 apply only when businesslike extrajudicial monetary-claim recovery is for a third party or after assignment, and concerns payment by such a resident natural person. Original creditor collecting an unassigned claim fails the specific assignment/third-party limb; a debt purchaser may satisfy it despite ownership. Other laws can still apply. |
S025, Wki 1–2(a)–(c). |
| C005 |
Specific bank-NPL credit servicing. Wft introduced purchaser, servicer, bank-originated non-performing credit, and servicing-activity definitions. A person managing and enforcing a covered acquired credit for a purchaser is not automatically equivalent to a debtor-side negotiator or generic debt collector. |
S029, amended Wft 1:1, 1:14a, 2:64a; S031 official three-condition explanation. |
| C006 |
Wki time. Main Wki registration regime began 1 Apr 2024; Wki 21 began 1 Oct 2024; Wki 18 civil effects began 1 Oct 2026. Do not retrospectively apply article 18 to earlier facts without a separate transitional-law analysis. |
S026 11.1; S025 18, 21. |
| C007 |
Future consumer-credit bill. File 36.924 passed the Tweede Kamer but remained before the Eerste Kamer on the access date. Its proposed revisions cannot be treated as enacted Wft/Wck rules. |
S012 legislative status, as of 26 Oct 2026. |
| C008 |
Wck historical-scope trap. With effect 1 Jan 2017, chapters I, IV and X were repealed except retained article 1(a), 1(n) definitions. Original Wck articles 2–4 are not current exclusions for business credit, guarantees, mortgages or credit limits. Apply retained credit definition and current 47 wording; full current cross-statute scope still requires checking. |
S002 art V; S003 sole article; S001 1(a), 47. |
| C009 |
Expired designation. The 1998 debt-mediation designation decree contained a sunset two years after its 1998 commencement. Its designation and historic percentage/monetary provisions do not create a 2026 operating exception, cap or fee formula. |
S007 arts 2–4. |
| C010 |
Proposed—not enacted—Wet schuldregelen. The 2026 consultation draft proposes a revised natural-person debt-arrangement framework, new invalidity and response/enforcement provisions, plus Wck repeal on future commencement. No draft deadlines, voidness or administrative penalties are current rules merely because the consultation closed. |
S009 status; S010 draft arts 1–8, 28–30, PDF indices 0–7. |
| C011 |
Compensation uncertainty. Historical government explanation of Wck om niet contemplates third-party funding without cost to the debtor in certain circumstances; it is evidence of interpretation, not a currently verified blanket rule permitting creditor commissions, affiliate value transfers, compulsory association dues or indirect compensation. Trace the actual bargain; hold contested indirect-benefit arrangements. |
S007 explanatory memorandum to arts 2–4; S001 48(1)(a). |
| C012 |
Named professional/appointed exceptions. Wck 48(1)(c) lists advocates, specified insolvency appointees, notaries, bailiffs and registered categories of accountants, as amended to include specified professional protective curators/administrators under BW1 references. Actual professional status, qualifying office and affected-person appointment may matter. The reach of delegation to unrelated staff is not established. |
S001 48(1)(c); S004 art III; S023–S024 appointment guidance. |
| C013 |
Protective administrator quality, not generic debt-firm insurance. For covered professional protective curators/bewindvoerders the quality decree prescribes relevant competence/organisational safeguards, conflict controls and 8(5)–(6) sufficient capacity to compensate harm, with insurance an example. No euro minimum or nationwide general debt-adviser bond was proved. |
S022 arts 2–3, 8(5)–(6), 9, 11–13; S023. |
| C014 |
Municipal Wgs authority and mandate. Municipal college implements local assistance policy; Wgs 3a permits third-party performance but reserves specified rights/duties findings and factual assessment unless specially mandated to an eligible organisation. This is distinct from showing Wck 48(1)(b) instruction and municipal-account funding. Obtain both documents where applicable. |
S013 arts 1–3; S015 art I(C)–(D), Wgs 3, 3a; S017 effective date; S005 XXVIA. |
| C015 |
Formal Wsnp gateway. A voluntary extrajudicial arrangement or Msnp route does not itself constitute Wsnp admission. Fw 285(1)(f) uses a reasoned declaration by statutorily authorised issuer; a court handles admission and appoints statutory officeholders. The precise issuer/mandate must be established. |
S005 art VA(A); S018 art I(A); S020 court application guidance; S024 appointment guidance. |
| C016 |
When no prior attempt is needed for declaration. Since 1 Jul 2023, Fw 285(1)(f) recognises a reasoned declaration without a prior extrajudicial settlement attempt where insufficient repayment prospects or other circumstances make such an arrangement impossible. This is not an automatic Wsnp admission or private provider authorisation. |
S018 art I(A); S019 commencement. |
| C017 |
Supervision/offences. Designated DFEI officials have a Wck arts 47–48 supervision function from 1 Jan 2026; the Wck prohibition and identified subordinate-rule infringement also occur in the economic-offences legislative framework. Any actual offence, culpability, procedure or sanction requires proof of its own elements. |
S008 arts 1–2; S002 economic-offences amendment. |
| C018 |
Wki authorisation and foreign equivalence. For covered commercial collectors, Wki 3–4 governs registration. Wki 5(2), 7(2) has specific foreign-equivalence treatment; it does not plainly abolish Dutch registration for every EU authorisation holder. Check actual registration/status and statutory exception. |
S025 arts 3–7; S027 register guidance. |
| C019 |
Wki fitness/quality. A covered collection provider faces statutory screening/quality requirements; implementing decree 2.2 addresses staff/manager competencies, alongside complaint and record requirements. Qualification of collection staff does not authorise debtor-side Wck mediation. Transitional conditions must be dated. |
S025 arts 5–7, 11–13; S026 2.2, 6.1, 10.1. |
| C020 |
Limited Wki art 18 effect. From 1 Oct 2026 a debtor need not pay toward a collector lacking required registration or whose registration is suspended; statutory-interest attribution and collection costs have the provision's distinct conditions, including the written-request trigger for interest. This does not erase the original principal claim or automatically void judgment/security. |
S025 18(1)–(2); S026 11.1. |
| C021 |
Wki government charges, not consumer price. Registration application: €2,200 + €600 per bestuurder; supervising/register-management charge: €1,800 sole proprietorship or €7,400 other entity on registration and again annually. Received amounts not refunded under identified provisions. Examples assuming one or two bestuurders total €4,600 and €10,800 initially, respectively. |
S026 7.1(1)–(2), 7.3, 8.1, 8.2; S025 1 (“bestuurder” definition). |
| C022 |
Credit servicing scope/exclusions. Wft servicing regime requires particular bank-originated non-performing credit and purchaser-directed management/enforcement with specified servicing activities. S029 1:14a sets enumerated bank/lender/fund/professional and transaction-history exclusions; AFM explains transfer date on/after 30 Dec 2023. Not every purchased invoice or loan qualifies. |
S029 1:1, 1:14a(1)–(2); S031 conditions 1–3. |
| C023 |
AFM permission and EU recognition. In-scope Dutch-seat servicers require Wft 2:64a/c AFM permission, suitability/reliability/organisation predicates, and legal-person status. Other member-state servicers rely on specific 2:64b/d notification rules and associated timing/conditions—not a general lending passport. |
S029 2:64a–e, 4:81a; S032 official register distinction. |
| C024 |
Purchaser/servicer distinction and funds. Wft 4:81i–l specifies certain purchaser appointments and foreign-representative obligations. A covered servicer receiving debtor money for transfer to the purchaser faces segregated-account rules under 4:81f, unless it does not intend to receive and hold such money. This is only a gateway identification; full trust/payment consequences deferred. |
S029 4:81a, 4:81e–l, especially 4:81f(1)–(6). |
| C025 |
New-credit financial advice/intermediation. Particular product recommendations, arranging new loans/refinancing, or sufficient intermediary assistance may trigger Wft 1:1, 2:75/2:80 credit-advice/intermediation permission rules. Merely negotiating an existing non-new-credit debt is not automatically a newly offered loan; the 2006 base text has later amendments, so every current exception/role must be rechecked before a definitive decision. |
S033 1:1, 2:75, 2:80; S034 AFM interpretive guidance. |
| C026 |
Payment-service gateway. Holding/transmitting client payments can engage Wft payment-service categories, DNB authorisation and agent rules, or narrower service exclusions. Merely branding the actor “budget administrator” does not settle the question; EU vs third-country pathways differ. Exact current statutory classification remains partial because historic base text was amended. |
S035 2:3a–f; S036–S038 official DNB guidance. |
| C027 |
Repayable funds are a separate issue. DNB explains the independent Wft 3:5 opvorderbare gelden prohibition risk for certain funds passed on through intermediary accounts. Whether it applies turns on actual ownership, repayment obligation and timing; no conclusion follows solely from “receives payments.” |
S039, DNB article 3:5 interpretation. |
| C028 |
Read-only public status checks. Justis exposes covered collector identity/status, AFM authorised/notified credit servicers, DNB payment institutions/agents, and lawyer professional admission. Every record is category- and time-specific; none proves all contracting, individual case appointment or creditor outcomes. |
S027, S032, S040, S043; for court status S023–S024. |
| C029 |
Territorial separation. The Kingdom consists of Netherlands, Aruba, Curaçao and Sint Maarten; the Netherlands additionally encompasses Caribbean public bodies Bonaire, Sint Eustatius and Saba. The European-Netherlands rule reconstruction here must not be projected to those territories without their operative territorial statutes. |
S041 official Kingdom description; S042 Wft high-level explanation. |
| C030 |
Debtor and debt identity matter. Wck 47 requires a natural person and qualifying existing credit-derived burden. Wki 2(c) requires a Dutch-resident natural person and does not expressly condition that limb on consumer purpose. A B.V. and natural-person proprietor are not interchangeable. Pure secured status, guarantee labels and business purpose do not answer all linked statutory tests. |
S001 47(2), retained 1(a); S002 art V; S025 2(c). |
| C031 |
Private agreement versus formal order. A voluntary arrangement relies on documented creditor participation; legal compulsion, court entry, a Wsnp appointment or statutory debt consequences require their separate law and decision. No registration or representation alone guarantees consent or debt reduction. |
S001 47; S013–S015 Wgs; S018 Fw285(1)(f); S020 court guidance. |
| C032 |
Collection supervisors. Wki allocates general and professional-supervisory functions among Justis/Inspectie JenV, BFT and lawyer deken based on actual covered service and professional capacity. A lawyer/bailiff professional pathway is not blanket exemption from all Wki conduct. |
S025 4, 14–17; S028 official responsibilities. |
| C033 |
Original creditor vs purchaser vs servicing contractor. Unassigned own-claim recovery fails Wki 2(b); assigned-purchaser collection can meet Wki; bank-NPL servicer status additionally requires Wft elements; specified admitted lawyers/bailiffs have regime-specific status. None implies Wck debtor-side permission. |
S025 2, 4; S029 1:1, 1:14a, 4:81i–l. |
| C034 |
Geographic research limitation. National Wgs/Wck/Wki texts are read; no individual municipal policy, provincial ordinance or procurement contract has been examined. One national statute is not evidence that every city, province or island implementation has been verified. |
S013–S017 national instruments; research bound, not a substantive assertion about a particular province. |
| C035 |
Documentary proof/inference. Company registration, website claims, membership, an unrelated financial licence, a referral, a free meeting or a professional badge do not themselves satisfy Wck 47–48, Wki 2–4, Wft activity/seat conditions or court appointment. Obtain the particular instruments and actual conduct. This is a logical consequence of those distinct statutory predicates, not a finding about a specific provider. |
S001 47–48; S015 3a; S025 2–4; S029 2:64a–d; S023–S024. |
| C036 |
Older deregulation draft. The 2013 proposed Vrijstellingsbesluit is not established as enacted current law. Historical draft screening, price or performance rules cannot supply a 2026 exception or price formula. |
S011 proposal PDF; S007 expired predecessor. |
| C037 |
Non-substitutability of permissions. A valid collection registration, AFM servicing/credit permission, DNB payments authorisation, professional registration or municipal contract proves only the relevant legal fact within its category; a separate activity still requires its own test. |
S001 47–48; S015 3a; S025 2–4; S029 2:64a, 4:81a–m; S035 2:3a–f. |
| C038 |
Interpretation/precedent bound. A published Belastingdienst interpretation concerning protective bewind is available; no accessible official full-body 2026 judgment was validated in this pass. Thus neither a purported latest judgment holding nor absence of contrary authority is adopted. |
S021 official administrative interpretation; official judgment body not read. |
| C039 |
Conditional payment exemption. DNB identifies a small-payment-provider route limited by qualifying payment activities, geographic reach, a reported €3 million per month activity threshold, protective measures and required DNB registration; exact delegated current text and application to any debt distributor are not fully reconciled. No blanket unregistered small-provider exemption is asserted. |
S038 DNB exemption guidance; S035 historical 2:3d. |
| C040 |
Remote/provider territorial hold. Wki 2(c) expressly anchors collection to Dutch-resident natural persons; Wft 2:64d addresses EU servicing into NL; historical payment rules distinguish another member state/third country. Wck 47’s precise application to every remote foreign debtor adviser and the full conflicts/territorial effect are not established here. |
S025 2(c); S029 2:64b/d; S035 2:3e/f; S001 47. |
| C041 |
Guarantees and business classification held fact-specific. A personal guarantee of corporate obligations cannot automatically be characterised as a Wck credit transaction; assess guarantee wording, original loan, personal liability, enforcement and natural-person debt status. Old Wck arts 2–4 cannot resolve this in 2026. |
S001 1(a), 47(2); S002–S003 repeal history. |
| C042 |
Professional capacity differs from staff/appointment. Holding professional qualification is not the same as having an individual statutory appointment, and a quality review is not proof of both; the extent a commercial employee may perform covered mediation under a supervising professional has not been conclusively determined from current case law. |
S001 48(1)(c); S004 art III; S022–S024; S021 interpretive limit. |
| C043 |
Simple advice is not automatically mediation. Where no professional arrangement-directed service under Wck 47 is performed, that particular prohibition is not demonstrated. A tailored creditor-facing workflow can alter the result; new credit recommendations and payments raise separate activity tests. |
S001 47(2); S033 1:1; S035 2:3a–f. |
| C044 |
No general commercial licence proved. Sources establish the Wck prohibition and statutory exceptions, designation mechanism and inspector oversight, but do not verify any presently operative blanket licence scheme admitting all paid private debtor-side negotiators. This is an evidence-bound negative, not a claim that no other AMvB, relief or professional route can exist. |
S001 48(1)(d), (2); S007 historical lapse; S008 designation; S010 proposed reform. |
| C045 |
Enforcement and remedies separate. Prohibited conduct can engage regulator/criminal processes when statutory elements are met, and Wki 18 has specific civil effects. Neither creates an automatic private award, creditor principal discharge, security release or reversal of judgment without its own legal authority and facts. |
S002 economic-offence amendments; S025 18; S001 48(3); S010 invalidity proposed only. |
| C046 |
Local-service population distinction. Amended Wgs 3(1)(a) addresses municipal inhabitants; 3(5) permits assistance to non-inhabitants in special circumstances. This is a municipal task and discretion, not a private nationwide authorisation. |
S015 art I(C); S017 commencement. |
| C047 |
Separate legal clocks. Original publication, amendment, legal commencement, consultation closing, regulator web update, individual registration, contract, service and court appointment dates each answer different questions. The verified operative anchor dates above must not be replaced by site publication or a future legislative timetable. |
S003, S006, S017, S019, S026, S029–S030; S009–S012. |
| C048 |
No assured creditor response or result. Neither Wck 47–48, Wki registration nor general municipal cooperation produces a universal creditor consent, mandatory haircut or fixed settlement success rate. The 2026 draft response provisions remain proposed, and court-related mechanisms require their own statutory conditions. |
S001 47–48; S015 3a; S018 Fw285; S010 proposed 3–5. |

Status key:
- Answered: the bounded gateway question is supported by an opened authority; not a whole-country sign-off.
- Partial: useful legal finding, with a consequential unverified predicate or version.
- Unresolved: adequate primary evidence not obtained.
- Excluded_with_reason: outside PASS-01's authorised narrow scope. This is an explicit research deferral, not a finding that no rule applies.

F3. All twelve European-Netherlands provinces — local implementation register
National legislation addresses municipalities, not a free-standing province-wide commercial-debt-negotiator licence in the provisions read. No positive or negative conclusion about each province's or each municipality's own rules follows from that alone. The province names below are a geographic inventory supplied in the assignment, not evidence of a province-level licensing scheme. C014, C034, C046.

Researcher self-check and unresolved legal priorities
Self-check only — not independent review or coordinator acceptance### Tested against source text
- Original provision versus effective amendment. The key original Wck articles were read at S001; the 2016 repeals and their commencement at S002–S003; the 2018 municipal contractor replacement and its commencement at S005–S006. An especially important correction is that the 2018 municipal contractor language is effective from 1 January 2019, not a mere proposal. C003, C008.
- Current rule versus proposal. The 1998 designation has expired. The 2013 exemption project and 2026 Wet schuldregelen draft are not used as current law. The CCD legislative file was pending. C007, C009–C010, C036.
- Collection consequence dating. Wki article 18 is current from 1 October 2026, but its text has narrower effects than cancellation of the underlying creditor's claim. C006, C020.
- Fees and arithmetic. Wki decree statutory application and supervision amounts were read. Recalculated:
2200 + 600 + 1800 = 4600 EUR and 2200 + (2 × 600) + 7400 = 10800 EUR. These are collection-agency costs, not consumer settlement charges. C021.
- Professional financial safeguards. The protective-administrator rule supplies adequate damage-payment capacity, with insurance as an example; no universal euro PII/security amount is inferred. C013.
- Wft separation. Credit advice/intermediation, purchased-bank-NPL servicing and money transmission have distinct definitions, entities, authorisations and cross-border channels. C022–C027, C037.
- Geographic completeness. There are twelve provinces in the requested inventory, with Friesland/Fryslân one entry. All have explicit local holds; Caribbean Netherlands and autonomous countries are separately held. C029, C034.
Material unanswered questions, in priority order
- Latest consolidated Wck 47–48 and full active AMvB inventory. Are there operative category designations or later amendments not captured by the original-plus-amendment reconstruction? This could materially change the paid-provider exception analysis. Retrieve the full body and amendment history, not search-result summaries. C002, C044.
- Precise meaning of free/compensated covered work. What is current binding interpretation for indirect creditor commissions, third-party sponsored fees, compulsory nonprofit membership payments, integrated software charges and “success only” payments? C011.
- Protected-bewind and employee delegation. Read the actual official 2026 Rotterdam judgment if accessible, with ECLI, parties redacted as appropriate, procedural posture, holdings, paragraph pinpoints and later treatment; compare to the Belastingdienst knowledge-group position. No judicial holding was verified here. C038, C042.
- Business-purpose and guarantee debt classification. Reconcile retained Wck 1(a) against contemporary BW/Wft definitions and binding interpretation; do not reuse the repealed 1990-era articles 2–4. C008, C030, C041.
- Remote foreign debtor-side negotiation. Find territorial words, legislative history and controlling cases for Wck 47, including Dutch-resident clients reached solely online/telephone and work executed abroad. Distinguish Wki's expressly Dutch-resident collection rule. C040.
- Payment-services current consolidation and exact exclusions. Read updated Wft/implementing regulation, PSD2 classifications, agent notifications, territorial restrictions, account segregation and Wft 3:5 tests before publishing any “hold client money” operational guidance. C024, C026–C027, C039.
- Municipal model evidence. Select a municipality for a later targeted pass; obtain only its public policy and procurement/mandate instruments. Determine whether outsourced activity is genuinely in opdracht en voor rekening of simply privately marketed help. C003, C014, C034.
- Caribbean territorial law. Run independent BES and each autonomous-country enacted-law passes; do not let a European-Netherlands page represent “Netherlands” without precise territorial qualification. C029.

Evidence-grounded publishing opportunities — with restrictions
The findings support several carefully bounded articles or interactive decision aids for SettleADebt:
- “Does Dutch law permit a paid debt negotiator?” A classification tree beginning with article 47's actual elements, moving to om niet, municipality, professional/appointment and presently verifiable designation exceptions. Mark unsettled indirect-compensation and territorial branches as “needs qualified review.” C001–C003, C008, C011, C044.
- “Debt negotiator, incassobureau or kredietservicer?” A three-column activity/party/debt-origin comparison, with Justis, AFM and Wck consequences kept separate. C004–C005, C018, C022–C024, C033.
- “What does a Dutch provider's register entry prove?” An annotated screenshot-free public-register guide showing the right authority, entity, status, category, exclusions and the limits of an entry. Do not display real named searches from this pass. C028, C035, C037.
- “Municipal debt help versus private settlement versus Wsnp.” A plain-language pathway distinguishing Wgs assistance, voluntary agreements, the Fw 285(1)(f) declaration and judicial admission/appointment, without implying guaranteed debt forgiveness. C014–C016, C031, C046, C048.
- “Where will my payments go?” A document checklist asking who controls the account, when title transfers, who is a payment provider or agent, and whether a Wft credit-servicer arrangement applies. Publish only as a risk-identification tool pending the detailed client-money pass. C024, C026–C027, C039.
- Version-aware source annotations. Display separately “publication date,” “effective date,” “amended provision,” “proposal only,” and “last verified date.” Link the article 47/48 original to later changes instead of serving the 1990 PDF as a purported full 2026 consolidation. C006–C010, C047.
Publication and operational holds
Do not launch a paid Dutch debtor-negotiation offer on the strength of this report.
The current-law gateway identifies a prohibition with exceptions, not a general business model authorisation. Especially hold:
- Any public claim that a Dutch commercial provider can simply register or purchase a general debt-settlement licence.
- A claim that a free consultation, association membership, lawyer relationship, municipality logo, KVK entry or AFM/DNB permission necessarily establishes a Wck 48 exception.
- A claim that a Wki collection registration authorises debtor-side settlement work.
- Any adoption of 1998 sunset fees, the 2013 draft rules or 2026 proposed Wet schuldregelen remedies/deadlines as current.
- A stated consumer fee percentage, refund entitlement, guaranteed reduction, creditor acceptance or creditor debt cancellation.
- A client-funds or cross-border operating playbook without the separate payment, account, conduct, contractual and territorial research.
- A site-level “Netherlands covered” assertion that silently includes BES, autonomous Kingdom territories, all municipalities or all disputed remote-service patterns.
Handoff status: This is a substantive, independently researched C_NL PASS-01 narrow gateway with 43 source-register entries, 48 atomic claims, worked classification scenarios, two source-based cost calculations, an explicit A–E coverage matrix, named deferred domains and a complete requested territorial inventory. It is not a complete Netherlands debt-law dossier, current-law certification, external expert opinion, independent review or authorisation to operate. The coordinator must separately reopen consequential original bodies, validate live consolidation/currentness, recompute the figures and reconcile uncovered branches. A097/A098 acceptance remains held.
