S_PA PASS-01 — Pennsylvania provider market access and consumer fees

Requested baseline: October 22, 2026, Pacific. Actual research access: October 23, 2026, Pacific. The findings below are not backdated to the requested baseline.

Principal findings: Pennsylvania has separate statutory licensing pathways for covered debt-management services and covered consumer debt-settlement services. The criminal prohibition on debt pooling remains relevant outside an applicable exception or statutory safe harbor. Debt-management fees have statutory base amounts and an annual adjustment provision, but the exact currently adjusted amounts remain held because an authoritative applicable adjustment notice was not verified. The Debt Settlement Services Act establishes two fee-calculation methods and performance/payment conditions; its reviewed provisions do not establish a numerical percentage or dollar ceiling. These findings do not establish that SettleADebt.com or any other named provider is authorized. [C001, C003–C008, C020–C022, C030–C033] ENACTMENT+4

A. Substantive findings

1. Classification follows the actual service, payment arrangement and debt purpose

Current statutory framework and historical reconciliation

The Debt Management Services Act, Act 117 of 2008 (“DMSA”), became effective February 6, 2009. The later Debt Settlement Services Act, Act 118 of 2014 (“DSSA”), expressly repealed the DMSA insofar as it applies to debt-settlement services. The DSSA’s principal operating provisions, including §§301 and 502, became effective January 1, 2015; specified preliminary, licensing and administrative provisions became effective November 1, 2014. Legal permission for the current settlement licensing pathway comes from these enactments. [C001; S001 §§2103–2104; S002 §50; S009 p.1]

The January 2009 agency letter’s statement that fee-based settlement could not proceed until enabling regulations were promulgated is historical, not a current prohibition to carry forward unchanged. In United States Organizations for Bankruptcy Alternatives v. Department of Banking, the Commonwealth Court’s February 25, 2010 order invalidated the regulation-dependent language in former DMSA §3(b) and §15(h)’s application to settlement services. It did not invalidate the entire DMSA. The Pennsylvania Supreme Court’s 2011 decision quashed the interlocutory appeals and expressed no view on the merits; it was not a merits affirmance. The 2014 enactment subsequently supplied the separate settlement regime. [C002; S011 slip pp.6–8 and order; S012 pp.8–11, p.10 n.5] 21822_1.DOC+3

Activity classification
Actual model or conduct Classification and access consequence Claims / controlling provisions
Periodically receiving a consumer’s money and distributing it to creditors toward personal debts Debt-management services. This includes a conventional custodial DMP, whether creditors grant interest/fee concessions or receive full principal. A DMSA license is required unless an applicable exemption exists. C003; S002 §§2–4
Acting between an individual and unsecured creditors, with contemplated concessions involving principal reduction on at least one personal, family or household debt Debt-settlement services. For-fee marketing, solicitation, offers and provision fall within the licensing rule. Custody of client funds is not a prerequisite. C004; S001 §§102, 301
Negotiating only interest rates, fees or payment schedules, with no contemplated principal reduction and no receipt/distribution of consumer funds Does not meet the DSSA’s principal-reduction definition or the DMSA’s funds-distribution definition on those facts. Representations that the business will obtain or procure a DMP can still implicate DMSA §3(a). Federal debt-relief coverage and adjacent credit-services rules require separate analysis. C005, C038, C043
Standalone budgeting or financial-literacy counseling The label “credit counseling” does not itself establish DMSA coverage. Actual DMP services and representations matter. Paid credit-improvement or credit-obtaining promises can implicate the Credit Services Act. Counseling supplied to a DMP consumer is subject to the DMSA’s no-separate-fee and refund rules. C003, C005, C025–C026, C043
A contract under which a debtor pays another person, periodically or otherwise, to distribute money among specified creditors for consideration Potential criminal debt pooling under 18 Pa.C.S. §7312. Its definition is broader than a consumer DMP and is not limited to unsecured or household debts. An exception or the compliant-DMSA-licensee safe harbor must be established. C006–C007; S003; S002 §16(b)
Business-purpose debt negotiation without consumer-purpose debts Outside the consumer-purpose definitions reviewed for DMSA/DSSA coverage. This does not establish a general exemption from Pennsylvania law. Business-purpose custodial pooling can still satisfy §7312. C006, C013
A creditor directly adjusting only its own claim On those limited facts, the creditor is not acting as an intermediary between the debtor and another creditor or receiving money for distribution among other creditors. This is an inference from the activity definitions, not a blanket statutory “self-creditor” exemption for affiliates or service companies. C013
Lead generation, referral, marketing or outsourced enrollment Marketing/solicitation can itself fall within the licensing triggers. DMSA referral-compensation and delegation prohibitions also matter. A publisher or affiliate cannot be classified solely by calling itself a “lead source.” C004, C042

The DMSA definition of personal-debt distribution does not contain the DSSA’s express unsecured-debt limitation. That observation does not complete the later secured-debt investigation. [C003–C005] ENACTMENT+3

Resident and remote-provider nexus. DSSA §301(a) addresses an individual residing in Pennsylvania when the provider agrees to provide services. The DMSA reaches agreements negotiated, offered or transacted wholly or partly in Pennsylvania, agreements made or executed there after effectiveness, and agreements with a Pennsylvania resident regardless of execution location; it also reaches persons engaging in DMS activities in Pennsylvania. An out-of-state office does not remove these statutory connections. [C003–C004; S001 §301(a); S002 §48] ENACTMENT+1

Fee-free claims require care. DMSA §3(a)’s licensing language is not conditioned on charging a consumer fee. DSSA §301(a) does specify a fee or other consideration. A zero charge to the consumer does not, by itself, establish that the provider receives no other consideration. Mixed consumer/business programs require examination of debt purpose and actual services rather than treating the whole portfolio according to its marketing label. [C003–C005, C013]

2. Authorization, prohibition and conditional exemptions

DMSA and DSSA exclusions are different
Route Actual conditions Consequence and failure case
DMSA exemption from the entire Act §4(a): supervised banking institutions or federally/state-chartered credit unions; judicial officers or court-order actors; government agencies/instrumentalities; employees of licensees or exempt persons; Pennsylvania-admitted attorneys providing legal services in an attorney-client relationship within normal legal practice. The DMSA itself does not apply when the conditions are met. An unrelated company employing or contracting with an attorney does not thereby become the exempt attorney. Other applicable law remains separate. C009
DMSA exemption from licensing only §4(b): Pennsylvania-licensed CPAs providing accounting services in an accountant-client relationship; qualifying licensed title insurers or their agents; mortgage lenders, brokers and loan correspondents licensed under 7 Pa.C.S. Ch.61. These actors must still comply with the Act when offering, obtaining or providing covered DMS. The exemption does not remove consumer-fee requirements. C010
DSSA professional-service exclusions from the definition §102 excludes actual legal services in a qualifying attorney-client relationship, accounting services in a qualifying CPA-client relationship, and financial-planning services in a relationship with a licensed member of that profession. A professional affiliation or certificate is insufficient without the qualifying service and relationship. C011
DSSA attorney nonapplicability provision §103(5): attorney acts as intermediary in normal legal practice, is not otherwise engaged in or holding out publicly as engaged in DSS, and is not compensated by a provider. The provider-compensation disqualification expressly applies to this paragraph. The interaction between this paragraph and §102’s actual-legal-services exclusion must not be flattened into an automatic exemption or automatic disqualification for every attorney arrangement. C011
Other DSSA nonapplicability §103, in regular business/professional course: judicial officer, court/administrative-order actor or assignee for creditors; specified banks, bank holding companies, subsidiaries, agents, affiliates, credit unions and chartered financial institutions; title insurer, escrow company or bill payer where DSS is incidental; DMSA licensee where DSS is incidental to DMS. Employees are included within the stated conditions. Governmental entities are also excluded from “person” in §102. Each entity and activity condition must be proved. “Incidental” is not a general license to operate a principal settlement business. C012, C014

Sources: S002 §4; S001 §§102–103. ENACTMENT+1

Nonprofit status has three distinct effects
  1. Neither DMSA nor DSSA contains a blanket nonprofit exemption from its licensing scheme.
  2. Both Acts provide reduced government license fees for a qualifying domestic or foreign nonprofit corporation/association registered under the specified Pennsylvania nonprofit-corporation provisions, with annual gross revenues from the relevant service fees and charges below $3 million.
  3. Criminal §7312 separately exempts organizations in debt adjusting or pooling that are actually exempt under IRC §501(c)(3). This criminal-law exception does not itself eliminate a DMSA licensing obligation.

The criminal statute also separately excepts specified Pennsylvania-admitted lawyers, and partnerships or professional corporations all of whose members/shareholders are admitted as specified; and BBBs, legal-aid societies or welfare agencies acting without compensation or profit. A generic nonprofit label or one attorney’s involvement does not satisfy these different tests. [C007–C010; S003 §7312(b); S002 §§4, 6, 16(b); S001 §304] CRIMES AND OFFENSES+2

Incidental settlement by a DMSA licensee. DSSA §103(4) establishes the incidental-service exclusion. It does not expressly establish an additional settlement-success-fee schedule. The 2009 letter allowed incidental settlement without a separate charge, but that letter predates the DSSA repeal and cannot alone settle every current separate-fee issue. The verified DMP fee pathway remains available for qualifying DMS; a separate success fee under the incidental exemption remains held pending current authoritative interpretation. [C014]

Custody beyond the reviewed provider license. A compliant DMSA licensee has the express §16(b) debt-pooling safe harbor and the limited money-transmission exemption in §21 for transmission pursuant to the covered agreement. A DSSA license does not contain an equivalent express §7312 safe harbor in the provisions reviewed. Whether a settlement provider’s account-administration arrangement constitutes receipt/distribution, falls within a separate exemption, or requires additional authority must be resolved from the actual arrangement. [C007, C035, C044]

The current money-transmission statute separately addresses transmitting money for consideration with or for an individual, with institutional and agency exemptions and written-agency conditions. The 2018 Reliant Account Management consent order illustrates that a settlement-account administrator’s bank connection did not automatically establish an exemption: the Department alleged unlicensed transmission, and the company settled without admitting wrongdoing. That historical order establishes neither current licensing status nor the outcome for a different administrator. 3. Consumer fee structures and current amount limitations

A. Debt-management services

The amounts printed in DMSA §15 are statutory base figures. They are not certified here as the exact current indexed ceilings.

Fee or charge Verified statutory structure Currentness and conditions
Initial consultation Printed base ceiling $50, provided the consultation includes the consumer-education program. Exact adjusted ceiling held. This is not a separate $50 education fee plus a $50 setup fee. §§14(1), 15(a), (f), (g). C020, C025, C027
Monthly maintenance Printed base formula: lesser of $10 × accounts initially included, or $50 per month. Exact adjusted per-account and monthly amounts held. The statutory count is initially included accounts, not necessarily the number remaining. §15(b). C021–C022
Credit report Actual cost of requesting the consumer’s credit report. No markup or invented flat allowance is established by §15(d). C023
Dishonored payment instrument §15(c) permits a fee for a subsequent dishonored check/instrument, bounded by the service charge permitted under 18 Pa.C.S. §4105. §4105(e)(3) states $50, or actual financial-institution charges if those exceed $50, and includes a conspicuously displayed written-notice condition. Application to a first returned item, particular ACH transaction or remote-notice arrangement remains held. C024
Education/counseling supplied to a DMP consumer No separate education/counseling charge. If separately charged education/counseling is followed by a DMP with the same licensee within four months of beginning that education/counseling, the prior fee must be refunded. §15(f). C025–C026
Consumer contributions and other add-ons §15(e) prohibits requiring or accepting consumer contributions for regulated plan services, subject to its regulatory wording; §15(h) limits charges to those authorized by statute or regulation. No current rule authorizing a donation surcharge, extra enrollment charge, percentage-of-debt charge or settlement-success add-on for ordinary DMS was verified. C025

Indexing. Section 15(i) requires annual increases tied to the specified regional CPI-U measure for Pennsylvania, New Jersey, Delaware and Maryland, using the most recent officially reported 12-month period before the adjustment is due; deflation cannot produce a negative adjustment. The January 2009 official letter identifies initial consultation and monthly maintenance as the indexed fees and says increases will be published annually in the Pennsylvania Bulletin.

Searches of official sources, the current Code, the agency’s document routes and the 2026 nonregulatory-document catalog did not yield an authoritative applicable current adjustment notice. Therefore:

  • Current adjusted initial-consultation ceiling: HELD.
  • Current adjusted per-account monthly amount: HELD.
  • Current adjusted aggregate monthly ceiling: HELD.
  • No CPI series substitution, compounding, rounding convention or self-calculated 2026 amount is supplied.

[C020–C026; S002 §15; S004 §4105(e)(3); S009 p.3; S010] ENACTMENT+3

The reviewed DMSA fee section does not establish a separate lifetime program cap or a savings-percentage fee. Its monthly ceilings and prohibition on unauthorized additional fees must be applied to the actual agreement and duration. A favorable fee calculation does not override §14(2)’s requirement that the consumer benefit from the DMP.

B. Debt-settlement services

DSSA §502(c)(3) supplies alternative per-debt calculation methods:

Method Verified base and operation Important limitations
Proportional allocation Fee for the qualifying debt = agreed total program fee × that debt’s enrollment balance ÷ total enrollment debt balance. Both balances are measured when enrolled. One completed debt does not release the fee allocated to unresolved debts. C031
Percentage of savings Fee for the debt = consistent agreed percentage × (amount owed at enrollment − amount actually paid to satisfy that debt). The percentage cannot change from one individual debt to another. Later interest/fees do not replace the enrollment balance. C032

The reviewed DSSA contains no numerical percentage or dollar ceiling for these methods, no indexed settlement-fee amount, and no separately authorized advance setup/monthly fee schedule. No additional current Pennsylvania settlement-fee-cap rule was located in the reviewed official regulatory materials.

That is a bounded finding about the sources reviewed—not a conclusion that any fee amount is necessarily lawful. Good faith, accurate disclosures, the agreed method, earning conditions and other applicable law remain relevant. A service charge called “setup,” “membership,” “monthly administration” or “per debt” does not escape §502(c) if it is consideration for DSS. [C030–C034; S001 §§501–502; S016] ENACTMENT+2

4. When fees may actually be requested or received

Pennsylvania rules

DMS: Section 15(g) prohibits imposing charges or receiving payment for DMS until both provider and consumer sign the DMS agreement. Before entering that agreement, the provider must perform the required analysis and budget, determine benefit, and have a certified counselor orally review the analysis, budget and agreement with the consumer. The consumer-education program must precede offering the agreement. The consultation and monthly-fee provisions do not establish a freestanding right to collect an unperformed service charge before the applicable prerequisites. [C020, C027; S002 §§2, 14(1)–(2), 15(g)]

For a partial consumer payment, §14(6) gives creditors priority over the provider’s fee. The permitted trust-account deduction of fees owed does not negate that priority. [C028]

DSS: Before consent to pay, §502(a) requires the signed written agreement and specified disclosures, including the per-debt fee method and total estimated program costs. Section 502(c) then prohibits receiving a fee or consideration until:

  1. At least one debt has been renegotiated, settled, reduced or otherwise altered under a settlement plan;
  2. The individual has made at least one payment under that plan; and
  3. The per-debt fee satisfies one of the two statutory allocation methods.

The state text says “receive”; this wording is not treated here as affirmative permission to demand an advance payment. Depositing savings into a consumer-owned reserve account is analytically different from paying a creditor under an achieved settlement. [C033–C034] ENACTMENT+3

Independently applicable federal TSR — common context only

The exact federal provisions were read. 16 C.F.R. §310.4(a)(5)(i) prohibits requesting or receiving payment for covered debt-relief services until the seller achieves a qualifying alteration under a valid agreement executed by the customer, the customer makes at least one payment under the agreement with the creditor/debt collector, and the fee satisfies the per-debt allocation rule.

Federal “debt relief service” includes interest-rate and fee concessions, broader than Pennsylvania’s principal-reduction DSS definition. Telemarketing coverage must actually exist; the inbound-advertising exemptions contain express debt-relief exceptions. A state ceiling or exemption does not decide federal coverage. [C038–C040; S013 §§310.2(o), (ii), 310.4(a)(5), 310.6(b)(5)–(6)] ecfr.gov+3

The first-payment trigger does not require every installment of an agreed settlement to have been paid. However, a savings calculation must not subtract only the first installment while ignoring the remaining settlement obligation. The numerical savings examples below use fully paid settlements; a disputed or aborted installment-settlement true-up remains outside the verified examples.

Dedicated accounts and cancellation
Issue Pennsylvania DSSA Federal TSR, when applicable
Ownership and account Bank account solely in client’s name; client owns funds and accrued interest. Account at insured financial institution; customer owns funds and interest.
Administrator independence §502(d)(3) imposes independence if the provider does not administer the account. The state wording does not itself categorically prohibit provider administration. §310.4(a)(5)(ii)(C) requires an administrator not owned, controlled by or affiliated with the debt-relief service.
Referral compensation Account administrator may not give or accept compensation for referrals by the provider. Corresponding referral-compensation prohibition.
Withdrawal At any time without penalty; subtract only fees earned in compliance. At any time without penalty; subtract only compliant earned fees.
Return deadline Operative §502(d)(5): seven days. Required disclosure in §502(a)(4): seven business days. Seven business days.

The Pennsylvania discrepancy is preserved rather than silently harmonized. No controlling current interpretation resolving it was verified. The shorter seven-day operational deadline avoids assuming that the disclosure clause grants additional time. [C035–C036, C040] ENACTMENT+2

DSSA §502(a)(5) describes termination upon three days’ written notice; it does not describe a cancellation right limited to the first three days after enrollment. DMSA §14(3)(xii) instead requires notice of either party’s right to terminate on ten days’ written notice, with prompt return of undisbursed money and interest less lawfully payable fees under §14(5)(vii). If a required DSS license was absent when the consumer assented, §502(e) makes the agreement voidable by the individual. [C029, C036–C037]

5. Actual regulator procedure and public market-access verification

The issuing regulator is the Pennsylvania Department of Banking and Securities. Its currently retrieved Non-Bank Licensees → Debt Servicers page expressly directs both DMS and DSS applicants/licensees to NMLS to obtain and manage Pennsylvania licenses. The same page directs license-status inquiries to NMLS Consumer Access. These are actual operational instructions read on the page, rather than a search-result title. Entry conditions established from statute and operative regulation
DMSA pathway DSSA pathway
Application information includes ownership/control, Pennsylvania process agent, audited financial statement, liability/fidelity insurance, standard agreement, trust-account information, consumer-education materials, certification information/plan, acceptable independent accreditation and bond. Application includes ownership/control and affiliated-service interests, Pennsylvania process agent, insurance, standard agreement, bond and proof of authority to conduct business in Pennsylvania.
Bond must exceed the maximum Pennsylvania consumer funds held directly or in trust. Statutory bond amount is $25,000.
§10.1 requires denial to an applicant offering payday loans. Fitness, compliance, financial-condition and criminal-background provisions apply.
Current 10 Pa. Code Ch.57 requires 16 continuing-education hours every two years, including at least one ethics hour, through the specified registered certifying-organization structure. No comparable DSS counselor-education requirement is inferred from the DMS regulation.
License generally runs one year on the Department’s schedule. License period may not exceed 14 months on the Department’s schedule.

The full relevant Chapter 57 text and final adoption order/annex were read. The rule became effective January 24, 2015. The January 2009 letter’s anticipated six-hours-per-year description is not substituted for the adopted regulation. The current agency accreditation/certification page was also read. [C015–C017; S002 §§5, 7–10.1; S001 §§302–310; S005–S006, S017] ENACTMENT+5

Both Acts contemplate a decision on a completed application within 60 days, with a possible written 30-day extension. A conditional license requires Department issuance. Filing an application is not, by itself, current permission to operate; the original transition provisions are not a perpetual grace period. [C015–C016]

Government licensing charges — separate from consumer fees
License Statutory or verified historical government charge Limit
DMS, ordinary applicant $2,000 initial; $1,250 renewal Statutory §§5(14), 9(a). Current ancillary NMLS charges not verified.
DMS, qualifying registered nonprofit below the statutory revenue threshold $500 initial; $350 renewal §6 conditions must be met.
DSS, ordinary applicant $2,500 initial established in the October 2014 official letter; $1,250 renewal in §309(a) Initial amount is historically verified but not reverified against a readable current NMLS checklist.
DSS, qualifying registered nonprofit below the statutory revenue threshold $500 initial; $350 renewal §304 conditions must be met.

[C018–C019; S001 §§302, 304, 309; S002 §§5–6, 9; S008 p.3]

Public-access limits: Current NMLS checklist routes returned empty/redirected pages, legacy checklist PDFs did not yield their operative contents, and Consumer Access did not yield a usable registry result. Thus the statutory license pathways and current NMLS direction are established, while the complete current application package, ancillary fees and named-provider status remain unverified. Exact failed routes appear in B2.

Adjacent fee-taking conduct: Paid credit-improvement or credit-obtaining services can implicate the Credit Services Act. Its §3(1) has a complete-performance rule with a specified bond/trust alternative; its loan-broker provisions separately require registration and prohibit assessing or collecting an advance fee before loan closing. These are classification boundaries, not cleared substitute pathways for a DSS or DMP fee. Full credit-repair, loan-broker and professional-fee compliance remain later work. S_PA-P1-C001 DSSA supplies a separate settlement regime and repeals DMSA insofar as it applies to DSS; §§301/502 operate from January 1, 2015. S001 §§2103–2104; S002 §50; S009 p.1 High—text. Legacy transactions require their own temporal analysis under §2102.
S_PA-P1-C002 The 2010 ruling invalidated only specified former DSS regulatory/fee provisions; the 2011 Supreme Court decision quashed appeals without deciding merits. S011 pp.6–8/order; S012 pp.8–11, n.5 High—read decisions. Final post-remand disposition not verified; no current DSSA invalidity inferred.
S_PA-P1-C003 DMS is periodic receipt/distribution of consumer personal-debt payments; §3(a) also reaches specified advertising/procurement representations, without an express fee prerequisite. S002 §§2, 3(a), 48 High—text. Pennsylvania activity/resident nexus applies; secured-debt issues otherwise open.
S_PA-P1-C004 Covered DSS contemplates principal reduction of unsecured personal/family/household debt; fee-based marketing, solicitation, offers and provision to a PA resident require licensing absent exclusion. S001 §§102, 103, 301 High—text. Residence measured when provider agrees to serve; custody not required by definition.
S_PA-P1-C005 Pure noncustodial interest/fee negotiation without contemplated principal reduction differs from DSS and custodial DMS; labels do not decide coverage. S001 §102; S002 §§2–3; S013 §310.2(o) Bounded application. Marketing, actual money handling and federal/adjacent coverage must be checked.
S_PA-P1-C006 Paid contractual collection of debtor money for distribution among specified creditors can be prohibited debt pooling, including business-purpose debts. S003 §7312(a), (c) High—text; application assumes all definition elements and no exception.
S_PA-P1-C007 §7312 contains specified lawyer/entity, uncompensated-agency and actual §501(c)(3) exceptions; compliant DMSA licensees have a separate §16(b) safe harbor. S003 §7312(b); S002 §16(b) High—text. Mere license possession without required compliance is insufficient.
S_PA-P1-C008 Nonprofit status alone does not remove DMSA/DSSA licensing; reduced license fees and criminal nonprofit exceptions have different conditions. S002 §§4, 6; S001 §§103, 304; S003 §7312(b)(3) High—text. PA nonprofit registration and federal tax exemption are not interchangeable.
S_PA-P1-C009 DMSA §4(a) exempts specified institutions, governmental/court actors, employees and qualifying PA attorneys from the Act. S002 §4(a), §2 “banking institution” High—text; actual institutional/professional conditions required. Other laws not cleared.
S_PA-P1-C010 CPA, title-insurance and specified mortgage-license exclusions under DMSA §4(b) remove licensing only, retaining Act compliance. S002 §4(b) High—text. Consumer-fee obligations remain for covered services.
S_PA-P1-C011 DSSA’s actual-professional-services exclusions and its narrower §103(5) attorney provision must be separately analyzed; provider-paid attorneys fail the latter paragraph. S001 §§102, 103(5) High—text; interaction in specific attorney arrangements held absent controlling interpretation.
S_PA-P1-C012 DSSA institutional/court/bill-paying exclusions depend on §103’s entity, ordinary-course and incidental-service conditions. S001 §§102–103 High—text. No generic bank-affiliation or escrow label exemption.
S_PA-P1-C013 Direct own-creditor adjustment and exclusively business-purpose noncustodial negotiation differ from the consumer intermediary/distribution definitions. S001 §102; S002 §2; S003 §7312(c) Bounded inference. Affiliates, mixed debts and business pooling require separate application.
S_PA-P1-C014 Incidental DSS by a DMSA licensee is excluded under DSSA §103(4); the exclusion does not itself establish a separate success-fee schedule. S001 §103(4), §2103; S002 §15(h); S009 p.3 Exclusion verified; current separate additional-fee interpretation held.
S_PA-P1-C015 DMS entry requires statutory application/financial, insurance, agreement, trust, accreditation, counselor and bond information; payday-loan applicants must be denied. S002 §§5, 7–10.1 High—text. Application filing alone is not issuance; conditional license requires Department action.
S_PA-P1-C016 DSS entry requires business authority, specified application/insurance information and $25,000 bond; license term is at most 14 months. S001 §§302–305, 308–310 High—text. Current complete NMLS package held; original transition is historical.
S_PA-P1-C017 Current DMS continuing education is 16 hours per two years, including at least one ethics hour, under Chapter 57. S005 §§57.11–.13, .21–.33; S006 pp.408–411 High—operative rule/adoption read. Not the old letter’s anticipated six-hour description.
S_PA-P1-C018 DMS statutory government fees are $2,000 initial/$1,250 renewal; qualifying registered nonprofits below $3m relevant annual revenue pay $500/$350. S002 §§5(14), 6, 9(a) High—text. Not consumer charges; current ancillary NMLS fees unverified.
S_PA-P1-C019 DSS renewal is $1,250 by statute; qualifying nonprofits pay $500/$350; $2,500 ordinary initial fee is established by the 2014 letter. S001 §§302, 304, 309; S008 p.3 Statutory figures high; current ordinary initial-fee reconfirmation held.
S_PA-P1-C020 DMSA’s printed initial-consultation base ceiling is $50, with consumer education included. S002 §§14(1), 15(a), (f), (g) High—base text. Exact current adjusted ceiling held; no separate education add-on.
S_PA-P1-C021 Printed DMS monthly base ceiling is min($10 × initially included accounts, $50/month). S002 §15(b) High—base/formula text. Exact adjusted amounts held; contract may charge less.
S_PA-P1-C022 §15(i) requires annual regional CPI-U increases without negative deflation adjustment; current operative numerical amounts were not verified. S002 §15(i); S009 p.3; S010/S016 and access routes High—mechanism; held—exact current amounts and rounding.
S_PA-P1-C023 A DMS licensee may charge actual cost of requesting the consumer’s credit report. S002 §15(d) High—text. No markup authorization established.
S_PA-P1-C024 DMS dishonor fee is for a “subsequent” dishonored instrument and incorporates §4105’s service-charge ceiling. S002 §15(c); S004 §4105(e)(3) $50/actual-higher-bank-fee text verified. First-item, remote notice and instrument application held.
S_PA-P1-C025 No separate DMP education/counseling fee; unauthorized extra fees and consumer contribution substitutes are restricted. S002 §§14(1), 15(e)–(h) High—text. No additional authorizing regulation retrieved; statutory regulatory qualification preserved.
S_PA-P1-C026 Education/counseling fee must be refunded if the consumer enters a DMP with the same licensee within four months of beginning that service. S002 §15(f) High—text. Refund requirement; no assumption that a bookkeeping credit alone satisfies it.
S_PA-P1-C027 DMS charges/payment cannot precede the signed DMS agreement; preservice education, benefit analysis and oral counselor review also apply. S002 §§2, 14(1)–(2), 15(g) High—text. Does not override independent federal timing.
S_PA-P1-C028 Lawful fees may be drawn from the trust under specified accounting conditions, but creditors receive priority when consumer payment is partial. S002 §14(5)(iii), (6) High—text. Insufficient-payment delay provision does not convert funds into earned fees.
S_PA-P1-C029 DMP agreement must disclose ten-day written termination notice; unused funds and interest are promptly refundable less authorized payable fees. S002 §14(3)(xii)–(xiii), (5)(vii) High—text. No invented seven-day DMP refund deadline or cancellation surcharge.
S_PA-P1-C030 Reviewed DSSA fee provisions contain no numerical fee ceiling or separate advance setup/monthly fee authorization. S001 §§501–502; S016 High as to Act text; bounded as to absence of all other possible authority.
S_PA-P1-C031 Proportional DSS fee uses qualifying debt’s enrollment balance divided by total enrollment balance, multiplied by total fee. S001 §502(c)(3)(i) High—text. Unresolved debts’ fee allocations remain unearned.
S_PA-P1-C032 Savings-method DSS fee uses enrollment amount minus amount actually paid to satisfy debt, with the same percentage across debts. S001 §502(c)(3)(ii) High—text. Later inflated balances and inconsistent percentages are not the statutory method.
S_PA-P1-C033 State DSS fee receipt requires debt alteration, at least one payment under the plan and compliant per-debt allocation. S001 §502(c)(1)–(3) High—text. State wording is “receive”; no advance-fee permission inferred.
S_PA-P1-C034 Before consent to pay, a signed DSS agreement must disclose costs, per-debt fee method and total estimates; good faith and misrepresentation restrictions apply. S001 §§501, 502(a)(1), (b) High—text. No fee percentage is approved merely because disclosed.
S_PA-P1-C035 State settlement-account conditions require sole client-name account, ownership/interest, specified independence condition and no referral compensation. S001 §502(d)(1)–(4) High—text. Provider administration is not categorically excluded by this clause; broader custody authority remains separate.
S_PA-P1-C036 State DSS withdrawal is penalty-free; §502(d)(5) says seven days while disclosure §502(a)(4) says seven business days; agreement termination uses three days’ written notice. S001 §502(a)(4)–(5), (d)(5) High—wording; authoritative reconciliation held. Three-day language is a notice provision.
S_PA-P1-C037 Missing required DSS license when consumer assents makes the agreement voidable by the consumer. S001 §502(e) High—text. Not described as automatically void in all circumstances.
S_PA-P1-C038 Federal debt-relief definition includes interest/fee concessions; covered inbound advertising calls can fall within TSR. S013 §§310.2(o), (ii), 310.6(b)(5)–(6) High—federal text, retrieved through October 21, 2026. Actual jurisdiction/coverage required.
S_PA-P1-C039 TSR bars requesting and receiving fees before qualifying agreement, creditor/debt-collector first payment and proper allocation. S013 §310.4(a)(5)(i); S014 “Collecting Fees” High—federal rule. Common context only; consumer savings deposit is not the specified creditor payment.
S_PA-P1-C040 TSR dedicated-account allowance requires independent administration, insured institution, consumer ownership and seven-business-day penalty-free exit return less compliant fees. S013 §310.4(a)(5)(ii) High—federal text. Does not authorize Pennsylvania market entry or an administrator fee amount.
S_PA-P1-C041 Current DoBS instructions require NMLS for DMS/DSS and direct status inquiries to Consumer Access; current checklist/provider records were not retrieved. S007 “Debt Servicers,” concluding NMLS instructions; S021–S029 High—procedure read; held—specific current provider authorization/package.
S_PA-P1-C042 DMS referral compensation, related-entity payments, consumer enrollment incentives and delegation to applicable unlicensed persons are restricted. S002 §14(16)–(18), (22), (24); S001 §§102, 301 High—text; no categorical conclusion for an unspecified advertising arrangement.
S_PA-P1-C043 Credit-improvement/credit-obtaining services and loan brokering can trigger distinct CSA rules, including performance/bond conditions and loan-broker advance-fee prohibition. S015 §§2–3, 7–8, 12 Boundary verified. Full professional/credit-repair/loan-broker authorization and fee review remain open.
S_PA-P1-C044 Transmission/account administration requires a separate activity/exemption analysis; current MTA §§2–3, 12 and DMSA’s limited §21 exemption matter. S018 §§2–3, 12; S002 §21; S001 §2103 High selected text; hybrid account arrangements and full transmission rules not cleared.
S_PA-P1-C045 The 2018 RAM order addresses alleged unlicensed settlement-account transmission and rejected claimed bank-agent exemption on those facts. S020 ¶¶4–11, 20–21 Historical, party-specific, no admission. No present license or universal interpretation inferred.

D. Worked examples and coverage/gap table

D1. Plain-text worked examples

Common assumptions: These are hypothetical calculations, not provider approvals. Where a lawful DMS/DSS pathway is assumed, the correct license or actual exemption, disclosures, agreement, service requirements and independently applicable federal conditions must all be satisfied. Percentages chosen below are contract assumptions, not Pennsylvania statutory maxima.

Example 1 — Lower-debt DMP; conservative chosen charges, not a claimed current ceiling

Assume two personal-debt accounts of $400 and $600, a beneficial six-month DMP, a $30 consultation charge, a chosen monthly rate of $5 per initially included account, and a $12.50 actual credit-report cost.

Plain text

Inputs: 2 initially included accounts; 6 months.
Debt context: $400 + $600 = $1,000. Debt dollars are not the monthly fee base.

Monthly fee base: 2 accounts.
Operator: 2 accounts × $5/account/month.
Intermediate/result: $10/month.

Printed statutory-base comparison only:
min(2 × $10, $50) = $20/month.
The chosen $10 charge is below this printed base; the exact indexed maximum is held.

Program arithmetic:
$30 consultation + (6 × $10 monthly) + $12.50 actual report cost
= $30 + $60 + $12.50
= $102.50 total assumed consumer charges.

Units: USD.
Rounding: exact cents; no rounding adjustment.

If one account is paid off, §15(b)’s statutory account count still refers to accounts initially included; the contract may nevertheless require a lower charge. If the required benefit analysis finds this low-debt consumer would not benefit, the provider may not offer the DMP merely because the arithmetic fits the fee structure. [C020–C023, C027]

Example 2 — Partial DMP payment cannot fund the provider first

Plain text

Inputs: $300 scheduled creditor payments; $10 monthly provider fee.
Consumer pays only $180.

Base available: $180.
Priority operation: creditor payments before provider fee.
Provider-fee draw while the required creditor payments remain unsatisfied: $0.

Improper alternative:
$180 − $10 fee = $170 for creditors.
That reverses the statutory priority.

Units: USD.
Rounding: none.

The statute separately permits specified delay when funds are insufficient for designated creditors. That does not turn the partial payment into money available first for the provider’s fee. [C028]

Example 3 — Previously charged counseling followed by a DMP

Plain text

Inputs: $75 counseling fee; counseling began June 1.
Same provider's DMP agreement begins August 15.

Timing: August 15 is within four months of June 1.
Refund base: entire prior education/counseling fee.
Operator: $75 × 100%.
Required refund: $75.00.

Additional DMP education fee under §15(f): $0.
Units: USD.
Rounding: none.

This demonstrates the refund obligation if the earlier fee was collected. It does not independently approve the original standalone fee under every other law. [C025–C026]

Example 4 — One debt settled; proportional fee and a previous lawful payment

Assume a disclosed $4,000 total program fee and enrollment balances of $2,000 and $18,000. Only the $2,000 debt has been settled for $800 and paid.

Plain text

Total enrollment debt: $2,000 + $18,000 = $20,000.
Qualifying debt fraction: $2,000 ÷ $20,000 = 0.10.
Allocated fee: $4,000 × 0.10 = $400.00.

Unresolved debt's allocation:
$4,000 − $400 = $3,600.
That $3,600 is not earned by settling the first debt.

Assume $150 of the $400 was already lawfully paid after the trigger:
Remaining collectible allocation = $400 − $150 = $250.00.

Units: USD; fraction is dimensionless.
Rounding: exact cents.

A $4,000 total fee is an example input, not a legal maximum or an approval of that contract. If the previous $150 was taken before the earning conditions, this example does not cure that earlier receipt. [C031, C033–C034, C039]

Example 5 — Savings fee; enrollment balance controls

This is an alternative fee contract, not an additional charge on top of Example 4. Assume a consistent 25% savings rate.

Plain text

Debt A enrollment balance: $2,000.
Later balance before settlement: $2,300.
Amount actually paid to satisfy Debt A: $800.

Correct savings base: $2,000 − $800 = $1,200.
Fee: $1,200 × 0.25 = $300.00.

Using the later $2,300 balance would produce:
($2,300 − $800) × 0.25 = $375.
That substitutes the wrong statutory starting balance.

Debt B enrollment balance: $18,000.
Amount actually paid to satisfy Debt B: $9,000.
Savings: $18,000 − $9,000 = $9,000.
Same percentage: $9,000 × 0.25 = $2,250.00.

Units: USD.
Rounding: exact cents.

The 25% is assumed, not a verified statutory ceiling. Before the applicable settlement/payment conditions occur, these calculations do not permit fee receipt—and, where TSR applies, do not permit a request for payment. [C032–C033, C039]

Example 6 — Settlement cancellation; only earned unpaid fees deducted

Plain text

Current consumer account principal: $1,200.
Accrued interest: $2.
Consumer-owned total: $1,202.

Compliant earned fee allocation: $400.
Previously paid portion: $150.
Unpaid earned portion: $400 − $150 = $250.

Return calculation: $1,202 − $250 = $952.00.

If no fee had been earned under the required conditions:
Return = $1,202.00.

Units: USD.
Rounding: exact cents.

No unresolved-debt fee or cancellation penalty is deducted. Pennsylvania’s operative seven-day wording and disclosure’s seven-business-day wording remain separately recorded; federal seven-business-day timing does not enlarge the state operative text. [C033, C035–C036, C040]

Example 7 — DMP cancellation and undisbursed money

Plain text

Undisbursed consumer money: $500.
Accrued interest: $1.25.
Assumed lawfully payable, unpaid DMP fee: $10.

Refund base: $500 + $1.25 = $501.25.
Operator: subtract only the authorized payable fee.
Refund: $501.25 − $10 = $491.25.

Units: USD.
Rounding: exact cents.

The refund must be prompt after the relevant termination; this example does not invent a fixed DMP seven-day deadline. The ten-day written-notice provision and actual contract/termination facts still matter. [C029]

Example 8 — Business-debt pooling: no invented licensed fee

Plain text

Inputs: business debtor transfers $10,000 to an ordinary company.
Company will distribute it among specified trade creditors.
Proposed service fee: $500.
Assumptions: no qualifying §7312 exception; no applicable statutory safe harbor.

Classification:
Contract + debtor money + distribution among creditors + consideration
= the debt-pooling elements on the stated facts.

Result: prohibited-pathway finding.
No approved fee calculation is produced.
The $500 is not validated by calling the service "commercial debt negotiation."

The consumer licensing definitions do not supply a general commercial-pooling license. [C006–C007, C013]

Example 9 — Noncustodial interest-only negotiation

Plain text

Inputs: $4,000 consumer card debt.
Service contemplates only interest reduction, no principal reduction.
Consumer pays creditors directly; provider handles no payment funds.
Proposed unperformed upfront service charge: $100.

State classification:
DSSA principal-reduction element absent on these facts.
DMS funds-receipt/distribution element absent on these facts.
Covered DMP solicitation/procurement representations must still be checked.

Federal boundary:
If the sales activity is covered telemarketing, interest-concession services
can be debt-relief services and the advance payment request is barred.

Result: $100 charge remains unapproved.
No Pennsylvania licensed-fee scenario is invented.

Credit-services promises and the actual sales representations must also be examined. [C005, C038–C039, C043]

E. Researcher self-check

Actually read: The operative classification, licensing, exclusion, fee, timing and limited custody provisions identified in B; the complete relevant DMSA §15 and DSSA §502 language; the complete current Chapter 57 and its relevant final adoption order/annex; the official 2009 and 2014 letters; relevant 2026 catalog entries; current agency procedural/accreditation material; §7312 and the incorporated bad-check charge provision; and the exact federal TSR provisions materially used.

Judicial evidence: The 2010 and 2011 judicial texts were actually read through reproduced court-opinion PDFs after official court-host routes failed. Their procedural posture and limited holdings are preserved. No complete post-remand docket history or comprehensive current citator result is claimed.

Not verified: Exact current indexed DMP amounts; complete current NMLS application/checklist contents and ancillary charges; any named provider’s current authorization; and the identified attorney, incidental-fee, hybrid-account, installment-calculation and deadline interpretations. Empty directory results were not treated as proof that relevant documents do not exist.

Status discipline: Historical implementation letters were distinguished from current statutes and adopted rules. The 2010 ruling was not expanded to invalidate the DMSA generally. The 2011 appellate disposition was not described as a merits affirmance. No future-effective proposal was used as current permission, and no blanket finding concerning stays, vacatur or withdrawal of every potentially relevant authority is claimed.

Method and arithmetic: Research used public-web retrieval in this conversation. No separate Chat session, model-selector change or independent review is claimed; the ChatGPT UI’s requested “actualGPT6Pro” label was not independently verified. The example arithmetic was checked. This is the researcher’s own self-check, not independent review.

Actual model or conductClassification and access consequenceClaims / controlling provisions
Periodically receiving a consumer’s money and distributing it to creditors toward personal debtsDebt-management services. This includes a conventional custodial DMP, whether creditors grant interest/fee concessions or receive full principal. A DMSA license is required unless an applicable exemption exists.C003; S002 §§2–4
Acting between an individual and unsecured creditors, with contemplated concessions involving principal reduction on at least one personal, family or household debtDebt-settlement services. For-fee marketing, solicitation, offers and provision fall within the licensing rule. Custody of client funds is not a prerequisite.C004; S001 §§102, 301
Negotiating only interest rates, fees or payment schedules, with no contemplated principal reduction and no receipt/distribution of consumer fundsDoes not meet the DSSA’s principal-reduction definition or the DMSA’s funds-distribution definition on those facts. Representations that the business will obtain or procure a DMP can still implicate DMSA §3(a). Federal debt-relief coverage and adjacent credit-services rules require separate analysis.C005, C038, C043
Standalone budgeting or financial-literacy counselingThe label “credit counseling” does not itself establish DMSA coverage. Actual DMP services and representations matter. Paid credit-improvement or credit-obtaining promises can implicate the Credit Services Act. Counseling supplied to a DMP consumer is subject to the DMSA’s no-separate-fee and refund rules.C003, C005, C025–C026, C043
A contract under which a debtor pays another person, periodically or otherwise, to distribute money among specified creditors for considerationPotential criminal debt pooling under 18 Pa.C.S. §7312. Its definition is broader than a consumer DMP and is not limited to unsecured or household debts. An exception or the compliant-DMSA-licensee safe harbor must be established.C006–C007; S003; S002 §16(b)
Business-purpose debt negotiation without consumer-purpose debtsOutside the consumer-purpose definitions reviewed for DMSA/DSSA coverage. This does not establish a general exemption from Pennsylvania law. Business-purpose custodial pooling can still satisfy §7312.C006, C013
A creditor directly adjusting only its own claimOn those limited facts, the creditor is not acting as an intermediary between the debtor and another creditor or receiving money for distribution among other creditors. This is an inference from the activity definitions, not a blanket statutory “self-creditor” exemption for affiliates or service companies.C013
Lead generation, referral, marketing or outsourced enrollmentMarketing/solicitation can itself fall within the licensing triggers. DMSA referral-compensation and delegation prohibitions also matter. A publisher or affiliate cannot be classified solely by calling itself a “lead source.”C004, C042

DMSA exemption from the entire Act§4(a): supervised banking institutions or federally/state-chartered credit unions; judicial officers or court-order actors; government agencies/instrumentalities; employees of licensees or exempt persons; Pennsylvania-admitted attorneys providing legal services in an attorney-client relationship within normal legal practice. The DMSA itself does not apply when the conditions are met. An unrelated company employing or contracting with an attorney does not thereby become the exempt attorney. Other applicable law remains separate. C009
DMSA exemption from licensing only§4(b): Pennsylvania-licensed CPAs providing accounting services in an accountant-client relationship; qualifying licensed title insurers or their agents; mortgage lenders, brokers and loan correspondents licensed under 7 Pa.C.S. Ch.61.These actors must still comply with the Act when offering, obtaining or providing covered DMS. The exemption does not remove consumer-fee requirements. C010
DSSA professional-service exclusions from the definition§102 excludes actual legal services in a qualifying attorney-client relationship, accounting services in a qualifying CPA-client relationship, and financial-planning services in a relationship with a licensed member of that profession.A professional affiliation or certificate is insufficient without the qualifying service and relationship. C011
DSSA attorney nonapplicability provision§103(5): attorney acts as intermediary in normal legal practice, is not otherwise engaged in or holding out publicly as engaged in DSS, and is not compensated by a provider. The provider-compensation disqualification expressly applies to this paragraph. The interaction between this paragraph and §102’s actual-legal-services exclusion must not be flattened into an automatic exemption or automatic disqualification for every attorney arrangement. C011
Other DSSA nonapplicability§103, in regular business/professional course: judicial officer, court/administrative-order actor or assignee for creditors; specified banks, bank holding companies, subsidiaries, agents, affiliates, credit unions and chartered financial institutions; title insurer, escrow company or bill payer where DSS is incidental; DMSA licensee where DSS is incidental to DMS. Employees are included within the stated conditions. Governmental entities are also excluded from “person” in §102.Each entity and activity condition must be proved. “Incidental” is not a general license to operate a principal settlement business. Corrections, review and scope

Read the evidence with its boundaries. These are saved research components, including revisions. Dates and access limits remain attached to the records.
