S_MA PASS-04 — final-text and source-identity reconciliation
Research date: October 24, 2026, Pacific.
Scope: only the remaining 940 CMR 38 final-text completeness and source-provenance questions left after PASS-03.
A. Result
The evidentiary gap for printed pp.253–255 is now closed through substantive indexed text returned from the same official Mass.gov final-rule document used for pp.256–257.
The important correction is source identity: pp.253, 254, 255, 256, and 257 are pages of one document, not five authorities. I assign that document one canonical PASS-04 source ID below.
With pp.253–255 now substantively preserved, the narrow universal-negative proposition in P2-C011 / P1-C015 can be restored:
Within the complete text of 940 CMR 38.00 itself, no provision establishes a setup-fee, monthly-fee, per-debt, percentage-of-debt, percentage-of-savings, aggregate-program-fee, or CPI/indexed debt-settlement ceiling, and no provision affirmatively authorizes collection of such a fee.
That is a claim about this regulation only. It is not a claim that Massachusetts imposes no such restriction elsewhere, that fees are unlimited, that any provider is authorized, or that disclosure satisfies separate payment-timing or market-access law.
The final online CMR text is government-hosted, but Massachusetts expressly cautions that its online CMR is provided for public convenience and that the official version is the maintained print version. Massachusetts Government
B. Complete substantive preservation of final pp.253–255
Canonical final-rule document:
https://www.mass.gov/doc/940-cmr-38-unfair-and-deceptive-fees/download
The direct binary still returns 403 when opened. The findings below derive from substantively returned indexed text of that official document, not from its title, a short snippet, the proposal, or an inaccessible binary.
Printed p.253 — complete substantive content now read
The returned p.253 begins with the complete chapter contents, identifying:
- §38.01 Purpose
- §38.02 Scope
- §38.03 Definitions
- §38.04 Unfairness and Deception in Connection with Marketing/Solicitation/Sale
- §38.05 Recurring Fees and Trial Offers
- §38.06 Relation to Other Laws and Regulations
- §38.07 Severability
- §38.08 Preemption
- §38.09 Enforcement Date
It then contains the complete §38.01 Purpose. Substantively, that section says 940 CMR 38:
- defines unfair/deceptive acts and practices concerning fees connected to marketing, solicitation, and sales of products;
- separately establishes unfair/deceptive-practice standards for Trial Offers and contracts containing Negative Option Features; and
- is directed at natural-person consumers seeking products for personal, family, or household use, particularly price presentation and trial/negative-option practices.
§38.02 Scope then applies the chapter to acts or practices performed in connection with advertising, marketing, solicitation, or an offer of sale that is Targeted To or results in a sale in Massachusetts.
§38.03 Definitions begins on this page:
- Advertisement / Advertising / Advertise: any representation appearing in newspapers, magazines or other publications; notices/signage/display and similar printed matter; tags or labels accompanying a product; or electronic/software communications, including telephone, text, radio, television, and Internet communications.
- Clearly and Conspicuously: readily noticeable and understandable by ordinary consumers. On p.253 its first three conditions require:disclosure through the corresponding visual/audible means, including simultaneous visual and audible disclosure where both media are used;visual disclosures sufficiently prominent in size, contrast, location, duration and similar characteristics to be readily noticed/read/understood; andaudible disclosures delivered with adequate volume, speed, and cadence for ordinary consumers to hear and understand.
The printed footer identifies 3/14/25 — 940 CMR 253 — Massachusetts Register #1543. Massachusetts Government
Completeness status: p.253 is now substantively preserved from its heading through its continuation marker into p.254. [P4-C001]
Printed p.254 — complete substantive content now read
Page 254 first continues Clearly and Conspicuously with clauses (d)–(h):
- interactive-electronic disclosures must be unavoidable;
- wording/syntax must be understandable to ordinary consumers and appear in every language used for the triggering representation;
- disclosure cannot be contradicted, mitigated, or made inconsistent by other communications;
- requirements apply in each medium through which consumers receive the communication; and
- where a representation or practice targets a particular audience, such as children or older adults, the comprehension standard applies both to ordinary consumers generally and to that targeted group.
The page then supplies all remaining §38.03 definitions:
Government Charges
Charges actually imposed on the transaction by federal, state, tribal, local, or qualifying quasi-governmental bodies. A seller's own government-imposed business expense does not become a Government Charge merely because the seller chooses to pass it through.
Negative Option Feature
A contractual provision where consumer silence or lack of affirmative rejection/cancellation is treated as acceptance or continuing acceptance. Express examples are:
- automatic renewal;
- continuity plan;
- free-to-pay or fee-to-pay conversion; and
- pre-notification negative-option plan.
Product
A tangible or intangible good or service available for sale, or included in a sale, for personal/family/household use. The definition expressly encompasses memberships, subscriptions, and rental/leased dwelling units.
Sale / Sell
Includes lease, rent, and barter.
Shipping Charges
Charges reasonably reflecting the seller's cost of sending physical goods through mail, private delivery/shipping, or freight.
Targeted To
Use of the practice to induce Massachusetts consumers to enter a sale, regardless of whether a sale is ultimately completed.
Total Price
The maximum amount the consumer must pay for the Product, including fees, charges, other expenses, and mandatory ancillary products sold in the same transaction, while qualifying Government Charges and Shipping Charges may be excluded.
The definition then contains an important regulated-pricing condition: Total Price may rely on information used to calculate a pricing component previously approved by a Commonwealth insurance or financial regulator. A later change caused by changed underlying information is not itself a 940 CMR 38 violation if:
- the updated Total Price is supplied as soon as feasible; and
- the consumer was warned, when initially given Total Price, that such a change could occur.
Trial Offer
An offer allowing a consumer to participate in/acquire/use a Product free, at a reduced charge, for a rebate, or for only incidental costs such as shipping, for a limited period.
The printed footer is 3/14/25 — 940 CMR 254. Massachusetts Government
Completeness status: p.254 now supplies the continuation of the one definition split from p.253 and every remaining defined term before §38.04. [P4-C002]
Printed p.255 — complete substantive content now read
Page 255 contains all of §38.04, Unfairness and Deception in Connection with Marketing/Solicitation/Sale.
For covered Massachusetts-directed advertising, marketing, solicitation, or offers/sales, the regulation makes the following unfair or deceptive:
§38.04(1)
Misrepresenting or failing clearly/conspicuously to disclose Total Price at the initial price presentation and at subsequent price presentations.
§38.04(2)
At the initial Total Price presentation:
- failing accurately and clearly to disclose the nature, purpose, and amount of transaction fees/charges/expenses other than Shipping Charges and Government Charges; and
- for optional or seller-waivable charges, failing to explain that status and provide readily available instructions for avoiding them.
§38.04(3)
Before the sale, at the final price presentation:
- failing to disclose the final transaction amount, including the Total Price of all purchased Products and applicable Shipping/Government Charges;
- failing to disclose the nature, purpose, and amount of transaction fees/charges/expenses; and
- for optional/waivable items, failing to disclose their optional/waivable status and readily available avoidance instructions.
§38.04(4)
Generally, the seller cannot require personal information, including billing information, before disclosing Total Price, except where the information is collected specifically and only as necessary to:
- perform underwriting relating to the sale;
- determine product availability;
- determine whether sale to the consumer is legal; or
- calculate a pricing component previously approved by a Commonwealth insurance or financial regulator.
§38.04(5)
A seller cannot misrepresent that a fee, charge, expense, or portion thereof is required by law.
§38.04(6)
Whenever Total Price disclosure is required, Total Price generally must be displayed more prominently than other pricing information. At the final presentation governed by §38.04(3)(a), the final transaction amount instead receives greatest prominence.
Food/grocery delivery qualification
The regulation then states that food or grocery delivery platforms do not violate §38.04 merely by advertising menu-item prices set by the underlying food store, restaurant, or grocery store. They must nevertheless clearly and conspicuously display the maximum mandatory charges or fees required to complete the transaction whenever pricing information appears on their interface.
Residential rental qualification
For dwelling-unit rental/lease advertising, §38.04(1) is not violated merely because Total Price is advertised as a periodic dollar amount, such as monthly rent, provided the seller also clearly/conspicuously states the full period covered by the rental/lease.
Opening of §38.05
Page 255 then begins §38.05 Recurring Fees and Trial Offers and states its operative framing: in connection with covered advertising, marketing, solicitation, or offers/sales Targeted To or resulting in Massachusetts sales, the practices enumerated in the following subsections constitute unfair/deceptive practices under chapter 93A §2.
The enumerated §38.05 provisions themselves continue onto p.256.
The printed footer is 3/14/25 — 940 CMR 255. Massachusetts Government
Completeness status: all numbered provisions and the two post-subsection qualifications in §38.04, plus §38.05's opening operative sentence, are now substantively preserved. [P4-C003]

Text-completeness result
On the preserved evidence across PASS-03 and PASS-04, there is now continuous substantive final-text coverage from printed p.253 through p.257, i.e. §§38.01–38.09.
That is sufficient to resolve the prior text-content completeness hold.
It is not an assertion that:
- the inaccessible PDF binary was inspected;
- Massachusetts's online copy is itself the legally official printed CMR;
- every amendment possibility has been exhaustively certified;
- other Massachusetts rules/statutes impose no fee restrictions.
Massachusetts itself says the online CMR is a convenience copy and points to maintained official print editions. Massachusetts Government
D. Reconciliation of the “no numerical debt-settlement cap in 940 CMR 38” claim
P2-C011
Original:
“Nothing recovered in 940 CMR 38 supplies a setup/monthly/per-debt/savings/principal/aggregate/CPI debt-settlement fee ceiling or affirmatively authorizes collection.”
PASS-04 disposition: Restore, with narrower and stronger wording
The complete operative text now preserved across pp.253–257 supports:
S_MA-P2-C011, as patched:
The substantively recovered complete text of 940 CMR 38.00 §§38.01–38.09 contains no numerical debt-settlement setup-fee, monthly-fee, per-debt, percentage-of-principal/enrolled-debt, percentage-of-savings, aggregate-program-fee, or CPI/indexed fee ceiling. It likewise contains no affirmative grant allowing a debt-settlement provider to collect such a fee. Its operative subjects are consumer price/fee presentation, trial offers, Negative Option Features, specified cross-law compliance provisions, severability, preemption, and enforcement timing.
Confidence: High within 940 CMR 38 itself.
Explicit limits: This proposition does not establish that:
- Massachusetts law elsewhere has no cap or restriction;
- a provider may charge any amount;
- a disclosed fee is substantively lawful;
- disclosure authorizes advance payment;
- §38 creates debt-adjustment/provider permission;
- state or federal timing requirements are displaced.
Support: final pp.253–255 now directly retrieved; pp.256–257 retain PASS-03/coordinator-checked provenance. Massachusetts Government+2
P1-C015
Original PASS-01 proposition said the core provisions then read supplied no particular numerical debt-settlement cap, while 940 CMR 38 remained unresolved.
PASS-04 disposition: Patch only the 940 CMR 38 dependency
For 940 CMR 38, the former textual uncertainty is removed: complete substantive final-rule coverage now supports that this regulation does not itself prescribe the enumerated numerical debt-settlement fee caps. P1-C015 remains bounded at the broader Massachusetts-law level because other statutes, regulations, cases, professional rules, entity conditions, and later state investigations are separate questions.
This is a component-level closure, not a Massachusetts fee-law closure. [P4-C006]

F. Guidance-version correction
The PASS-03 record attached the installment distinction to:
https://www.mass.gov/doc/guidance-with-respect-to-unfair-and-deceptive-fees-2026123/download
The coordinator later established that an official query actually returned the relevant July 2025 guidance p.9 at:
https://www.mass.gov/doc/guidance-with-respect-to-unfair-and-deceptive-fees-07292025/download
In PASS-04:
- direct opening of that July literal URL returned 403;
- a search explicitly requesting the July URL was canonicalized by search to the 2026123 route;
- that newer indexed document substantively returned the same p.9 distinction: installment contracts obligate the consumer for the contract period, whereas a Negative Option Feature permits continued products/charges unless the consumer affirmatively cancels; a contract can contain both. Massachusetts Government+1
Correct provenance conclusion
Do not treat the July-2025 and 2026123 objects as proven identical versions.
The defensible record is:
- July 2025 p.9 proposition: supported through the coordinator's selected official-source audit, not newly read by me from that literal binary in PASS-04.
- Later/current 2026123 p.9 proposition: independently substantively returned in PASS-04.
- Whether a later revision changed any other guidance language: held.
- For the installment-vs-negative-option proposition specifically: both observed versions support the same substantive distinction, but that does not establish complete document equivalence. [P4-C008–C009]
The final regulation, not guidance, remains controlling.

Researcher self-check
In PASS-04 I newly and substantively read official indexed final-rule pp.253, 254, and 255. Those results were not mere document titles: they returned the operative clauses, definitions, qualifications, cross-references, and printed page/date identifiers described above. Massachusetts Government+2
I did not rerun pp.256–257. Their substantive status remains attributed to PASS-03 and the coordinator's selected-source check.
I directly attempted the supplied July-2025 guidance URL and received 403. I did not bypass that result. A normal public search seeking that source instead returned indexed substantive guidance under the later 2026123 URL. I have therefore not silently equated the two guidance versions. The installment/Negative Option proposition is supported in both observed evidentiary records, but full-version identity remains held. Massachusetts Government+1
I consolidated duplicate page-specific source IDs for the final regulation into one canonical document ID, while preserving old IDs through an alias map rather than rewriting the original saved reports.
No DMB, provider licensing, professional-rule, unrelated fee-rule, whole-state, or A066 conclusion was researched or implied. No independent review, local save, publication action, website change, private-data access, account change, API, Work, Deep Research, Codex, purchase, contact, or other-chat activity is claimed.
