C_SC PASS-01 — Scotland
Independent paid-provider classification and authorisation gateway
Substantive narrow-pass findings Not independently reviewed or accepted
Research baseline: 22 October 2026, America/Los_Angeles.
Actual public-source access: 26 October 2026 — UTC, Pacific daylight time (California), and GMT (Scotland). A precise access clock time was not captured.
Jurisdiction: Scotland, together with UK financial-services legislation insofar as it applies in Scotland.
Scope: Whether a debtor-facing business or professional may lawfully undertake specified advice, negotiation, repayment, referral or administration activities; the separate Scottish statutory adviser/practitioner gateways; and public verification of those statuses.
This is not a finding that any actual firm or person is authorised. It does not resolve consumer fees, contracts, client money, debt enforceability, compensation or the procedures for obtaining a Scottish debt solution.
1. Principal findings
Two different permission systems must be tested. A Scotland-facing provider may require authority under the UK Financial Services and Markets Act 2000 (FSMA) for regulated credit-debt activities. An adviser acting in the Scottish Debt Arrangement Scheme (DAS) must separately meet the Scottish approved-money-adviser provisions. Neither status automatically confers the other. C001–C003, C029–C036. legislation.gov.uk+3
Debt negotiation and advice have specific regulatory definitions. Negotiating a borrower's credit-debt discharge with the lender is potentially debt adjusting, under article 39D of the Regulated Activities Order (RAO). Advising that particular borrower on paying, reducing, rescheduling or otherwise discharging that credit debt is potentially debt counselling, under article 39E. Generic budgeting is not automatically either activity. C004–C009. legislation.gov.uk+1
The relevant agreement need not itself be a regulated lending agreement. The FCA expressly distinguishes a credit agreement from a regulated credit agreement: debt adjusting and counselling can apply to credit agreements and consumer-hire agreements even where the underlying agreement is exempt from the lender's regulatory perimeter. Conversely, a council-tax-only or other genuinely non-credit matter does not become article 39E counselling merely by being called “debt advice.” Mixed-debt advice requires particular care. C010–C014. legislation.gov.uk+2
Charity, free advice and professional credentials are not blanket exceptions. Regular debt advice by a qualifying not-for-profit body can be treated as carried on by way of business. The narrow professional-services, litigation, insolvency and public-body exclusions have different conditions. C015–C021. legislation.gov.uk+2
Scottish statutory roles are more specific than marketing labels. DAS regulations identify approved adviser categories, prohibit certain conflicted occupations and provide individual approval through the DAS Administrator. An entity debtor—such as a legal person, trust or unincorporated body—has a more restrictive DAS adviser rule. A Scottish sequestration or protected trust deed involves separate trustee and insolvency-practitioner authority. C029–C042. legislation.gov.uk+3
A public register entry must be read at the activity level. FCA authorisation, limited permission, an appointed-representative arrangement, insolvency-practitioner licensing, DAS adviser approval and DAS payments-distributor approval are not interchangeable statuses. C022–C028, C043–C047. FCA+3
A material 2025 Scottish amendment affects current applications. DAS regulation 9(1)(d) now specifies a Level 2 disclosure under the Disclosure (Scotland) Act 2020, dated less than 12 months before an application. That wording took effect on 1 April 2025. Older AiB guidance referring to the former criminal-record certificate must not be treated as the controlling 2026 wording. C035. legislation.gov.uk+1
2. A — Operative FSMA/RAO perimeter
The first legal test is not “Does this business call itself a debt settlement company?” It is:
- Who performs the act, for whom, and in what legal capacity?
- Is the underlying obligation within the particular RAO activity definition?
- Is the provider carrying on a specified activity by way of business?
- Is the activity carried on in the UK, including any applicable FSMA territorial extension?
- Does a specific RAO exclusion, FSMA exemption, or valid appointed-representative arrangement apply?
- Otherwise, does the correct legal person have permission for that precise activity, without a restriction that rules out the proposed service?
FSMA section 19 supplies the general prohibition; section 22 supplies the specified-activity/business framework. A one-time free consultation does not decide the character of the continuing business. C001–C003, C022–C028. legislation.gov.uk+2
A1. Activity classification
| What the provider actually does |
Primary test |
Conclusion and adverse branch |
| Negotiates a Scottish debtor's credit-card settlement directly with the lender |
RAO 39D(1)(a) |
Potential debt adjusting. A percentage fee is not an element that must appear in the definition; business and permission tests follow. C004 |
| Assumes the debtor's repayment obligation in exchange for debtor payments |
39D(1)(b) |
Expressly included for qualifying credit debts. Merely forwarding funds is a different factual model and may raise payment-services questions. C005 |
| Performs similar work to liquidate that credit debt |
39D(1)(c) |
Potential adjusting; actual contract, authority and operations matter. “Administration” as a label does not remove it. C004–C005 |
| Negotiates or assumes obligations arising under consumer hire |
39D(2)(a)–(c) |
Parallel adjusting perimeter for qualifying hirer/owner relationship. C006 |
| Tells a particular borrower which repayment, rescheduling or insolvency option to pursue |
39E(1); FCA PERG 17.2–17.7 |
Potential debt counselling where a credit agreement is implicated. This can be implicit steering, not just an express recommendation. C007–C009 |
| Publishes general, neutral explanations accessible to everyone |
PERG 17.4 Q4.1; 17.5 |
Generally not 39E counselling merely from publication. A personalised decision tree may cross the boundary. C008 |
| Calculates a budget without recommending a course for a particular credit debt |
39E and PERG 17.5 |
Classification depends on output and context; not all budgeting is regulated counselling. C008 |
| Advises on credit cards and council-tax arrears together |
PERG 17.3 Q3.3 |
The integrated advice may be regulated even though council tax itself is not a credit agreement. Do not remove the credit-debt part from the analysis. C009–C010 |
| Collects a lender's or debt owner's credit arrears for that creditor |
39F |
Potential debt collecting, a creditor-side activity, with separate connection-to-agreement exclusions. It does not answer whether the same firm may advise a debtor. C011, C018 |
| Exercises or performs a lender's contractual rights and duties |
39G |
Potential debt administration in that lender/owner capacity. A debtor-side payment plan is not automatically 39G. C012 |
| Introduces a person to a new consolidation loan |
36A |
Potential credit broking, subject to the precise introduction and exceptions. Introducing someone only to a debt-help provider is not automatically 36A. C013 |
| Operates software that selects a debt solution for a named user |
39E; PERG 17.5 Q5.5 |
Algorithmic delivery does not immunise personalised advice. The software operator and any human adviser each require role analysis. C008, C014 |
| Receives debtors' money solely to transmit it to creditors |
Payment Services Regulations 2017, regulation 2 and Schedule 1 |
Potential additional payment-services gateway; it cannot be inferred away from a debt-adjusting permission. Present-day payment-services amendments and exclusions remain a specific verification hold. C048 |
The article 39D wording was read directly; the FCA's operative discussion of 39E was read in PERG 17. C004–C014. legislation.gov.uk+5
A2. Debtor, debt and purpose branches
| Branch |
Gate result |
| Individual's personal card, instalment loan or relevant consumer-hire debt |
Core case potentially within 39D/39E, subject to the agreement and actor tests. C004, C007 |
| Sole trader's borrowing |
Being for business does not alone place every borrowing outside “credit agreement.” Examine RAO 60B and the exemptions; even an agreement exempt from regulated lending may remain relevant to 39D/39E. C010, C015 |
| Two- or three-person partnership / qualifying unincorporated association |
“Relevant recipient of credit” can bring some non-individual structures into the definition. The exact partnership composition and contract are essential. C015 |
| Incorporated company's own ordinary borrowing |
Not ordinarily the “individual or relevant recipient of credit” in 60B(3). No universal conclusion for all corporate/guarantee arrangements or other legal gateways. C015–C016 |
| Guarantor, indemnifier or third-party payer |
A guarantor is not automatically the borrower receiving 39E advice. The RAO's additional consumer definition in 39M for 39F/39G must not be silently transplanted to 39E. Check who owes what under the instrument. C016 |
| Joint borrowers |
Each contracting borrower's identity and obligations matter; one client's instruction does not prove authority to act for the other. C016 |
| Debt not yet in arrears |
FCA PERG 17.3 Q3.2 includes existing obligations to pay in the future; default is not required for counselling. C007 |
| Council tax, rent, public fines or tax only |
These are not automatically debts under a RAO credit agreement. Other law and a mixed-credit-debt interaction remain possible. C010 |
| Secured/mortgage obligations |
RAO 39J, as amended, only excludes the debt activities to the extent the conduct is another specified regulated activity concerning a regulated mortgage contract/home purchase plan. Mortgage permissions may therefore be separately relevant. C017 |
The credit agreement's exemption from regulated lending cannot be used as a blanket exemption for the debt adviser. The converse error—assuming every debt is a credit agreement—is equally significant. legislation.gov.uk+4
3. B — Actor, role and exception matrix
“Applicable” below means only that the particular described exclusion or exemption has been located. It is not an approval of a provider.
| Actor or capacity |
Actual boundary and authority |
Missing/adverse branch |
| Commercial debtor-side negotiator |
Articles 39D/39E; FSMA 19/22. Ordinarily requires a relevant FCA Part 4A permission, properly scoped appointed representation or genuine exemption. C001–C007 |
A collection-only, credit-broking-only or restricted permission may not cover debt management. |
| Not-for-profit debt-advice body |
Carrying on Regulated Activities by Way of Business Order 3E, inserted in 2013: qualifying not-for-profit bodies doing 39D, 39E or 89A activities are treated as doing so by way of business, except where only occasional. The constitution must meet the income/application and non-distribution criteria. C019 |
Free delivery, charitable incorporation or receiving donations is no automatic FSMA exclusion. Appropriate limited permission can be available, but must actually exist. |
| Public free adviser |
Test employer and capacity. A local authority's own debt activities have RAO 72G(3) exclusion; DAS regulation 8(e) separately recognises qualifying local-authority employed money advisers. C020, C032 |
A private charity, contractor, subsidiary or paid partner does not become the local authority simply by working with one. |
| Scottish solicitor |
RAO 39K legal-proceedings/advocacy/litigation capacity; separately FSMA 327 conditional designated-professional-body exemption for incidental regulated activities. C021 |
Ordinary commercial telephone debt settlement cannot rely merely on a solicitor's title. Separate client/advantage, incidental-service, designated-body and permission facts matter. |
| Accountant or other professional |
FSMA 327(1)–(9) only where all profession, oversight, incidental-service and reward/regulated-activity conditions are met. C021 |
Accountant title alone gives no blanket debt-management permission. |
| Creditor collecting or rescheduling its own loan |
RAO 39H connection-to-agreement exclusions, supported by PERG 2.8.7C; related supplier/acquiring-broker branches. C018 |
An independent collection agent or assignee must identify its real legal capacity. Particular 39H amendments, including special debt-collection exceptions, require agreement-level verification. |
| Debt purchaser or independent servicer |
Test whether actually lender/rights-holder, person with a qualifying 39H connection, or independent 39F/39G operator. C011–C012, C018 |
Purchasing a portfolio does not by itself settle the regulatory classification of all outsourced collection, servicing and borrower advice. |
| Introducer or lead generator |
Credit-broking article 36A if introducing for qualifying new credit; personalised debt advice may separately invoke 39E. C013–C014 |
Bare factual signposting is distinct from tailored debt-solution steering. Referral commissions may affect other requirements. |
| Software supplier |
Substance of advice, who controls decision rules, whether outputs concern a particular borrower and debt; PERG 17.4–17.7. C008, C014 |
“Automated,” “AI” or “information only” branding proves no exclusion. |
| Payment-only distributor |
Payment Services Regulations gateway may apply to receipt/transmission of funds; Scottish DAS payments distributor has a distinct regulation 14 approval role. C038, C048 |
Neither status implies permission to advise or negotiate. Funds held and who is payee are critical. |
| Qualified insolvency practitioner |
RAO 72H(1)–(3) excludes 39D–39G while acting as an insolvency practitioner; narrower anticipated-appointment relief for 39D/39E. Insolvency Act 388/390/390A controls capacity and qualification. C022–C025 |
Running an unrelated paid debt-management service is not covered simply because its owner holds an IP licence. |
| Official receiver / judicial factor |
Exemption Order Schedule 52 in stated statutory capacity; official receiver is not automatically the Scottish Accountant in Bankruptcy. C026 |
Identify actual office and appointment; do not transfer powers across roles. |
| Approved DAS money adviser |
Scottish regulations 7–11, status/capacity determined by regulation 8 or actual regulation 9 approval, subject to regulation 10. C029–C037 |
No automatic UK FSMA permission to run a wider commercial debt-settlement business. |
| Appointed representative |
FSMA 39 and Appointed Representatives Regulations, as amended to encompass 39D–39G. Authorised principal must accept responsibility in writing for specified business. C027 |
“Works with an FCA firm” or “is an introducer” is not enough. Verify entity, principal, scope and limitations. |
| Qualifying enterprise scheme |
Exemption Order Schedule paragraph 40 and FCA PERG 2.11.5 recognise a specifically defined enterprise-scheme exemption for specified activities, without prospect of direct or indirect pecuniary gain; reasonable operating-cost recovery is differentiated. C028 |
Not a general nonprofit exemption; the current definition and all scheme predicates need verification. |
| Sheriff officer, messenger-at-arms, debt collector seeking DAS adviser role |
Scottish DAS regulation 10(a), (c) disqualifies the specified persons or employees from approved money-adviser capacity. C034 |
FCA authorisation or a professional relationship does not override the Scottish restriction. |
For the professional and creditor-connection rows, particular limitations are established by the sources cited, while consolidated article 39H and amended 39K remain explicitly identified as provision-level currentness checks. legislation.gov.uk+4
4. C and F — Distinct authorisation, Scottish adviser and practitioner gateways
Classification decision
This classifies authority, not whether a debtor qualifies for a programme or what creditors must accept.### C1. FCA and professional gateways
| Gateway |
Person/body that supplies authority |
Decisive scope and safeguard |
| Direct Part 4A authorisation |
Financial Conduct Authority |
The legal entity must hold permission for the particular regulated credit activity. A permission limited to vehicle finance, a specified ancillary activity or advice excluding a debt management plan cannot be extrapolated. C027, C043 |
| Full versus limited consumer-credit permission |
FCA |
Classification depends on the activities and applicant. An appropriately constituted not-for-profit body may apply for limited permission covering its debt counselling/adjusting, whereas a generic commercial debt-management provider should not assume limited status. C043 |
| Appointed representative |
Authorised principal with written accepted responsibility, under FSMA 39 |
Scope, principal, exclusions and any restrictions must match the proposed regulated acts. Representation is not personal authorisation of every worker or independent service. C027 |
| Designated professional exemption |
FSMA 327 plus the applicable designated professional body and its regulatory arrangements |
Must be incidental to supervised professional work; no unaccounted third-party advantage; no impermissible regulated holding-out/activity. C021 |
| Insolvency practitioner authorisation |
Recognised professional body under Insolvency Act 390/390A/391 |
An individual, appropriately authorised for the relevant subject (individual/company and partnership branches), not an ordinary corporate licence. Section 390(3) additionally requires qualifying security/caution in Scotland for the appointment. C023–C025 |
| Debt-management prudential resources |
FCA CONC 10 for firms to which it applies |
Continuing solvency and specified capital/resources calculation; details below. Does not promise a ring-fenced customer fund or compensation. C044–C045 |
The FCA's 2025 guidance for insolvency practitioners expressly distinguishes their professional regulator from the FCA's regulation of an authorised financial-services firm. A practitioner appointed over an FCA firm does not thereby erase that firm's FCA obligations. C025. legislation.gov.uk+5
F1. Scotland's Debt Arrangement Scheme
The legal name is the Debt Arrangement Scheme; the statutory programme is a Debt Payment Programme (DPP). The DAS Administrator is the relevant Scottish statutory authority, administered through the Accountant in Bankruptcy (AiB). This is not an England-and-Wales IVA or DRO, nor an Irish DSA or PIA. C029–C030. legislation.gov.uk+2
| Scottish requirement |
What the text actually says |
| Money adviser required |
DAS regulation 7 requires the debtor to have an approved money adviser, with the stated association restriction. C031 |
| Automatically qualifying categories, subject to exclusion |
Regulation 8(a)–(e) lists a qualified IP, a properly delegated employee of such IP, an adviser working for a Type 2-or-higher accredited organisation, an adviser at a qualifying Citizens Advice Scotland member bureau, and a local-authority money adviser. Regulation 8(f) adds individually approved persons. C032 |
| Entity debtor exception |
Regulation 8A requires a legal person, trust or unincorporated body debtor to use a regulation 8(a) IP-category money adviser. An ordinary CAB adviser does not satisfy this special rule solely by meeting regulation 8(d). C033 |
| Individual approval application |
Regulation 9(1)–(2) requires the prescribed written application and suitability/training material and a Level 2 disclosure dated less than 12 months earlier; DAS Administrator determines fitness, training and applicable FCA compliance arrangements. C035 |
| Disqualifications |
Regulation 10 excludes specified sheriff officers/messengers, debt collectors and employees, certain for-profit financial-services persons subject to narrowly stated professional exceptions, specified dishonesty convictions, bankruptcy/director restrictions, and revoked/suspended advisers. C034 |
| Continuing status |
Regulation 11 governs suspension/revocation; an adviser cannot rely indefinitely on a status that has ceased to satisfy its terms. C036 |
| Payments distributor |
Regulations 14–15 provide a separate DAS Administrator approval/oversight route for distributors, including suitability conditions. It is not the same as money-adviser approval or a general payment-services permission. C038–C039 |
| Repealed historical provision |
DAS regulation 13 was revoked with effect from 4 November 2019. It must not be treated as a present approval pathway. C040 |
legislation.gov.uk+8### F2. Sequestration and protected trust deeds: practitioner status only
Scotland's bankruptcy legislation uses sequestration, and Scottish debtor insolvency arrangements include protected trust deeds (PTDs). The Bankruptcy (Scotland) Act 2016 allocates trustee selection/qualification functions and statutory roles to AiB and qualified trustees. In the 2016 Act's enacted print, sections 49–51 address trustee restrictions and appointment pathways; 163–165 distinguish trust-deed protection/recording from the qualified trustee role. No conclusion about an individual's eligibility, approval of a deed or discharge follows from these gateway provisions. C041–C042. Oueen's Print Cover.docx+3
UK Insolvency Act 1986 section 388 expressly identifies acting as trustee or interim trustee in Scottish sequestration and as trustee under a Scottish trust deed as insolvency-practitioner capacities. Sections 390 and 390A require an individual with appropriate authorisation for the appointment, including the Scottish caution/security requirement. AiB has its own statutory capacity and is expressly treated differently by section 388(5). C023–C026. legislation.gov.uk+2
The practical boundary is therefore:
- Private voluntary negotiation: examine FSMA/RAO and other applicable business gateways.
- DAS advice or DPP distribution: additionally examine the specified DAS role and its Scottish approval.
- Sequestration/PTD trustee work: additionally examine the applicable IP authorisation, appointment capacity and AiB statutory powers.
No one of these classifications automatically authorises all three.
5. D — Territorial and jurisdiction boundary
FSMA section 19 concerns carrying on regulated activities in the United Kingdom, which includes Scotland. Section 418 and FCA PERG 2.4, updated 16 September 2026, address deemed UK activity from UK-based management or a UK establishment and other specified branches. The presence of foreign clients, an overseas headquarters, remote staff, or a website accessible across borders does not by itself settle the statutory test. C001, C046. legislation.gov.uk+2
| Illustrative nexus |
Gate analysis; no asserted outcome without facts |
| Glasgow firm phones Edinburgh debtors |
UK activity plainly needs FSMA/RAO classification. Scottish statutory solutions additionally use Scots rules. |
| London FCA-authorised firm advises a Scottish debtor |
UK permission may be relevant, but exact activities/limitations and Scotland-specific advice must be checked. The FCA's CONC 8.2.2G, updated June 2026, expressly addresses differences among UK countries. |
| Scottish adviser serves a non-UK resident |
UK business location may still trigger FSMA; no conclusion about foreign debt, foreign law or availability of Scottish debt solutions. |
| Overseas company advertises a paid Scotland-facing telephone service |
Cannot infer “outside FSMA” merely from registration or hosting abroad. Establish where acts, management, staff and decision-making occur and apply section 418 and PERG 2.4. |
| Non-UK adviser without an identified UK establishment |
Territorial result unresolved without the precise activity, nexus and any other applicable jurisdiction's law. Not an automatic exemption and not automatic UK regulation. |
| Cross-border referral followed by a Scottish DPP or PTD |
Distinguish the introducer's UK regulated activity from the separately approved Scottish money adviser/distributor or trustee. |
Explicit boundary: This pass does not decide A098 foreign recognition, foreign judgments, moving abroad, conflicts of law, currency conversion, foreign creditor participation or international asset questions.
6. E — Read-only official verification workflow
This is a hypothetical consumer verification method. No provider, adviser, insolvency practitioner, debtor or individual record was searched.
What a consumer would check
- Identify the contracting person. Obtain the provider's full legal name, company or individual status, trading names and contractual counterparty. A trading name or company's ordinary registration does not prove regulated authority.
- Identify the service and debts. Keep the proposed engagement wording, debt-agreement types, named borrower/joint borrower/guarantor capacity, who contacts creditors, whether a recommendation is personalised, and whether new credit is introduced.
- Establish compensation and money flow. Record all direct fees, creditor/affiliate referral benefits, third-party payments, whether funds ever enter the provider's control and the intended recipient. Do not mistake a no-fee first call for a no-remuneration business.
- Check the FCA's official tools. Use the FCA checking guidance and Financial Services Register. Compare the same legal entity, status date, relevant activity permission, conditions, restrictions, individual role if relevant, and any appointed representative/principal. For an AR, establish which principal accepts responsibility for the specific proposed service.
- If DAS is proposed, apply the Scottish test separately. Determine the precise regulation 8(a)–(f) route or individual regulation 9 approval, check regulation 10 conflicts/disqualification, and distinguish the money adviser from the regulation 14 payments distributor. Any approval evidence should be attributable to the DAS Administrator—not merely a provider brochure.
- If sequestration or a PTD trustee is proposed, check practitioner capacity. The government IP search can assist, but the underlying authorising recognised professional body's licensing record, individual/companies scope, Scottish appointment and applicable caution/security remain relevant.
- Separate public debtor registries from professional licensing. AiB's DAS Register concerns programme/debtor information. The Register of Insolvencies concerns insolvency entries. Neither is, by itself, a complete list of authorised debt advisers or licensed practitioners.
The Insolvency Service's public practitioner search expressly warns that it is not a complete list of all UK insolvency practitioners. An absent search result must therefore not automatically be interpreted as an unlicensed person. The public FCA tools likewise require the exact activity and legal entity to be compared; “registered,” “authorised,” “approved” and “appointed representative” denote different things. C043, C047, C050. FCA+5
Verification does not establish: validity of a proposed consumer contract, that a creditor will negotiate or accept a settlement, that a debt has been released, any success rate, that money is protected, or that any particular consumer remedy follows.
7. G — Six bounded hypothetical classification workflows
These are invented fact patterns, not private cases or records.
Scenario G1 — Paid card-debt negotiator in Glasgow
- Known hypothetical facts: A Glasgow limited company charges debtors for negotiating reduced settlements of their personal credit-card balances; its staff contact card lenders on the debtors' behalf.
- Missing facts: Contractual entity, all lender agreements, payments and commissions, whether it also holds customer money, FCA permission scope and any appointed-representative principal.
- Legal test and provisional result: Article 39D(1)(a) strongly indicates debt adjusting. If the firm also recommends who to pay or what plan to adopt, 39E may apply. FSMA 19/22 and the actual exemptions/permission follow. C001–C009, C027.
- Gateway/decision-maker: FCA authorisation, or the strictly applicable FSMA exemption/AR arrangement.
- Adverse branch: An FCA entry for credit broking only, or one excluding debt management plans, would not establish permission for this service. Payment handling may engage another gateway.
- Documents and next read-only check: Proposed agreement, fee/referral schedule, debtor authority, sample outputs, self-declared FCA reference and exact Register permissions/restrictions. Sources S001, S002, S007, S016, S024, S026–S027.
Scenario G2 — Free charity adviser offering DAS
- Known hypothetical facts: A charitable organisation provides recurring personalised budget and card-debt advice without charging the user and describes its worker as a “DAS adviser.”
- Missing facts: Constitution/non-distribution terms, actual FCA status, adviser employment and training, Type 2 accreditation/CAB/local-authority/individual-approval route, conflicts and whether the debtor is an individual or legal entity.
- Legal test and provisional result: Free recurring personalised credit-debt advice may fall under 39E and the special not-for-profit business rule; regulation 8 determines qualifying DAS adviser categories subject to regulation 10. C007, C019, C031–C035.
- Gateway/decision-maker: FCA or applicable exemption for regulated financial work; DAS Administrator for an individual approval, as applicable.
- Adverse branch: Charitable registration is neither FCA authorisation nor proof of a particular worker's DAS approval. For an entity debtor, regulation 8A requires an IP-category adviser.
- Documents and next read-only check: Constitution, employment/organisation status, accreditation or regulator approval evidence, activity wording and correct register scope. Sources S016, S017, S023, S029–S033.
Scenario G3 — Licensed insolvency practitioner offering a PTD and a separate commercial settlement service
- Known hypothetical facts: A Scotland-based individual holds a recognised insolvency-practitioner licence and acts as trustee for some protected trust deeds. A separately marketed service sells ongoing voluntary creditor negotiations outside any particular trustee appointment.
- Missing facts: Full/partial licence scope; actual appointment or reasonable anticipation; whether the commercial service is performed personally or by a different corporation; whether any FCA permission exists; caution/security for trustee appointments.
- Legal test and provisional result: RAO 72H and Insolvency Act 388 protect defined practitioner capacities, not every service sold by a licensed individual. The ordinary settlement line must be reclassified under 39D/39E. C004, C007, C022–C025, C041–C042.
- Gateway/decision-maker: Recognised professional body for practitioner authorisation; Scottish statutory trustee/AiB process for appointment; potentially FCA for the separate service.
- Adverse branch: A business claiming “FCA exempt because our founder is an IP” has not shown that all its employees and contracts are within the statutory appointment-capacity exclusion.
- Documents and next read-only check: Individual's licensing category and authorising body, appointment instrument, legal identity of the commercial firm and exact FCA status. Sources S012, S040–S042, S045–S046.
Scenario G4 — Online referral tool and appointed-representative claim
- Known hypothetical facts: A website accessible in Scotland asks users for card balances and disposable income, outputs “Choose debt management,” and sells referrals to a separate authorised firm. It advertises itself as “working under” that firm.
- Missing facts: Whether the recommendation is generated for a particular borrower/debt, what the receiving firm actually does, the referral contract, benefit, location of staff and management, AR contract and principal's activity coverage.
- Legal test and provisional result: PERG 17.4–17.5 makes the personalised steering a real 39E question. Introducing for new credit is separately tested under 36A. An AR exemption needs FSMA 39 requirements, not a marketing partnership. C008, C013–C014, C027, C046.
- Gateway/decision-maker: FCA authorisation/AR responsibility or an applicable exact exclusion.
- Adverse branch: A principal authorised only for lending referrals cannot automatically cover the site's personalised debt counselling.
- Documents and next read-only check: Full decision-tree outputs, economic/referral contract, AR/agency wording, principal legal identity, location and official scope. Sources S003, S013, S016–S020, S026–S027.
Scenario G5 — Debt purchaser versus independent collector
- Known hypothetical facts: Company A purchases a portfolio of qualifying credit agreements and works on its own acquired claims. Company B is separately paid to pursue arrears and also offers borrowers advice on the order of repayment.
- Missing facts: Whether A actually acquires lender rights under each instrument; servicing delegation; whether B gives debtor-side advice; special agreement exclusions and contractual authority.
- Legal test and provisional result: Test A under 39H in its precise agreement-holder capacity. Test B's creditor collection under 39F and its borrower advice independently under 39E. C007, C011–C012, C018.
- Gateway/decision-maker: FCA/FSMA or exact exclusions for each distinct entity and activity.
- Adverse branch: Creditor-side collection permission or exemption does not necessarily allow B to market itself as a debtor-side debt adviser. Specific post-2014 article 39H exceptions need checking.
- Documents and next read-only check: Assignment and servicing documents, collections script, debtor-advice script, identity and permission evidence. Sources S008–S009, S016, S020.
Scenario G6 — DAS payments provider serving a legal-person debtor
- Known hypothetical facts: A company offers to prepare a DPP for a Scottish unincorporated association and take monthly amounts for distribution to creditors. Its adviser is a general charity money adviser, while its payments department says it is “DAS registered.”
- Missing facts: The debtor's legal character; adviser's individual IP qualification; actual DAS approved-distributor status; who receives funds and whether a separate payment-services activity exists.
- Legal test and provisional result: Regulation 8A requires the 8(a) qualified-IP category adviser for that entity debtor. Regulation 14 separately controls DAS payments distributor approval; PSR classifications depend on money flow. C033, C038–C039, C048.
- Gateway/decision-maker: DAS Administrator for the Scottish approvals; recognised professional body for IP status; potentially FCA for financial/payment-services activities.
- Adverse branch: General charity-adviser accreditation and distributor status do not cure a failure of regulation 8A or independently confer payment-services permission.
- Documents and next read-only check: Entity constitution, individual IP credentials and appointment, distributor approval evidence, funds-flow specification, FCA/PSR status. Sources S031, S035–S036, S041, S047.
Two quantified FCA prudential-resource examples
These are gateway/safeguard calculations, not consumer fees, settlement costs or promised compensation. They assume the entity is a debt management firm to which CONC 10 applies, with no higher overlapping prudential requirement and amounts measured as relevant debts under management at the applicable calculation date.
Example Q1 — £1 million relevant debts
£5,000
Required prudential resources
£1,000,000×0.25%=£2,500£1{,}000{,}000 \times 0.25% = £2{,}500£1,000,000×0.25%=£2,500
The £5,000 floor under CONC 10.2.8 exceeds the percentage calculation.
Example Q2 — £10 million relevant debts
£20,000
Required prudential resources
£5m×0.25%=£12,500£5m \times 0.25% = £12{,}500£5m×0.25%=£12,500
£5m×0.15%=£7,500£5m \times 0.15% = £7{,}500£5m×0.15%=£7,500
Sum: £20,000.
Legal basis: FCA CONC 10.2.5R, 10.2.8R, with the second computation expressly illustrated by CONC 10.2.11G. At initial permission, the calculation uses the specified projection under 10.2.9R. The rule also addresses later changes and other, higher requirements. A not-for-profit advice body falls within this chapter only on the stated application conditions—for example, the relevant £1 million client-money threshold in CONC 10.1.1R(2)—which must not be confused with £1 million of debts under management. C044–C045. handbook.fca.org.uk
What the numbers do not mean: They are not an FCA application charge, an indemnity bond, the amount held for customers, a guaranteed refund, or an individual borrower's entitlement.

Source-version safeguards: The original 2002/2016 Scottish Act PDFs and 2017 payment-services PDF are identified as as made/as enacted. The 2013 credit-regulation insertion is not masquerading as the current RAO. The FCA web interface displayed no populated “as of” date even where it supplied dated updates, so this report states the observed last-update dates rather than asserting that a historical date-picker selection was made. Statutory amendments, commenced dates, future-dated versions, repealed regulation 13, and inaccessible consolidations are not conflated.

Claim ID prefix: C_SC-P01-C. A row labelled C001 therefore means C_SC-P01-C001. References to S identifiers point to the complete direct-URL register above.
Confidence notation:
- H: relevant operative body and/or matching current regulator text actually read; no case-specific entitlement inferred.
- M: material text read, but an amendment, secondary predicate, original-enactment limitation or fact-specific application remains to be checked.
- L: source-access or version limitation prevents a definitive claim; any assertion is expressly bounded.
All claims concern Scotland with applicable UK legislation, assessed at the 26 October 2026 access date, unless a narrower date is stated.

FSMA s19(1) prohibits a person from carrying on or purporting to carry on a regulated activity in the UK unless authorised or exempt; the precise activity, person and territorial test must first be established. |
S001 §19(1). H |
| C002 |
FSMA s22(1), (1A) requires an activity specified by order by way of business in relation to the specified subject matter. A paid label or a free first appointment does not alone determine this statutory question. |
S002 §22(1), (1A); S018 PERG 2.3. H |

An applicable UK FSMA authorisation/exemption and Scottish DAS approved-adviser status derive from different legal instruments; proof of one is insufficient proof of the other. |

Negotiating with a lender on a borrower's behalf to discharge a debt due under a credit agreement is specified debt adjusting. Independent creditor settlement can meet RAO 39D(1)(a). |
S007 art39D(1)(a). H |
| C005 |
Taking over the borrower's credit-debt obligation in return for borrower payments, or a similar activity liquidating such debt, falls within 39D(1)(b)–(c). Mere technical payment forwarding must be separately characterised. |

RAO 39D(2)(a)–(c) separately covers corresponding debt-adjusting conduct for obligations arising under a consumer hire agreement and its hirer/owner relationship. |
S007 art39D(2). H |
| C007 |
Giving a borrower advice about liquidation of debt under a credit agreement, or a hirer under consumer hire, is the RAO 39E counselling activity; it can concern future contractual payments, not only defaults. |

Excluded from P01. |
Commission separate investigations of Scottish sector-specific law, local practice, professional indemnity/disciplinary rules, statutory interpretation and each other country or UK jurisdiction on its own primary authority. |
No H row is deemed resolved because an adjacent FSMA, DAS or IP gateway provision was discussed. Consumer pricing, creditor rights and financial outcomes all remain separate research components.
12. Reader-useful questions supported by P01
These are neutral educational questions justified by the perimeter evidence, not a website specification or individual recommendation:
- “Is this person giving me general debt information or advice about my particular debt?” — C007–C009; S017.
- “Does the company have FCA permission for debt counselling, debt adjusting, or just another credit activity?” — C004, C007, C043, C047; S007, S017, S024, S026.
- “If the service is free, why might the adviser still need authorisation?” — C019; S016, S018.
- “Is the person helping with a private repayment plan or a Scottish statutory DPP?” — C029–C033; S028–S031.
- “Does this particular adviser qualify for my kind of DAS application?” — C032–C035; S030–S033.
- “Is a solicitor or insolvency practitioner acting in their exempt professional role or selling a separate settlement service?” — C021–C025; S004, S012, S041.
- “Who actually holds my repayments, and what permission covers that service?” — C038, C048; S035, S047.
- “Does a register show the correct legal person and exact service, or merely some kind of registration?” — C027, C043, C047, C050–C051; S026–S027, S043–S046.
These questions can help a Scottish reader understand what evidence to request. They do not independently verify any provider or establish the suitability of a debt solution.
13. Unresolved evidence, currency and publication holds
The following holds are material and must accompany any reuse of the research.
| Hold |
Reason |
What would close it |
| SC-HOLD-01 — RAO 39H |
Consolidated article 39H body access failed. Original 2013 insertion and current FCA explanation were read, but special later creditor/debt-collection exceptions were not reconciled word by word. |
Current operative article including amendments, savings and relevant effective dates. |
| SC-HOLD-02 — RAO 39K |
Original Scottish solicitor and advocacy limbs were read; current FCA summary was read; the complete amended consolidated provision was not retrievable. |
Current art39K and relevant legal-profession/regulated legal-services amendments. |
| SC-HOLD-03 — enterprise exemption |
Exemption Order para40 current body was unavailable, despite a body-read amending text and current FCA guidance. |
Current paragraph 40, full scheme definition and all conditions. |
| SC-HOLD-04 — offence/remedy currency |
FSMA s23 body was available only at a 2014 dated endpoint; current s26 body failed. |
Present s23 and §§26–28 plus their relevant amendments, before stating any current criminal penalty or civil consequence. |
| SC-HOLD-05 — payment services |
The 2017 as-made Payment Services Regulations were read; subsequent amendments and all relevant exclusions were not reconciled for 2026. |
Current PSR compilation, firm category, money-flow facts and applicable FCA guidance. |
| SC-HOLD-06 — Scottish 2016 Act |
Original enacted Scottish Act PDF read for limited trustee/PTD boundary; not all later amendments or commencement details were audited. |
Current provisions 49–51 and 163–165, their amendments and transitional application by appointment/deed date. |
| SC-HOLD-07 — statutory adviser evidence |
No complete public DAS adviser-approval directory was established; DAS debtor records are not a substitute. |
Verified official public approval-evidence method and precise status definition, without querying a real person in this pass. |
| SC-HOLD-08 — professional authorisation |
No specific IP, solicitor, accountant or firm was examined. Full relevant professional PII, Scottish caution amounts and supervision rules not exhaustively read. |
Applicable present authorising-body rules and actual documents for a bounded hypothetical actor. |
| SC-HOLD-09 — legacy providers |
Original 2013/2014 transition located but full historic interim permission/savings were not reconstructed. |
Transition instruments plus exact service dates, necessary only for a defined legacy-provider question. |
| SC-HOLD-10 — customer/debt facts |
No contracts, fee flows, debt schedules, guarantee instruments or private analytics were supplied or accessed. |
Verified case-specific documents in a separately authorised application; no assumptions in P01. |
| SC-HOLD-11 — other Scots practice |
No judicial case was relied on for a contested holding, and no full Scottish case-law/citator search was attempted. |
Material published primary decisions with posture, holdings, later-treatment qualifications where the next narrow component needs them. |
| SC-HOLD-12 — jurisdictional completion |
This is not a review of Scotland's entire debt law, England/Wales, Northern Ireland, Ireland or other countries. |
Separate owned country and component investigations; no cross-adoption by assumption. |
Important source conflict resolved for P01: DAS regulation 9(1)(d), as amended with effect from 1 April 2025, takes precedence over an inconsistent description in AiB guidance. An applicant relying on the guidance's older certificate wording would need to check the current statutory Level 2 disclosure requirement. legislation.gov.uk+1
Important 2026 update distinction: The returned RAO 72H annotation shows 2026 amendments concerning cryptoassets and targeted support. They do not, merely by appearing in 72H, establish a new general debt-adjusting or counselling authorisation route. The specific 39D/39E provisions and their exclusions remain the appropriate tests. legislation.gov.uk

The actual arithmetic for the two prudential computations is internally consistent:
- Q1: £1,000,000 × 0.0025 = £2,500; applying the £5,000 floor yields £5,000.
- Q2: (£5,000,000 × 0.0025) + (£5,000,000 × 0.0015) = £12,500 + £7,500 = £20,000.
Disposition
Narrow original research completed Currentness holds recorded Parent and A097/A098 acceptance held
This investigation supports a bounded Scotland provider-authorisation classification, particularly the separation of:
- UK FSMA/RAO activity permission;
- Scottish DAS approved money-adviser status;
- separate DAS payments-distributor approval; and
- qualified Scottish sequestration/PTD practitioner capacity.
It does not certify a named provider's authority, a debt solution's merits, complete 2026 consolidated law for every excluded actor, a consumer contract's validity or any right to relief. It has not been independently reviewed; no England/Wales or other country pass was used as authority. The broader Scotland country dossier remains unlaunched, and parent/A097/A098 acceptance remains held.
