P06’s conclusions are not used as premises. The provisions material to this report were freshly read.\n\n**Disposition:** The principal statutory requirements are established below. Their application to an actual provider, agreement, electronic enrollment flow, authority instrument, transaction, or fee remains unresolved. No agreement is approved, no provider authorization is established, and no component/state/parent/A066/operational/publication acceptance follows.\n\nSource labels **S001–S016** below denote **S_NV-P7-S001–S_NV-P7-S016**. Claim labels **C001–C069** denote the corresponding **S_NV-P7-C…** records.\n\n## A. Substantive findings\n\n### 1. Classify the service and parties before selecting the agreement requirements\n\nChapter 676A distinguishes a concession-oriented debt-management plan from principal-reduction settlement. A DMP contemplates regular payments to the provider and creditor concessions on finance or delinquency charges. Settlement contemplates principal reduction and accumulation in an FDIC-insured account owned by the individual and outside provider control. These are different statutory models, not interchangeable names for the same arrangement. **C001–C003; S001, §§676A.130–.150.** [Nevada Legislature](https://www.leg.state.nv.us/NRS/NRS-676A.html)\n\nCoverage also depends on the Nevada-resident knowledge provisions, compensation, and the actual professional or institutional exclusion. Remote delivery, nonprofit or tax status, an attorney affiliation, and absence of custody do not independently establish an exemption. A corporation’s business debt, an individual’s business-purpose debt, and a personal-purpose consumer transaction must not be collapsed into one category: §676A.530’s “consumer” definition is expressly personal, family, or household, while the chapter’s other provisions require their own analysis. **C001–C003; S001, §§676A.140, .270, .300, .530(9).** [Nevada Legislature+1](https://www.leg.state.nv.us/NRS/NRS-676A.html)\n\nFor settlement services, the prohibition on secured, formerly secured, and Chapter 604A obligations remains material. A signed agreement cannot authorize prohibited settlement activity. This is not a determination that every DMP involving secured obligations is prohibited. **C003; S001, §676A.700(2)(i).** [Nevada Legislature](https://www.leg.state.nv.us/NRS/NRS-676A.html)\n\n#### Service and authority branch matrix\n\n| Branch | Agreement/disclosure consequences | Authority consequences | Conditions and holds |\n| --- | --- | --- | --- |\n| **Concession DMP with regular creditor payments** | Financial analysis, suitability/affordability determination, four-category creditor list, expected concessions and creditor-payment schedule, accounting method, applicable DMP warnings | Provider performs the authorized payment plan; this is not automatically authority to compromise principal or execute unrelated releases | Actual participating creditors, payment schedule, fees, custody, and registration remain unverified |\n| **Settlement without delegated binding authority** | Settlement warnings, payment schedule and estimated completion, itemized fees/methods, cancellation and termination provisions | Provider may negotiate within its authorized services, but a negotiated offer is not automatically a binding consumer compromise | Actual consumer assent, creditor assent, execution, payment, and fee earning must be established separately |\n| **Settlement with a qualifying limited POA** | Agreement may grant authority to settle for **not more than 50% of the outstanding debt**, subject to actual scope | Authority is optional, limited, and constrained by Chapter 676A and other applicable law | No assumption that every POA is valid, every agent signature satisfies every separate statute, or every settlement below 50% is authorized |\n| **Settlement exceeding 50% of outstanding debt** | Agreement must preserve the individual’s subsequent assent | Provider cannot receive advance POA authority to bind above 50%; individual assent must occur **after creditor assent** | An enrollment checkbox or unrestricted retainer cannot substitute for that sequence |\n| **Counseling without a plan agreement** | The pre-service list and applicable education/analysis requirements still require attention; the no-agreement counseling-fee branch is separate | No plan, settlement, payment, or release authority arises merely from counseling | Actual service scope and fee conditions remain necessary |\n| **Genuinely excluded professional/institutional activity** | Chapter 676A requirements depend on satisfying the precise exclusion, not the label | Professional authority comes from its governing law and actual relationship, not this chapter | No attorney, accountant, bank, nonprofit, or other actual actor was classified |\n| **Business-purpose or entity transaction** | Determine which “individual,” “consumer,” service, and exclusion provisions apply | No automatic extension of personal-consumer electronic protections—or automatic exemption from the whole chapter | Actual obligor, purpose, service, and governing law remain held |\n| **Prohibited settlement debt or provider-controlled settlement account** | Disclosure and signature do not cure the prohibited model | No permissible authority is created by agreement language | Full sector/account analysis remains outside this pass |\n\n**Authority:** S001 §§676A.130–.150, .270, .520, .530, .540(5), .700; C001–C003, C007–C011, C032–C037. [Nevada Legislature+2](https://www.leg.state.nv.us/NRS/NRS-676A.html)\n\n### 2. Nevada requires a sequence of disclosures and records—not merely a signed final contract\n\n#### 2.1 Before services and before assent\n\n| Requirement | Responsible actor, trigger, and timing | Required content, medium, and recipient | Claims / pinpoint |\n| --- | --- | --- | --- |\n| **Itemized service/charge list** | Registered provider, **before providing services** | Clear, conspicuous, retainable record distinguishing services free with an agreement, charged without an agreement, and charged with an agreement. Applicable statutory labels include setup, monthly, settlement, and additional goods/services, with amounts or permitted methods | C005; §520(1) |\n| **Education and financial analysis** | Provider through a certified counselor or certified debt specialist, before furnishing services | Reasonable personal-finance education and prepared financial analysis | C006; §520(2)(a)–(b) |\n| **DMP suitability** | Provider proposing regular periodic DMP payments | Prepared plan; determination, from supplied and otherwise available information, that the plan is suitable and affordable; belief listed participating creditors will accept the proposed payments | C007; §520(2)(c) |\n| **Consumer’s analysis/plan copy** | Provider, **before assent** | Record identifying the provider, which the individual may keep even without entering an agreement | C008; §520(3)(a) |\n| **Opportunity to discuss** | Provider, before assent | Inform individual of optional toll-free or in-person assistance to discuss the analysis and plan | C008; §520(3)(b) |\n| **DMP creditor classification** | Provider, before assent, for known/identified creditors | Four groups: expected participants granting concessions; participants without concessions; expected nonparticipants; all other creditors | C009; §520(3)(c) |\n| **Separate risk disclosure** | Provider, before assent | Separate retainable record: provider identity/address; suitability and alternatives including bankruptcy; adverse credit effects; increased charges and collection/litigation from nonpayment; creditor compensation unless untrue; potential forgiven-debt tax consequences with the statutory insolvency qualification | C010; §520(4) |\n| **Statutory alternative warning formats** | Provider choosing the applicable statutory alternative | Different boxed disclosures for creditor-funded DMPs, non-creditor-funded DMPs, and settlement. These are conditional alternatives under subsections 5–7, not one universal warning | C011; §520(5)–(7) |\n| **Additional Nevada disclosures** | Registered provider, before assent | Creditors need not participate; collection and lawsuits may continue; provider cannot supply unauthorized legal advice/services; provider is not a credit-repair organization and does not claim positive credit-score effects; DMP participation need not depend on creditor contribution | C012; NAC .160; NRS §730(8)(a) |\n| **Language** | Provider using primarily another language with the individual | English documents/disclosures, unless a Commissioner regulation provides otherwise, **plus translation** into the primary communication language | C014; §560 |\n\nThese are disclosure obligations, not independent authorization to charge the disclosed fee or furnish otherwise prohibited services. **S001–S003.** [Nevada Legislature+3](https://www.leg.state.nv.us/NRS/NRS-676A.html)\n\nThe statutory alternatives in §520(5)–(7) must be used according to their actual branch and specified presentation. A provider should not combine a creditor-funded DMP statement with a settlement model or omit a required warning because a different model’s shorter form exists.\n\nThe chapter also requires a reasonably staffed toll-free communication system. A provider’s website must disclose specified identity and officer information on its home page or a clearly identified linked page. A Nevada business location has separate conspicuous-posting requirements under NAC 676A.150. These do not substitute for individualized pre-assent delivery. **C013; S001, §§510, 530(6); S002, .150.** [Nevada Legislature+2](https://www.leg.state.nv.us/NRS/NRS-676A.html)\n\n#### 2.2 Mandatory agreement contents and delivery\n\nThe agreement must be a record, dated, signed by both provider and individual, identify both parties as specified, and be provided to the individual **before assent**. Electronic delivery requires availability in a form the individual can retrieve, save, and print, together with notice that it is available. A post-signature email alone does not establish compliance with that pre-assent requirement. **C015, C023; S001, §540(1)–(2).** [Nevada Legislature](https://www.leg.state.nv.us/NRS/NRS-676A.html)\n\n| Required agreement subject | Required substance | Applicable branch |\n| --- | --- | --- |\n| **Services** | Identify counseling, DMP, settlement, or the actual combination | All covered agreements |\n| **Fees** | Individually itemized amounts or methods for all fees | All; lawful charging remains a separate question |\n| **Consumer payment schedule** | Amounts, due dates, estimated final-payment date | DMP or settlement |\n| **Creditor details** | Each creditor to be paid, amount owed, reasonably expected concessions, expected payment amounts/dates, and expected nonparticipants not receiving payment | Regular-payment DMP |\n| **Accountings** | Explain how §630 obligations will be met | DMP or settlement |\n| **Provider termination** | Good-cause termination with return of unexpended money | Required contractual statement |\n| **Consumer cancellation/termination** | §550 cancellation; anytime plan termination and the specific §540(4) consequences | Required |\n| **Regulator information** | Right to contact Commissioner; address, telephone, website. If Commissioner supplies the information, use that supplied information | Required; actual current supplied contact package was not verified |\n| **Trust-record access** | Consumer authorization for relevant bank disclosure of trust records to Commissioner | §540(4)(b) |\n| **Creditor rejection/withdrawal notice** | Notice within five calendar days after learning of a final rejection/withdrawal, identifying creditor and the right to modify or terminate | §540(4)(c) |\n\n**C016–C020; S001, §540(1)(f), (3)–(4).** [Nevada Legislature+1](https://www.leg.state.nv.us/NRS/NRS-676A.html)\n\nNo actual provider contract was reviewed. FID’s public licensing page lists a document titled “Disclosure Questions,” but the linked DOCX did not yield readable content through the public tool. Its title is not evidence that it is a consumer disclosure form, contains all statutory terms, or approves a provider’s contract. **C067; S013–S014.** [FID Nevada](https://www.fid.nv.gov/licensing/uniform-debt-management-services/)\n\n### 3. Negotiating, binding a compromise, initiating payment, and releasing rights are different acts\n\n#### 3.1 The 50% authority boundary\n\nUnder §540(5), a settlement agreement **may** confer a POA to settle for no more than 50% of the **outstanding** debt. It may not grant advance authority to settle above that amount. It may grant negotiation authority, but must require the individual’s assent **after the creditor has assented** to a settlement above 50%. Section 700(1)(b) separately restricts the conduct. **C032–C033.** [Nevada Legislature+1](https://www.leg.state.nv.us/NRS/NRS-676A.html)\n\nThis is not:\n\n- A mandatory 50% creditor discount;\n- A fee cap;\n- A requirement that the consumer accept a qualifying offer; or\n- Proof that the provider possesses a valid POA.\n\nThe actual instrument may be narrower. “Outstanding amount” also must not silently be replaced with enrolled principal or a historical balance.\n\nAt settlement, the individual must receive the creditor certification required by §700(1)(j): the payment achieves full settlement, or the agreed payment plan will achieve full settlement when completed. That creditor-facing settlement evidence is distinct from the provider-services agreement. **C034.** [Nevada Legislature](https://www.leg.state.nv.us/NRS/NRS-676A.html)\n\nThe fee prerequisite remains separate: §580(6) requires the specified executed agreement, qualifying payment, and complete allocation/savings conditions before requesting or receiving the settlement fee. Whether a particular agent-signed instrument satisfies the separate “executed by the individual” requirement is not established merely by demonstrating negotiation authority. **C035.** [Nevada Legislature](https://www.leg.state.nv.us/NRS/NRS-676A.html)\n\n#### 3.2 A general financial POA does not erase the specialized restrictions\n\nWhere Chapter 162A applies, the POA is a record granting authority; its title is not dispositive. Section 162A.220 supplies execution requirements, an acknowledgment-related signature presumption, and additional conditions for specified facility circumstances. It does not make a notarization stamp universal proof of valid, unlimited authority. **C041; S006.** [Nevada Legislature](https://www.leg.state.nv.us/NRS/NRS-162A.html)\n\nThe general POA rules include scope, good faith, the principal’s known expectations or best interest, and continuing principal control. Delegating POA authority requires an express grant under §162A.450(1)(e). The chapter preserves other applicable laws when inconsistent. Thus, broad claims-and-litigation language in §162A.560 cannot be used to override Chapter 676A’s confession-of-judgment prohibition, settlement limits, or unauthorized-practice rules. **C042–C043.** [Nevada Legislature+2](https://www.leg.state.nv.us/NRS/NRS-162A.html)\n\nChapter 676A separately keeps the provider responsible for delegated duties. The general POA statute’s good-faith/no-actual-knowledge protection for certain termination events presents a distinct third-party issue; it is not established here as permission for a provider to continue using its POA after the provider agreement terminates. **C043, C045.** [Nevada Legislature+1](https://www.leg.state.nv.us/NRS/NRS-676A.html)\n\n#### 3.3 Prohibited and conditional provisions\n\n| Provision or conduct | Nevada result at this component’s scope |\n| --- | --- |\n| **POA exercised after provider-agreement termination** | Prohibited; agreement must provide that the provider’s POAs become revoked and ineffective |\n| **Transfer from individual’s account** | Separate §700(1)(e) conditions apply; agreement language alone is insufficient and cannot override settlement-account no-control rules |\n| **Confession of judgment or POA to confess judgment** | Prohibited |\n| **Security interest connected with the services** | Prohibited under §700(2)(d); not an available contract safeguard for the provider |\n| **Unauthorized legal advice, litigation advice, or representation** | Chapter 676A does not authorize law practice; a POA is not a law license |\n| **Foreign/out-of-state choice-of-law provision** | §540(6)(a) limits permitted governing law to United States and Nevada law |\n| **Forum/jury/procedural restriction** | Prohibited except as permitted by the specified FAA and Nevada arbitration provisions |\n| **Restriction of remedies, release/limitation of liability, indemnification** | Prohibited as specified in §540(6) |\n| **Hold-harmless or claim/defense/chapter waiver** | NAC .180 prohibits the identified terms; its waiver provision expressly recognizes federal preemption |\n| **Omitted mandatory rights or prohibited terms** | §540(7) preserves specified rights despite omission and makes the offending provisions void; that is not automatically avoidance of the entire agreement |\n\n**C036–C040; S001, §§540, 700; S002, .180.** [Nevada Legislature+2](https://www.leg.state.nv.us/NRS/NRS-676A.html)\n\nThe arbitration exception is a **gateway**, not approval of every arbitration clause. Section 38.219, §597.995, FAA §2, formation, delegation, federal preemption, and applicable nonwaivable protections must be considered. The state authorization language in §597.995 was read, but no categorical conclusion is made that it governs an FAA-covered contract regardless of preemption. Full arbitration doctrine remains a later component. **C038, C066, C069.** [Nevada Legislature+2](https://www.leg.state.nv.us/NRS/NRS-038.html)\n\n#### Published-opinion comparison\n\n| Published authority | Facts/posture and majority holding | Disposition and limits |\n| --- | --- | --- |\n| **Eby v. Johnston Law Office, P.C., 138 Nev. 660 — Nevada Court of Appeals, September 8, 2022** | A nonlawyer acting under a POA prepared/filed litigation papers for the principal. The court distinguished client-like agency authority from authority to practice law. A POA did not authorize the nonlawyer to litigate for another | Striking the papers was affirmed; the with-prejudice dismissal was reversed and remanded for the required analysis. Relevant reading: printed pp.660–666, PDF indices13–19; disposition p.673/index26. Not a direct §676A.540 case; no complete later-history search |\n| **Uber Technologies, Inc. v. Royz, 138 Nev. 690 — Nevada Supreme Court, en banc, September 29, 2022** | In app-user litigation, the majority addressed accepted arbitration agreements and clear delegation of gateway issues. It required honoring the delegation on the facts and arguments before it; the dissent was not used as majority proof | Reversed/remanded for arbitration. Selected majority reading pp.690–696, indices0–6. It does not establish that every click proves assent, that Chapter 676A disclosures were satisfied, or that every unconscionability objection fails. Full later treatment and FAA analysis remain unverified |\n\n**S011–S012; C044, C066.** [Nevada Judiciary+4](https://nvcourts.gov/__data/assets/pdf_file/0030/45993/138_Nevada_Reports_pages_647-689.pdf)\n\nThe bounded official-source search did not produce a responsive published opinion or formal FID interpretation squarely resolving §676A.540’s 50% authority/execution interaction or the disputed electronic/cancellation applications. That is a retrieval limitation, not a finding that no such authority exists.\n\n### 4. Cancellation, emergency waiver, termination, and their different effects\n\n#### 4.1 Required cancellation notice\n\nSection 550(2) requires an accompanying notice **in boldface, surrounded by bold black lines**. Its complete body was read. Required content includes:\n\n- The three-business-day cancellation right and start convention;\n- Provider email for electronic cancellation;\n- Provider name and address for mailed/delivered notice;\n- A completed cancellation deadline;\n- The three-day full-refund promise and later-termination qualification;\n- Consumer printed-name, signature, and date fields.\n\nThe statutory notice permits the specified email route or a signed, dated copy/other written notice. Section 550(1)’s operative requirement is notice **in a record** to the provider, with mailed notice given when mailed. A provider should not treat use of its exact form as the only permissible cancellation method. **C046, C048.** [Nevada Legislature](https://www.leg.state.nv.us/NRS/NRS-676A.html)\n\n#### 4.2 Clock and effect matrix\n\n| Event | Trigger and unit | Required act / effect | Important distinction |\n| --- | --- | --- | --- |\n| **Ordinary cancellation** | Before midnight of third **business day after assent** | Individual gives notice in a record to provider; mailing is effective when mailed | No actual holiday/business-day calendar was assumed |\n| **Defect-based extended cancellation** | Within **30 calendar days after assent** for specified §550(2), §540, or §700 noncompliance | Extended cancellation right | Extension alone does not prove an identical automatic all-money refund or categorical no-refund |\n| **Emergency waiver** | Personal financial emergency necessitating creditor disbursement before expiration of **3 calendar days after signing** | Individual sends/delivers signed, dated, own-words statement describing necessity and explicitly waiving cancellation | Standard-form waiver is void; signing and assent dates must not be merged without facts |\n| **Consumer termination** | At any time by written/electronic notice | Statutory unexpended-money, setup-refund, POA-revocation, and monthly-fee consequences | Provider termination does not automatically unwind an already binding creditor settlement |\n| **Provider termination** | Good cause as required in agreement; separate statute permits termination after **60 calendar days** of missed required payments | Return-money duties remain | No automatic forfeiture of held consumer money |\n| **Withdrawal of electronic consent** | Consumer withdraws; provider elects to terminate for that reason | Provider must give notice allowing **30 calendar days after receipt** to reconsent | Not immediate automatic termination |\n| **Creditor final rejection/withdrawal** | Provider learns final decision | Notify individual within **5 calendar days**, identify creditor and modification/termination right | Does not itself automatically terminate every remaining creditor arrangement |\n\n**C020, C025, C046–C052; S001, §§120, 530, 540, 550, 620.** [Nevada Legislature+2](https://www.leg.state.nv.us/NRS/NRS-676A.html)\n\n#### 4.3 Different monetary and authority objects\n\nFresh reading of the necessary provisions establishes these separate objects:\n\n1. **Unexpended debt-payment money:** §540(4)(a)(1) addresses money received by the provider or its agent for reduction or satisfaction of debt.\n2. **Uncredited setup fee:** for the settlement branch, §540(4)(a)(2) specifies refund of **65% of the portion not credited against the settlement fee**.\n3. **Provider’s POAs:** revoked and ineffective upon the specified termination.\n4. **Monthly fee:** future charging stops, except a fee that became due before termination.\n5. **Undistributed funds and legally payable fees:** §570(8) requires prompt return, less only fees actually payable under §580.\n6. **Trust money on termination:** §620(2) requires immediate return.\n7. **No-agreement counseling fee:** §580(5) has its own later-assent refund trigger before expiration of 90 days after completion/termination of counseling.\n\nThese provisions do not prove that a setup fee was lawfully charged, that a monthly fee was earned, or that money can be deducted twice. The 65% clause is **not advance-fee authorization**. The actual amount and lawful fee pathway remain held. **C050–C053.** [Nevada Legislature+3](https://www.leg.state.nv.us/NRS/NRS-676A.html)\n\nThe three-day notice’s refund promise, extended cancellation right, termination balance, contract avoidance, and civil recovery have different predicates. This report does not borrow P06’s unreviewed remedies conclusions or decide a civil award.\n\n### 5. Electronic assent, record delivery, and federal overlays\n\n#### 5.1 Three separate questions\n\nA workflow must separately establish:\n\n**valid agreement assent → valid consent to electronic delivery → compliant delivery and retention of each required record.**\n\nElectronic form alone is not a reason to invalidate a contract, but that principle does not cure missing disclosures, lack of actual assent, blocked retention, or a prohibited substantive term. **C021–C031; S001, S004–S005.** [Nevada Legislature+2](https://www.leg.state.nv.us/NRS/NRS-719.html)\n\n| Electronic requirement | Actual rule | Consequence/limit |\n| --- | --- | --- |\n| **Consent to electronic records** | §676A.530(1) invokes E-SIGN §101(c)(1) | A signature checkbox alone does not demonstrate the required consumer delivery consent |\n| **E-SIGN disclosures before consent** | Paper options, withdrawal rights/consequences and fees, scope of consent, withdrawal/contact-update procedures, paper-copy procedures/fees, hardware/software requirements | Consent must be affirmative and electronic access reasonably demonstrated |\n| **Material technology change** | Required notice and renewed consent/access demonstration where the change creates material risk of inability to access or retain | Do not assume original consent covers every later platform change |\n| **Standalone online warning** | §520(4) information on one or more screens containing no other information; consumer must see it before assent | A link buried in a mixed checkout screen is not established as sufficient |\n| **Agreement delivery** | Available to retrieve, save, and print; consumer notified of availability, before assent | Merely storing a provider copy is insufficient |\n| **Paper-copy rights** | At the specified disclosures, tell consumer that paper is available by electronic, telephone, or written request | Distinct from ordinary electronic access |\n| **Request before the 90-day expiration** | Free copy within **3 business days**, subject to once-per-calendar-month and reasonable-harassment exceptions | The exact statutory “before expiration” wording matters |\n| **Request more than 90 days later** | Written copy within a reasonable time | Do not automatically import the earlier free/three-business-day rule into this branch |\n| **Withdrawal of electronic consent** | Federal withdrawal is prospective, effective within a reasonable period after receipt; Nevada has its separate 30-day reconsent notice before provider termination | Earlier properly furnished records are not automatically invalidated |\n| **Electronic sending/receipt** | UETA’s designated-system, processability, entry/retrievability and related rules apply subject to specific law | Human awareness is not invariably required; an acknowledgment does not prove identical content |\n| **Retainability** | Records must remain accurately reproducible and accessible as required | Inhibiting storage/printing can defeat the statutory writing/delivery effect |\n| **Oral recording** | E-SIGN §7001(c)(6) does not treat oral communication or its recording as an electronic record for subsection (c), except as otherwise provided by law | An audio “yes” is not a universal replacement for electronic consumer-record consent |\n\n**C021–C030; S001, §§530, 540(2); S004, §§719.220–.320; S005, §7001(c)–(e).** [Nevada Legislature+4](https://www.leg.state.nv.us/NRS/NRS-676A.html)\n\nNevada’s UETA does not force parties to transact electronically. It preserves other substantive law, required formats, and specified exceptions. E-SIGN also preserves substantive consumer protections and contains exclusions for particular records and notices. Chapter 676A’s express E-SIGN relation clause preserves §7001(c) and does not authorize electronic delivery of the excluded §7003(b) notices. A provider-services agreement is not thereby an electronic foreclosure notice or court filing. **C026–C031.** [Nevada Legislature+4](https://www.leg.state.nv.us/NRS/NRS-719.html)\n\nFailure solely to meet E-SIGN’s specified electronic-access-consent demonstration does not, under §7001(c)(3), automatically invalidate the underlying consumer contract. That narrow rule does not excuse the remaining disclosure and delivery requirements. **C030.** [US Code](https://uscode.house.gov/us/usc/119-121/t15/s7001/)\n\n#### 5.2 Conditional federal requirements\n\n| Federal branch | Material agreement/disclosure consequence | Coverage and limits |\n| --- | --- | --- |\n| **TSR debt relief** | Before consent to pay, material cost/refund information and debt-relief-specific disclosures concerning timing, required accumulation, nonpayment consequences, and dedicated-account rights where applicable. Separate performance conditions govern requesting/receiving fees | Actual telemarketing, customer, debt, entity, inbound/advertising/direct-mail and other exemption facts must be established |\n| **TSR payment authorization** | Applicable payment and account-charge authorization requirements are distinct from agreement assent or a POA | No full EFTA/Regulation E, card, ACH, or bank-contract audit completed |\n| **TSR credit repair** | Fee timing requires the represented performance period to expire and the specified qualifying consumer-report evidence, including the report’s more-than-six-month timing condition | Applies only if the credit-repair telemarketing predicate is met; not satisfied merely by a debt-settlement agreement |\n| **CROA** | Actual paid credit-improvement representations can trigger separate disclosure, written contract, waiting-period, cancellation, copy, and nonwaiver requirements | Statutory definitions and exclusions must be applied; no automatic coverage from “counseling,” and no automatic exemption from a nonprofit label |\n| **CROA/state interaction** | State law is preserved except to the extent inconsistent under §1679j | No blanket displacement of Nevada’s agreement requirements |\n\n**C056–C065; S007–S008.** [eCFR+4](https://www.ecfr.gov/current/title-16/chapter-I/subchapter-C/part-310/section-310.3)\n\nIf CROA applies, the separate statutory disclosure precedes contract execution; the organization retains the consumer’s signed acknowledgment for two years. The written dated contract must be consumer-signed and contain the required payment, service, guarantee, duration, identity, and cancellation terms. No services may begin before the statutory three-business-day period beginning on the signing date ends. The cancellation right uses its own third-business-day-after-execution convention. Required cancellation forms are supplied in duplicate, and required documents are supplied at signing. Those federal clocks must not be substituted for Nevada’s clock. **C062–C064.** [US Code+2](https://uscode.house.gov/us/usc/119-121/t15/s1679c/)\n\nThe full relevant CROA disclosure and cancellation text was read. No private form was drafted or approved. The electronic implementation of duplicate forms and delivery must still satisfy the applicable E-SIGN conditions; electronic form is not automatically valid or invalid.\n\n### 6. Copies, accountings, and retention—only the agreement-facing requirements\n\nFor a covered DMP or settlement agreement, §630 requires accountings in a record at least monthly, at cancellation or termination, and within five business days of a request, subject to the once-per-calendar-month request limitation. They must identify receipts, creditor payments—including payments made by the individual at the provider’s direction—deductions, reserves, and applicable settlement terms and fee calculations. **C054.** [Nevada Legislature](https://www.leg.state.nv.us/NRS/NRS-676A.html)\n\nThe provider must maintain the individual’s debt-management-service records for five years after the final payment and provide the statutory copies within the applicable reasonable time. This is distinct from §530’s paper-copy request rules and CROA’s two-year acknowledgment requirement. No complete information-security, custody, retention-system, or litigation-hold audit was performed. **C055; S001, §630(3).** [Nevada Legislature](https://www.leg.state.nv.us/NRS/NRS-676A.html)\n\nThe original Nevada enactment was approved May 29, 2009. Its operative agreement sections became effective July 1, 2010, with the stated transition for pre-July 2010 transactions. The current NRS text—not the original act’s superseded fee provisions—is used here. R050-10A’s relevant disclosure and anti-waiver rules became effective October 15, 2010. No later model-act commentary or revision is treated as enacted Nevada wording. **C068.** [Nevada Legislature+3](https://www.leg.state.nv.us/Statutes/75th2009/Stats200920.html)\n\n## B. Worked conditional models\n\nNo example assumes an actual authorized provider or approved contract. Dollar calculations use cents; the stated examples produce exact cents, so no rounding adjustment is needed. Business days are symbolic qualifying days, not a fabricated holiday calendar.\n\n### Model 1 — Electronic precontract delivery and later paper request\n\n**Inputs and assumptions:** Covered personal-purpose consumer; an otherwise lawful proposed service; affirmative electronic-record consent has not yet been obtained.\n\n| Event | Actor and required step | Conditional result |\n| --- | --- | --- |\n| E1 | Provider supplies E-SIGN paper/withdrawal/scope/procedure/technology disclosures | Disclosure stage only; no assent presumed |\n| E2 | Consumer electronically consents in a way reasonably demonstrating access to the format | Electronic-record consent may be established if the complete requirements are met |\n| E3 | Provider supplies retainable service list, analysis/plan, applicable creditor list and warnings | Records must be available even if consumer declines enrollment where the statute so requires |\n| E4 | Consumer sees the separate online warning screen, containing no unrelated information | Satisfies that presentation element only |\n| E5 | Agreement is available to retrieve, save, and print; consumer receives notice of availability | Pre-assent electronic delivery can occur |\n| E6 | Both parties date/sign the agreement; actual consumer assent is recorded | Does not by itself prove lawful fees, registration, settlement authority, or federal compliance |\n| E7 | Consumer requests paper copies 20 calendar days after termination | Assuming no duplicate-month or harassment exception, provider must send free copies within three business days |\n| E8 | Consumer instead withdraws electronic consent during service | Provider cannot use that fact for immediate termination; the statutory 30-calendar-day receipt-based reconsent notice applies |\n\n**Failure branch:** A combined sales screen containing warnings and unrelated promotional content, followed by a blocked-print agreement and “I agree” button, does not establish compliance with §§530(3) and 540(2). No monetary award is calculated. **C021–C031.**\n\n### Model 2 — Negotiation, limited authority, and later consumer assent\n\n**Inputs:** One eligible unsecured debt; actual outstanding balance **$10,000.00**; no secured history or Chapter 604A issue is assumed. A valid limited authority instrument, if used, must permit the specific act.\n\nPlain text\n```\nOutstanding balance $10,000.00\nStatutory authority comparison × 50%\nMaximum amount within that ceiling $5,000.00\n```\n\n**Branch A: $4,800 offer.**\n$4,800 ÷ $10,000 = **48%**. If the actual valid POA authorizes this settlement and all other conditions are met, the amount is within §540(5)’s permitted ceiling. The calculation does not prove creditor acceptance, binding execution, the required creditor certification, a qualifying payment, or fee earning.\n\n**Branch B: $6,000 offer.**\n$6,000 ÷ $10,000 = **60%**. The provider may negotiate, but cannot rely on advance POA authority to bind the individual. After the creditor assents, the individual must assent. An earlier enrollment authorization is not the specified later assent.\n\n**Fee result:** **HOLD** in both branches unless the separate §580(6) execution, payment, and allocation conditions are proved. Whether a particular agent signature satisfies the separate execution requirement is not decided here. **C032–C035.**\n\n### Model 3 — Ordinary cancellation, defect extension, and emergency waiver\n\n**Inputs:** Assent event A0; agreement-signing event S0; $250 paid; no creditor disbursement; no valid emergency waiver.\n\n**Ordinary branch**\n\n- B1, B2, B3 are the three legally qualifying business days after A0.\n- Consumer mails cancellation before midnight of B3.\n- Section 550(1) treats mailed notice as given when mailed.\n\nPlain text\n```\nMoney paid $250.00\nCreditor payments $0.00\nRetainable cancellation fee $0.00\nStipulated three-day refund $250.00\n```\n\nThis result rests on the stated ordinary-cancellation facts and required notice’s refund promise.\n\n**Defect branch**\n\nA specified §540/§550(2)/§700 defect is established, and cancellation occurs on calendar day 20 after A0. The extended right may apply. **The $250 monetary outcome is not automatically imported from the ordinary branch.** The applicable held-money, termination, avoidance, or civil-recovery predicate and facts must be established.\n\n**Emergency branch**\n\nCreditor disbursement is genuinely necessary before expiration of three calendar days after S0. The consumer sends or delivers a signed, dated statement in the consumer’s own words explaining the emergency and explicitly waiving cancellation. A preprinted waiver fails. Whether A0 and S0 coincide must be established rather than assumed. **C046–C049.**\n\n### Model 4 — Termination: conserve the ledger and separate authority from fees\n\n**Inputs:** Covered agreement; valid termination notice; no current legally payable fee established; all transactions below concern the same consumer funds.\n\nPlain text\n```\nTotal consumer money received $1,200.00\nCreditor remittance already posted -$500.00\nPrior refund already posted -$100.00\nCurrent unexpended balance $600.00\nAdditional verified payable deduction $0.00\nCurrent balance to return $600.00\n```\n\nThe earlier $500 remittance and $100 refund are not subtracted again. The applicable prompt/immediate money-return provisions must be applied; no invented calendar deadline is supplied.\n\n**Authority consequences:** The provider’s POAs are revoked and ineffective. Future monthly fees stop, subject to the statutory exception for a fee already due. That exception does not prove any particular fee was due or earned.\n\n**Separate settlement setup-fee branch:**\n\nPlain text\n```\nS = legally established setup fee\nC = amount already credited against settlement fee\nU = S − C, the legally established uncredited portion\nSpecified refund component = 65% × U\nLess any prior payment of that same refund component\n```\n\nHere **S, C, prior credits, lawful charging, and overlap with the $600 are HOLD**. No additional dollar refund is invented or added to the ledger. The statutory 65% formula does not validate an upfront settlement fee.\n\nTermination of the provider agreement does not automatically rescind a creditor compromise, close an external bank account, revoke every separate ACH authorization, or initiate a credit-report dispute. **C036, C050–C055.**\n\n### Smaller failure postures\n\n| Facts presented | What is not established |\n| --- | --- |\n| “We are a nonprofit” or “an attorney is affiliated” | A statutory exclusion or permission to omit the agreement requirements |\n| Corporate business obligation | That every individual/consumer provision applies—or that all Chapter 676A duties disappear |\n| Individual’s formerly secured debt offered for settlement | A lawful settlement pathway merely because collateral has been released |\n| Broad “all powers” POA | Authority above the 50% boundary, to confess judgment, control a settlement account, or practice law |\n| Consumer orally says “yes” on a recorded call | Complete E-SIGN consumer-record consent, required record delivery, or every payment authorization |\n| Provider signs and emails the contract only after enrollment | Pre-assent delivery |\n| Consumer consents to arbitration | Compliance with the rest of Chapter 676A or an automatically enforceable delegation clause |\n| Contract labels an amount “earned on enrollment” | State or federal performance-based fee entitlement |\n| Provider has an unread FID document titled “Disclosure Questions” | An approved consumer form or complete statutory compliance |\n| Consumer terminates provider services | Automatic cancellation of an independently binding creditor settlement or bank agreement |\n\n## C.
