Correction summary\n\n| Group | Prior treatment | Corrected treatment |\n| --- | --- | --- |\n| **1. E-SIGN and Montana UETA** | PASS-06 correctly stated the conditional §7001(c) consumer-consent process but did not account for §7002’s qualifying-state-law exception. | Section 7002 allows qualifying state law to modify, limit, or supersede §7001 **with respect to state law only**. Montana enacted a statute titled the Uniform Electronic Transactions Act, but this bounded pass does not certify complete conformity with the 1999 uniform act or conclusively determine §7002(a)(1)’s effect on every Montana provision. Federal CROA requirements remain federal and are not displaced through §7002. |\n| **1. Contract-validity savings clause** | The prior discussion could be read too broadly. | Section 7001(c)(3) prevents denial of contract validity **solely** because of failure to obtain the electronic consent or access confirmation described in §7001(c)(1)(C)(ii). It does not excuse required disclosure delivery, content, timing, retention, reproducibility, or proximity. |\n| **1. Oral communication rule** | PASS-06 said a call or recording was not the E-SIGN electronic record. | Correct, but §7001(c)(6) expressly adds: **except as otherwise provided under applicable law**. It is not a general prohibition on recordings or on every other legal use of an oral communication. |\n| **2. Telemarketing pre-sign right** | PASS-06 addressed the three-business-day written-notice route but omitted §30-14-1410(4)(a). | Unless subsection (6) applies, a buyer may cancel a covered telephone sale **at any time before signing an agreement or offer to purchase**. |\n| **2. Telemarketing alternatives** | PASS-06 could be read as presenting one universal three-day route. | Sections 1410(4) and (5) form one statutory architecture; subsection (6) is a separate alternative that expressly removes a qualifying sale from **both** subsections (4) and (5). |\n| **2. Goods versus services** | Goods-return language was not fully separated from service cancellation. | Goods-condition and goods-return language applies only when goods are involved. Subsection (6) also refers to canceled services, but how “delivery” operates for an ongoing service remains unresolved. |\n\n# GROUP 1 — E-SIGN §7002 and Montana UETA\n\n## Exact replacement for the PASS-06 E-SIGN paragraph\n\n### Conditional E-SIGN and Montana-UETA relationship\n\nFor a transaction in or affecting interstate or foreign commerce, 15 U.S.C. §7001(a) prevents a signature, contract, or record from being denied legal effect solely because it is electronic. Section 7001(b) preserves substantive legal rights and does not generally compel a person to agree to electronic transactions. When a law requires consumer information to be provided in writing, §7001(c)(1) supplies a federal electronic-delivery route requiring affirmative consent, preconsent disclosures, hardware and software information, and electronic consent or confirmation reasonably demonstrating access to the electronic format. [U.S. Code+1](https://uscode.house.gov/us/usc/119-118/t15/s7001/)\n\nThat federal rule is qualified by §7002. A state law may modify, limit, or supersede §7001 **with respect to state law only** if it either:\n\n1. Enacts or adopts the 1999 Uniform Electronic Transactions Act, subject to the federal limitation on inconsistent state scope exceptions; or\n2. Establishes alternative procedures that are consistent with E-SIGN, are technology-neutral, and—if adopted after June 30, 2000—specifically refer to E-SIGN.\n\nSection 7002(c) additionally prevents a state from circumventing E-SIGN through nonelectronic-delivery requirements of the identified UETA type. A qualifying state enactment does not modify a federal writing, disclosure, or contract requirement because §7002 operates only “with respect to State law.” [U.S. Code](https://uscode.house.gov/us/usc/119-118/t15/s7002/)\n\nMontana’s Title 30, chapter 18, part 1 is expressly titled the **Uniform Electronic Transactions Act**. It generally applies to electronic records and signatures relating to a transaction, subject to listed exclusions; applies only when each party agreed to transact electronically; preserves other substantive law; recognizes electronic records and signatures; and preserves required retention, formatting, posting, and transmission methods. Montana’s state-only Part 20 and Part 21 duties are not among §30-18-103(2)’s listed exclusions, but actual transaction, consent, attribution, retainability, and statutory-format facts remain necessary. [Montana Code Annotated+5](https://mca.legmt.gov/bills/mca/title_0300/chapter_0180/part_0010/section_0010/0300-0180-0010-0010.html)\n\nThe present evidence strongly supports analyzing Montana’s state-law electronic transactions through its UETA. This bounded pass, however, did **not** locate a controlling Montana or federal decision conclusively determining that every Montana provision and scope exception satisfies §7002(a)(1). It therefore does not declare either that §7001(c) automatically controls every Montana-only Part 20 or Part 21 disclosure or that Montana UETA categorically displaces §7001 in every transaction.\n\nFederal CROA writing and disclosure requirements remain federal requirements. Section 7002’s state-law exception cannot modify or supersede them. Whether CROA applies at all remains separately unresolved.\n\n### Narrow §7001(c)(3) and oral-record qualifications\n\nSection 7001(c)(3) says that a consumer contract may not be denied legal effect, validity, or enforceability **solely** because the consumer-consent or access-confirmation step in §7001(c)(1)(C)(ii) was not obtained. That narrow savings clause does not establish that a required disclosure was delivered, that its content or timing was compliant, that the record was retainable, or that required formatting or proximity was preserved. Sections 7001(c)(2), (d), (e), and (f) retain those distinct requirements. [U.S. Code+2](https://uscode.house.gov/us/usc/119-118/t15/s7001/)\n\nSection 7001(c)(6) says that an oral communication or recording does not qualify as the electronic record for subsection (c) **except as otherwise provided under applicable law**. Thus, a sales call or recording is not automatically the electronic record satisfying §7001(c), but the provision is not a universal recording ban and does not negate another legal effect expressly supplied by applicable law. [U.S. Code+1](https://uscode.house.gov/us/usc/119-118/t15/s7001/)\n\n## Corrected affected claims\n\n| Imported claim | PASS-14 replacement | Status |\n| --- | --- | --- |\n| **S_MT-P6-C026 — replaced** | Conditional E-SIGN consumer-disclosure compliance under §7001(c)(1) requires the prescribed consent, paper/withdrawal, scope, contact-update, copy, hardware/software, and access-demonstrating steps when its interstate-commerce and written-consumer-disclosure predicates apply. But §7002 permits qualifying state law to modify, limit, or supersede §7001 **with respect to state law only**. Montana enacted a statute titled UETA, yet complete §7002(a)(1) conformity and the effect of every Montana scope exception were not conclusively adjudicated in the sources read. Federal CROA requirements are not displaced through §7002. | **High** for §§7001–7002 and Montana statutory text; **partial** for universal Montana §7002 qualification. |\n| **S_MT-P6-C027 — replaced** | A call or oral recording does not by itself qualify as the §7001(c) electronic record, except as otherwise provided under applicable law. Section 7001(c)(3) protects contract validity only from denial **solely** for failure of the §7001(c)(1)(C)(ii) consent/access-confirmation step; it does not excuse required delivery, content, timing, retainability, reproducibility, verification, or proximity. | **High** for federal text; other legal effects of an actual recording remain transaction-specific. |\n\n## Corrected coverage rows\n\n| Coverage item | Corrected status | Exact remaining gap |\n| --- | --- | --- |\n| E-SIGN consumer consent for state-only Montana duties | **Partial/conditional** | Determine whether the Montana provision is modified or superseded through a qualifying §7002 state-law route in the actual transaction; no universal conclusion from this pass. |\n| Montana UETA scope | **Answered textually, application partial** | Actual agreement to transact electronically, attribution, transaction scope, record retainability, and statutory format/method compliance. |\n| Federal CROA written-contract and disclosure duties | **Separate and conditional** | Actual CROA actor, service, representation, consideration, and interstate-commerce coverage. Section 7002 does not modify federal CROA law. |\n| Failure of access-demonstrating consent | **Narrowly answered** | Contract validity is not denied solely for that failure; all other disclosure and record-compliance consequences remain unresolved. |\n| Oral or recorded sales call | **Qualified** | It is not automatically the §7001(c) electronic record, but another applicable law may give it a different legal effect. |\n\n# GROUP 2 — Montana telemarketing cancellation branches\n\n## Exact replacement for the PASS-06 Montana telephone-sale paragraph\n\n### Conditional Montana telephone-sale cancellation architecture\n\nCoverage must be established first. “Telemarketing” is a telephone plan, program, or campaign intended to induce a purchase and involving more than one telephone call to a consumer. A telemarketer may be located inside or outside Montana. Section 30-14-1405 exempts listed persons and transactions only from the registration and bonding requirements of §30-14-1404; it does not facially erase §30-14-1410. Section 30-14-1409 separately excludes the identified face-to-face-completion and qualifying consumer-initiated calls from the **entire part**. Actual campaign, solicitation, call, consumer, seller, telemarketer, and Montana-nexus facts remain required. [Montana Code Annotated+2](https://mca.legmt.gov/bills/mca/title_0300/chapter_0140/part_0140/section_0030/0300-0140-0140-0030.html)\n\nWhen the transaction is covered and subsection (6) does **not** apply, §30-14-1410 creates two distinct cancellation branches:\n\n1. **Before signature.** The buyer may cancel at any time before signing an agreement or offer to purchase the goods or services. Cancellation occurs when written notice is given to the seller or telemarketer or when properly addressed, postage-prepaid written notice is deposited in the mail. The buyer need not use the seller’s prescribed form if the writing communicates an intent to cancel. The substantially-same-condition restriction in subsection (4)(d) applies only when goods are involved. [Montana Code Annotated](https://mca.legmt.gov/bills/mca/title_0300/chapter_0140/part_0140/section_0100/0300-0140-0140-0100.html)\n2. **After receipt of the statutory notice.** The sale is not final until the purchaser receives the required written notice. The notice must use the language principally used in the sales presentation and at least 10-point boldface type. It must state that cancellation is available until midnight of the third **business** day after receipt; that payments will be returned within ten **business** days after the seller receives written cancellation; and that a connected security interest will be canceled. The statutory notice also contains goods-return provisions, which should not be transplanted into a pure-service transaction. The seller or telemarketer must additionally supply the required identities, address, telephone number, solicitation date, and description. [Montana Code Annotated](https://mca.legmt.gov/bills/mca/title_0300/chapter_0140/part_0140/section_0100/0300-0140-0140-0100.html)\n\nSubsection (6) is an alternative architecture. A sale satisfying subsection (6) is expressly **not subject to either subsection (4) or subsection (5)**. At a minimum, the seller or telemarketer must have a policy:\n\n- Allowing return of unused and undamaged goods or cancellation of services for at least seven days after delivery to the consumer.\n- Providing a cash refund for a cash purchase or a credit applied to the debited account for a credit purchase.\n- Disclosing the refund and return policy by telephone or in the specified advertising, promotional, or delivery materials.\n- Restoring payments or issuing credits within 30 days after receiving the returned goods or notice canceling services.\n\nThe final sentence of subsection (6) says that a written disclosure using “satisfaction guaranteed,” “free inspection,” “a no-risk guarantee,” or similar language is deemed to meet the subsection’s review-and-return-for-refund policy requirements. That deeming language does not approve the underlying contract, services, fees, representations, execution, or compliance with other law. How “delivery” applies to an ongoing service is not resolved in the statute or this pass. [Montana Code Annotated](https://mca.legmt.gov/bills/mca/title_0300/chapter_0140/part_0140/section_0100/0300-0140-0140-0100.html)\n\n## Corrected affected claims\n\n| Imported claim | PASS-14 replacement | Status |\n| --- | --- | --- |\n| **S_MT-P6-C028 — replaced** | Montana telemarketing coverage depends on the §30-14-1403 definitions and actual campaign, call, solicitation, consumer, seller, and nexus facts. Section 1405 supplies exemptions only from registration and bonding. Section 1409 identifies calls not governed by the part at all. A person exempt from registration under §1405 is not thereby facially exempt from §1410. | **High** textual conclusion; actual coverage remains held. |\n| **S_MT-P6-C029 — replaced** | For a covered telephone sale, §1410 has two alternatives. If subsection (6) does not apply, subsection (4) gives a written-cancellation right before signature and subsection (5) supplies the same-language, at-least-10-point-bold, third-business-day notice and ten-business-day payment-return process. If subsection (6)’s minimum seven-day return/service-cancellation, disclosure, cash-refund or account-credit, and 30-day restoration predicates apply, the sale is not subject to subsections (4) and (5). Goods-specific return conditions do not automatically apply to pure services. | **High** for statutory text; actual policy, delivery, ongoing-service treatment, and calendar computation remain unresolved. |\n\n## Exact replacement for PASS-06 Example 7\n\n### Example 7 — Conditional covered telephone sale\n\n**Assumptions**\n\n- The plan, program, or campaign satisfies §30-14-1403’s telemarketing definition.\n- The consumer and call have the required Montana nexus.\n- No §30-14-1409 whole-part exclusion applies.\n- Any §30-14-1405 status is treated only as a registration-and-bonding exemption.\n- The transaction involves services unless a goods-specific fact is expressly added.\n- No exact delivery date, holiday calendar, or actual policy document is supplied.\n\n#### Step 1 — Determine whether subsection (6) applies\n\nThe seller or telemarketer must establish the actual minimum policy predicates:\n\n- At least seven days after delivery to cancel the service.\n- Cash refund for a cash purchase or credit to the debited account for a credit purchase.\n- Policy disclosure by telephone or through one of the specified written-material routes.\n- Restoration or credit within 30 days after receiving the service-cancellation notice.\n\nA qualifying written guarantee phrase receives only the review-and-return-for-refund-policy deeming effect stated in subsection (6).\n\n#### Branch A — subsection (6) applies\n\nThe sale is not subject to the cancellation requirements in subsections (4) and (5).\n\nAccordingly, this example does **not** add:\n\n- The subsection (4) pre-sign cancellation process.\n- The subsection (5) third-business-day cancellation notice.\n- The subsection (5) ten-business-day payment-return period.\n\nThe subsection (6) policy, disclosure, cash-refund/account-credit, and 30-day restoration terms govern the statutory cancellation route being illustrated.\n\n#### Branch B — subsection (6) does not apply, and the buyer has not signed\n\nThe buyer may cancel at any time before signing an agreement or offer to purchase.\n\nCancellation occurs when:\n\n- Written notice is given to the seller or telemarketer; or\n- Properly addressed, postage-prepaid written notice is deposited in the mail.\n\nThe writing need not use the seller’s form if it clearly communicates the buyer’s intent to cancel.\n\nNo goods-return condition is inserted because this branch assumes a service.\n\n#### Branch C — subsection (6) does not apply, and the statutory notice has been received\n\nThe sale is not final until the purchaser receives the required notice.\n\nThe notice must:\n\n- Use the language principally used in the sales presentation.\n- Use at least 10-point boldface type.\n- Provide cancellation until midnight of the third business day after receipt.\n- State that payments will be returned within ten business days after the seller receives the written cancellation.\n- Supply the required seller, telemarketer, legal-company, address, telephone, date, and solicitation-description information.\n\nThe goods pickup, return, condition, and disposal provisions are not imported into this pure-service example.\n\n#### Held\n\nNo exact calendar date is calculated because the facts do not establish:\n\n- The date or legally operative meaning of service “delivery.”\n- The date of receipt of the subsection (5) notice.\n- Whether subsection (6)’s policy was actually disclosed.\n- Whether the transaction was cash or credit.\n- The date the seller received a service-cancellation notice.\n- Applicable business-day and holiday facts.\n\nThis example does not approve the underlying service, fee, contract, electronic execution, cancellation policy, or telemarketing coverage.\n\n## Corrected telemarketing coverage rows\n\n| Coverage item | Corrected status | Exact remaining gap |\n| --- | --- | --- |\n| §1403 telemarketing definition and Montana nexus | **Partial** | Actual campaign, more-than-one-call predicate, solicitation, seller, telemarketer, and consumer facts. |\n| §1405 exemptions | **Answered textually** | Exemptions concern registration and bonding only; actual listed-category qualification remains fact-specific. |\n| §1409 whole-part exclusions | **Answered textually** | Actual face-to-face completion or qualifying consumer-initiated-call facts. |\n| §1410(4) pre-sign cancellation | **Answered** | Actual signature or offer-to-purchase event and written notice facts. |\n| §1410(5) post-notice cancellation | **Answered textually** | Actual notice receipt, language, type size, cancellation receipt, and business-day calculation. |\n| §1410(6) alternative policy | **Answered textually, application partial** | Actual seven-day policy, delivery event, disclosure method, purchase type, cancellation notice, and 30-day restoration. |\n| Ongoing service “delivery” | **Unresolved** | No controlling interpretation was located or attempted in this bounded patch. |\n| Written guarantee phrase | **Narrowly answered** | Deeming effect is limited to the subsection’s review-and-return-for-refund policy requirement;
